AMENDMENT UNIVERSITY OF KING'S COLLEGE AND SODEXO CANADA, LTD. THIS AMENDMENT, dated January 9,2012, is between UNIVERSITY OF KING'S COLLEGE ("Univ~rsity") and SODEXO CANADA, LTD., a Canadian corporation . ("Sodexo"). .~ WIT N E SSE T H: WHEREAS, University and Sodexo entered into a.certain Agreement, dated February 1, 1993, as amended ("Agreement"), whereby Sodexo manages and operates University's Food Services operation in Halifax, Nova Scotia; and WHEREAS, the parties now desire to further amend the aforesaid Agreement; NOW, THEREFORE, in consideration of the promises herein contained and for other

3. This Amendment is effective as of the date first set forth herein, and thereafter, unless amended. All other terms and conditions contained in the Agreement shall remain unchanged and in full force and effect, except by necessary implication.
