Wainwright Curling Club (1979) Bylaws.

MEMBERSHIP
1. Membership fees, if any, for the Wainwright Curling Club shall be determined by a majority of members at the annual meeting. Any person residing in Wainwright and District, and being of the full age of 18 years, may become a member of the Club by a favorable vote passed by a majority of the members at a regular meeting of the Club. Any person under 18 years may in the same manner become a member upon payment of half of the said fee. 2. Any member wishing to withdraw from membership may do so upon written notice in writing to the Board through its Secretary. If any member is in arrears for fees or assessments for any year, such member shall be automatically suspended at the expiration of six months from the end of such year and shall thereafter be entitled to no membership privileges or powers in the Club until reinstated. Any member in good standing, upon a two-thirds vote of the members of the Club, may be expelled from membership for any cause which the Club may deem reasonable.

BOARD OF DIRECTORS
3. The Board of Directors shall mean the Board of Directors of the Wainwright Curling Club (1979). 4. The Board shall, subject to the By-laws or directions given it by the majority vote at any meeting properly called and constituted, have full control and management of the affairs of the Club, and meetings of the Board shall be held as often as may be required, but at least once a month during the curling season and shall be called by the President. A special meeting may be called on the instruction of any two members thereof provided they request the President to call such a meeting, and state the business to be brought before the meeting. Meetings of the Board shall be called by three days notice by telephone or email. Four (4) members of the Board shall constitute a quorum at a Board of Directors Meeting.

5. Membership to the Board of Directors shall consist of 6 (SIX) representatives, in good standing with the Curling Club and 1 (one) representative of the Wainwright Parks and Recreation Board. The Board shall consist of a President, Secretary, Treasurer and 4 (four) Directors.

PRESIDENT
6. The President shall be ex-officio, a member of all Committees. He, shall, when present preside at all meetings of the Club and Board of Directors. In his/her absence, the chair may be elected by the meeting to preside thereat.

SECRETARY
7. It shall be the duty of the Secretary to attend all meetings of the Club and Board of Directors, and to keep accurate minutes of the same. In case of absence of the Secretary, his/her duties shall be carried out by appointment of a member by the Board. The Secretary shall have charge of all the correspondence of the President and the Board. 8. The Secretary shall also keep a record of all the members of the Club and their addresses and send all notices of the various meetings as required. 9. The Secretary shall have custody of the seal of the Club and is empowered to use it on the documents of the Club as directed by the Board of Directors. TREASURER 10.The Treasurer shall be responsible to collect and receive the annual dues levied by the Club and such monies shall be promptly deposited in a Chartered Bank. 11.The Treasurer or his/her designate shall receive all monies paid to the Club and shall be responsible for the deposit of same in whatever Bank the Board may order. He/she shall properly account for the funds of the

Club and keep such books as may be directed. He/she shall cause to be presented a full detailed account of receipts and disbursements to the Board at the regular meetings and shall prepare for submission to the annual meeting, a statement of duly audited as in hereafter set forth of the financial position of the Club and submit a copy of same to the Secretary for the records of the Club. TERM OF OFFICE 12.All Board Member shall be elected for a term of 2 (two) years. In an effort to provide continuity in governance, the president and 3 directors will be elected on even years, and the secretary, treasurer and forth director will be elected on odd years. a. The schedule for the purposes of these election terms even years shall be 2014, 2016, 2018, etc. b. The schedule for the purposes of these election terms odd years. Shall be 2013, 2015, 2017, etc. c. Should a Board Members position become vacant and filled midterm, then his/her term will default to the above-noted schedule. 13.While there is no limitation to the number of terms that a Board Member may serve, the President, Secretary and Treasurer will not serve more than 2 consecutive terms in the office. AUDITING 14.The books, accounts and records of the Secretary and Treasurer shall be audited at least once a year by a duly qualified accountant selected for that purpose at the Annual Meeting. A complete and proper statement of the standing of the books for the previous year shall be submitted by such auditor at the Annual Meeting of the Club. June 30th in each year shall be the end of the fiscal year of the Club. 15.The books and records of the Club may be inspected by a member of the Club at the Annual Meeting provided for herein or at any time giving reasonable notice and arranging a time satisfactory to the officer or

officers having charge of same. Each member of the Board shall at all times have access to such books and records.

MEETINGS
16.The Club shall hold an Annual Meeting on or before the 30th of September in each year, of which meeting due notice shall be given. At this meeting representatives to the Board of Directors shall be elected. Any vacancy that occurs during the year shall be filled at the next meeting, provided it is so stated in the notice calling such meeting. Any member in good standing shall be eligible to any office in the Club. 17.Meetings of the society may be called at any time by the Secretary upon the instruction of the President of the Board by notice in writing to the last known address of each member, delivered by email or mail eight days previous to the date of such meeting. A special meeting shall be called by the President or Secretary upon receipt by him/her of a petition Signed by one- third of the members in good standing setting forth the reasons for calling such meeting, which shall be by letter to the last known address of each member, delivered by email or mail eight days previous to the meeting. 18.Fifteen members in good standing shall constitute a quorum at any meeting.

VOTING
19.Any member who has not withdrawn from membership nor been suspended nor expelled as herein provided shall have the right to vote at any meeting of the Club. Such votes must be made in person and not by proxy or otherwise.

COMMITTEES
20.Committees or Representatives from the different groups of the Wainwright Curling Club, including but not limited to; Seniors League, Mens League, Ladies League, Mixed League, and Super League. Shall be identified at the Annual General Meeting. While Committee Members should be representative of their groups, under exigent circumstances, a Board Member may serve as a Committee Member.

a. There shall be an organizational meeting with the committees as soon as possible following the AGM in order to plan for the seasons events. b. Committee members need not attend regular Board of Directors meetings, but make report progress/results of their activities through writing or through a Board Member.

REMUNERATION
21.Unless authorized at any meeting and after notice of same shall have been given no officer or member of the Club shall receive any remuneration for his/her services. BORROWING POWERS 22.For the purpose of carrying out its objects, the Club may borrow or raise or secure the payment of money in such manner as it thinks fit, and in particular by the issue of debentures, but this power shall be exercised only under the authority of the Club, and in no case shall debentures be issued without the sanction of an extraordinary resolution of the Club.

BY-LAWS
23.The By-laws may be rescinded, altered or added to by an "Extraordinary Resolution" passed by a majority of not less than three-fourths of such members entitled to vote as are present in person at a general meeting of which one month's written notice specifying the intention to propose the resolution as an extraordinary resolution has been duly given.

DISSOLUTION CLAUSE
24.Upon dissolution of the society, any funds received from events associated with Alberta Liquor and Gaming Commission will be distributed to a charitable cause or organization as approved by the commission.
