Strait Air Volksgruppe BY-LAWS Article I Duties of Officers

Section A: President 1. The president shall preside over each meeting and be responsible for keeping order at these meetings. 2. The president shall be responsible for maintaining adherence to the constitution and by la!s. ". The president shall be the official spokesperson of the Strait Air Volksgruppe. #. The president shall strive in this office for the continued prosperity of the club and to achieve ob$ectives for !hich the organi%ation !as formed and have the po!er to operate so that the organi%ation functions properly. Section &: Vice President 1. The vice president shall assist the president in !hatever capacity necessary. 2. The vice president shall temporarily assume the president's office at meetings !hen the president is absent. ". The vice president !ill maintain contact !ith the chairpersons of each committee and report directly to the president. Section (: Secretary)Treasurer 1. The secretary)treasurer shall be a combined position responsible for keeping accurate minutes of each meeting* including the recording of activities* and keeping accurate and up to date records of the financial affairs of the club. 2. The minutes shall include all monies received and disbursed. The minutes !ill also document any specially authori%ed disbursements approved by the membership. The minutes shall also include all motions made at the meeting along !ith the name of each person !ho makes and seconds each motion. ". The office of secretary)treasurer !ill be the depository for club documents and e+ecutor of formal agreements and records for the club. #. ,n the event that both the president and the vice president are absent from a regular meeting* the secretary)treasurer shall preside over the meeting. -. The secretary)treasurer shall give a financial report at each monthly meeting. This report !ill include all deposits and e+penditures made during the previous month. .. The secretary)treasurer shall prepare a proposed budget for membership revie! at the /ecember meeting. This proposed budget !ill delineate e+pected receipts and e+penditures for the coming year. The proposed budget !ill be voted on by the membership at the 0anuary meeting and if approved !ill be the basis of his)her recommendation for dues assessments for the ne! year. 1. The secretary)treasurer !ill make a motion and upon acceptance of the proposed budget by the membership at the 0anuary meeting !ill recommend the amount of dues for the coming year. Section /: 2+ecutive &oard and 2+ecutive (ommittee 1. The 2+ecutive (ommittee shall be comprised of the elected officers: President* Vice President* and Secretary)Treasurer. 2. The 2+ecutive &oard shall be comprised of the 2+ecutive (ommittee and (ommittee (hairpersons. ARICLE II QUORUM Section A: A 3uorum is re3uired to pass any business coming for a vote at a meeting. A 3uorum shall consist of ten percent 41567 of the membership or three 4"7 members in good standing !hichever number is greater. Page 1

Such vote must be received before the meeting date at !hich the vote is to be taken. ARTICLE III COMMITTEES AND THEIR DUTIES Section A: The president !ill appoint the Audit (ommittee (hairperson and members annually. 1. This committee !ill meet each 0anuary and audit the secretary)treasurer's books for accuracy* proper authori%ation* and comparison to the most recent bank statement. 2. The secretary)treasurer !ill respond in a timely manner to all Audit (ommittee re3uests and meet !ith them as re3uired. ". 9pon completion of the audit the committee chairperson !ill make a report of findings to the president before the =ebruary membership meeting and to the general membership at that meeting. This report must be in !riting. Section &: (ommittees shall be formed to serve a specific function of the club and !ill not duplicate the functions of another established committee. Section (: The necessity and formation of a committee shall be the responsibility of the board of officers. Section /: The chairperson of a committee shall be selected by the board of officers after calling for recommendations and volunteers from the membership. Section 2: ,t is the responsibility of each committee chairperson to fulfill the purpose of the committee and to report directly to the vice president. Section =: <hile !orking in the capacity as chairperson he or she !ill have the authority to delegate duties to committee members and !ill !ork in con$unction !ith the board of officers. ARTICLE IV DUTIES AND INANCES Section A: Amount of dues needed is established yearly by the secretary)treasurer 4sub$ect to membership approval7. Section &: Any additional amounts re3uired beyond the annual dues !ill be voted on by the membership. Section (: Annual dues are to be voted on by members present at the /ecember meeting. Section /: The fiscal year !ill run from 0anuary 1st through /ecember "1st. Section 2: <hen fees are necessary for a particular event* members are eligible for a reduced fee !hereas non members must pay the full fee. Section =: >n their o!n and !ithout a vote of the membership the president and secretary)treasurer may authori%e e+penditures up to ?"5.55 total !ithin one month solely for the organi%ation's administration costs. Such actions must be presented to the membership at the ne+t monthly meeting. @o e+penditures greater than ?"5.55 can be made prior to membership approval. Section A: /ues !ill be deemed delin3uent if not paid by April 1st and the secretary)treasurer !ill notify by mail !hen a member becomes delin3uent. Three consecutive months of delin3uency !ill call for automatic revocation of membership. ARTICLE V REMOVAL AND E!"ULSION Section A: Voluntary 1. Any member may voluntarily resign his or her membership from the organi%ation but no dues !ill be refunded. a. The resignation may be submitted in !riting to the secretary)treasurer. b. Absence from si+ 4.7 consecutive meetings !ill be considered voluntary resignation unless the secretary)treasurer is notified other!ise in !riting or by pro+y at a club meeting. Page 2

2. An officer may resign but no dues !ill be refunded. The resignation must be submitted in !riting to another officer and announced at the ne+t membership meeting. 2lections !ill be immediately held to fill the vacancy. ". ,f the president resigns* the vice president !ill immediately assume the office of the president and elections !ill be held to fill the office of vice president. Section &: ,nvoluntary 1. Bandatory 2+pulsion: a. /elin3uency of dues or fees for greater than three months !ill be automatic e+pulsion. The secretary)treasurer !ill notify by mail the action taken. b. Absence by an officer from three consecutive meetings !ill cause loss of position as officer but not membership !ithout prior notice. An election !ill be held at the ne+t membership meeting to fill the post. 2. Voted 2+pulsion: A member or officer may be e+pelled for cause* such as violation of organi%ation rules* or for conduct pre$udice to the best interests of the club as decided by a ma$ority vote. a. That such dereliction e+ists must be confirmed by a ma$ority vote. b. The charges !ill be summari%ed by the secretary)treasurer and sent to the charged at least 1# days prior to the e+pulsion vote. c. &oth the charged and membership !ill be notified at least 1# days prior to the vote of the date* time* and location of the vote. d. The charged !ill be entitled to present a defense unless the charge is for Article ,V* Section &* Subsection 1. Such defense !ill follo! the charges read and prior to taking a vote. e. @o defense !ill be considered to Article ,V* Section &* Subsection 1. ARTICLE VI AMENDMENTS TO THE BY-LAWS Amendments to the by la!s !ill be governed by the same re3uirements as Article V, of the constitution.
