MEMORANDUM of UNDERSTANDING

(MoU)
This Memorandum of Understanding (MoU) is made and entered into on this date ..........
month.........................., year 2014, by and between the undersigned parties below :
1. PT..................... In this matter representated by Mr............. as Director, and therefore
acting for and on behalf of PT.......... hereinafter reffered to as First Party.
2. PT. TAMBOLI ENERGI KOLAKA, a company established pursuant to the laws
Indonesia having its address of business at Cyber 2 Tower Lt.32, Jl. HR Rasuna Said
Blok X5 No.13 Jakarta. In this matter representated by Mr. Suhaeli Kalla as
Director, and therefore acting for and on behalf of PT. Tamboli Energi Kolaka herein
after reffered to as Second Party.

Now therefore, it is hereby agreed and declared by and among the parties concerned
hereto, as follows for sales and purchase agreement of raw material ferronickel ( ore ) for
the mutual profits
ARTICLE 1
PURPOSE OF THE MOU
The purpose of this MOU is to establish the general principles for sales and purchase of
raw material ferronickel ( ore ) between the Parties in future
ARTICLE 2
SALES AND PURCHASE
1. The Second Party confirm ready, willing and able to buy raw material ferronickel
( ore ) from First Party.
2. The first Party has full responsible to produce raw material ferronickel ( ore ) and
send to Second Party as per quantity mentioned.

ARTICLE 3
COMMODITY
The parties agreed the commodity is Lateritic-Nickel-Ore (wet ore):
Ni : 1.8% , Fe : 15%
Moisture : 35%
Contain 1.8% nickel

ARTICLE 4
QUANTITY AND PRICES
The parties agreed the quantity of the commodity is 325,000 MT per year with unit
prices as per local market price
ARTICLE 6
VALIDITY PERIOD OF AGREEMENT
1) This Memorandum of Understanding is valid and binding to the Parties for a period
of 4(four) years, effective from the signing date and such period of time may be
extended by mutual agreement by the Parties;
2) This Memorandum of Understanding will be terminated automatically if for any
reason, the parties are unable to reach mutual agreement in term of the points stated in
the MoU hereof

In whitness whereof, the parties concerned hereto have caused this Memorandum Of
Understanding to be executed in two copies by duly authorized representatives as of the
date first above written.
