PROPOSAL TO DIYAR CONSULTING FOR ADVANCED Fisre OPTIC NETWORK DESIGN SERVICES Fiwave Strictly Confidential 22° August CONTENTS Overview... NETWORK REQUIREMENTS. Work PACKAGES. WPDC1. NETWORK AUDIT AND REPORT PAYMENT TERMS AND CONDITIONS sr. Conracr.. OVERVIEW Diyar Consultants is one of the leading multi-disciplined engineering and design firms in the Middle-East. It is understood that Diyar Consultants is looking to design advanced and high performance fibre optic networks in two new buildings. Given that the design of these networks will require additional skills and expertise than that currently available in Diyar Consultants it is acknowledged that some level of external input is required to support the company's intentions, Fiwave, being an expert in this area with proven design and operational experience is an Ideal candidate to provide the required external input. Fiwave engineers have designed ‘some of the most advanced fibre optic and wireless networks anywhere in the world. Fiwave has compiled work packages specifically for Diyar Consulting in order to address ‘some immediate requirements. The work packages are limited in scope with respect to the wider project and rely on Diyar Consulting for the following: * Project management oversight of the wider network design project * Timely delivery of project information from Diyar Consulting to Fiwave In the event that Fiwave is not provided with requested project information in a timely ‘manner delays and increased costs could be incurred, In addition we assume that design staff at Diyar Consultants will be available for telephone meetings during the period of the engagement. Fiwave requests that these meetings are held on Skype. Network REQUIREMENTS Fiwave understands that Diyar Consultants require that the network design is capable of supporting the following types of services: 1. IPCCTV System 2. IP Physical Security Systems (Access Control) 3. IP Communication System (Telephony and Fax services) 4, IP TV & VoD(Hotel) Systems 5. Data and internet connectivity 6. IP Digital Signage 7. IP Building Management System 8. IP Utility Metering system Fiwave will require comprehensive service definitions of these services in order to provide either advice on the existing design or to provide a new design. If the service definitions are not detailed enough Fiwave will be able to provide a work package to deliver complete service definitions. In addition itis understood that Diyar Consultants require that the network design is capable of supporting the possible introduction of the following services at a later date: 1. Hotel Management System 2. IP Car Parking System 3. IP Advertisements, 4, IP Hotel Lock System 5. IP Intercom system 6. IP Payphones 7. WP Public Address System 8. IPATM& POS 9. Customized Management and Billing system. Again, Fiwave will require comprehensive service definitions of these potential future services. If the service definitions are not detailed enough Flwave will be able to provide a work package to deliver complete service definitions eli WorK PACKAGE The following work package is designed to support Diyar Consulting to deliver a comprehensive and impressive fibre optic network design to its clients. WPDC1. Network AubIT AND REPORT ‘This work package will immediately give Divar Consulting the benefit of Fiwave's long experience in the design of fibre optic networks and IPTV headends. The main deliverable of this work package is a report that will provide comments on the suitability of the network to meet its requirements as well as provide recommendations for changes to the design, information of the IPTV headend design and support in presentation of the design to the customer. This work package relies on the following assumptions: "Floor dimensions and simplified floor layouts for each floor will be provided to Fiwave "Detailed service definitions will be provided to Fiwave for: © Office space tenants (internet, Telephony, Access Control, CCTV) Retail space tenants (Internet, Telephony, Access Control, CCTV) Hotel rooms (Internet, Telephony, TV/VoD) Public spaces (Digital Signage, CTY, Internet) Building managers (Internet, Telephony, Utility Metering, Building Management) coo Typically service definitions would include: + Descriptions of each service (e.g. internet bandwidth per hotel room or list of telephone features } * Quantities of required connections per type per floor (e.g. number of IP CCTV cameras, number of offices, number of IP phones for building management) + Proportion of simultaneous use of these services (e.g. how many simultaneous internet or telephone users?) In any case Fiwave will collect service definitions and existing network design concepts in a common repository for the purpose of having and providing a holistic view over the requirements. ‘The documentation provided will be assessed with respect to recognised industry standards from IEEE, IETF, EIA/TIA and ISO/IEC and best practices from the Western European deployments of advanced IT infrastructure. ‘We will produce a report document highlighting aspects of the design that are not optimal for the specific service requirements. The report will also make recommendations for improving the network so it does meet the specific service requirements. The report will include: 1. Commentary on service portfolio envisioned for each customer type 2. Commentary and recommendations on each technology employed in the existing design concept 3. Commentary and recommendations on network topology employed in the existing design concept Review of proposed Network risers design 4. Review of types of equipment needed on each floor and in the main data center 5. Review of the proposed communication system design (Telephone & Faxes) 6. Provide IPTV head end high level design and components list 7. Suggestions for simplification of the presentation of the network design to non-specialists (e.g. modules, benefits, etc) 8. Updated network design concept diagram As part of this package Fiwave will provide knowledge transfer on key aspects of next generation network design to suitably qualified Diyar Consultants staff. This knowledge transfer will be provided in the commentary and in telephone meetings with Diyar Consultants staff during the engagement. a : Charge: £8500 plus taxes where applicable. Work Estimat team. N.B. Work estimate is based on detailed documentation being available to Fiwave in a timely manner. If this is not the case, then work performed by Fiwave in closing the gap, will be considered as additional to scope and billed separately. 1-10 man days of a highly experienced and multi-disciplined network engineering PAYMENT TERMS AND CONDITIONS 1. All charges are subject to contract. 2. All charges exclude VAT and other taxes that may be applicable. Where these taxes are due these will be added to the charges and payable by the client. 3. Work Packages to be paid 50% on agreement and 50% on completion. 4, All payments must be made on agreed due dates. Overdue amounts will (without limiting any other rights Fiwave may have) accrue penalty interest of 0.07% per day from the date of, invoice until the outstanding amount is paid in full. Prices and quotations exclude V.A.T. and other similar taxes. 5. Ownership of work (designs, reports and documentation). The ownership of all work remains the property of Flwave until the Customer has paid for them in full. if the Customer does not pay for the products on time, Fiwave shall be entitled to withhold any work and to decline to supply any other work, and may collect from the Customer that work which has not been paid for.
