BYLAWS OF FLORIDA ASSOCIATION OF CAMBRIDGE

SCHOOLS
Article I. Name
Section 1: The name of this organization shall be Florida Association of
Cambridge Schools (FLACS).
Section 2: The term FLACS shall include all recognized Cambridge
International Examinations programs in the state of Florida.
Article II. Purpose
The mission of FLACS is to support Cambridge International
Examinations programs, coordinators, administrators, counselors,
teachers, and students by providing opportunities for networking and
mentoring by identifying model schools, by communicating with
members, and by lobbying for support of Cambridge International
Examinations in the state of Florida. The following objectives of FLACS
are designed to achieve this mission in collaboration with Cambridge:
1. To promote effectiveness in the supervision, coordination, and
teaching of Cambridge International Examinations by
a. Assuming leadership for coordinating and implementing
FLACS activities in the State of Florida,
b. Supporting and disseminating the information from the
Florida Department of Education and Cambridge
International Examinations,
c. Publishing and disseminating pertinent materials to
members and interested parties,
d. Fostering recognition and understanding of Cambridge
International Examinations by North American universities
and colleges, and
e. Advocating and advancing favorable legislation for
Cambridge International Examinations and teachers;
2. To promote research and training opportunities for the
improvement of instruction and coordination of CIE courses;
3. To offer members an educational opportunity to act as a
professional group in all matters related to FLACS.
Article III. Affiliation
This organization shall work in conjunction with the Florida Department
of Education, Cambridge International Examinations, and other related
organizations affiliated with CIE courses.

Article IV. Membership and Dues


Section 1: Voting membership is open to one approved education
professional aligned with a given FLACS
school. Districts that sponsor CIE programs may also have one voting
member as identified by each district.
Section 2: General membership shall be extended to AICE
Coordinators, exam officers and/or administrators, and district
managers affiliated with Cambridge International Examinations
programs in Florida.
Section 3: Individuals or educational organizations shall pay annual
dues of $25.00 per member as set by the recommendation of the
Executive Board. Membership entitles coordinators to attend the
annual meeting without cost, to become part of and to collaborate with
the network of AICE coordinators, to communicate needs to the
executive board, and to access the FLACS website.
Section 4: Dues shall be collected and remitted in a manner as
approved by the Executive Board.
Article V. Officers and Executive Board
Section 1: The elected officers of this organization shall be a president,
a president-elect, a secretary, and a treasurer.
Section 2: The Executive Board of this organization shall consist of the
elected officers and the appointed board members.
Section 3: There shall be no limit on the number of consecutive terms
that Executive Board members may serve.
Article VI. Duties of Executive Board Officers and Members
Section 1. Officers shall be elected at the annual meeting in October
of each school year.
Section 2: The duties of the elected officers shall be as follows:
1. President

a. To preside at the meetings of the organization,


b. To administer the affairs of the organization,
c. To be in charge of the program and prepare the agenda
for meetings, and
d. To arrange site locations for meetings of the
organization.
2. President-Elect
a. To preside at meetings of the organization if the
president is unable to do so,
b. To administer the affairs of the organization,
c. To assist with the program and to help prepare the
agenda for meetings,
d. To assist in arranging site locations for meetings of the
organization,
e. To maintain the FLACS website, and
f. To coordinate online voting.
3. Secretary
a. To keep an accurate record of the meetings and to post
minutes on the website,
b. To notify all members of meetings, and
c. To provide copies of any proposed constitutional
amendments or changes in the bylaws to members at
least thirty (30) days prior to the next meeting of the
organization.
4. Treasurer
a. To maintain and distribute a roster of the membership of
the organization,
b. To be in charge of all receipts and disbursements of the
organization and to keep accurate records,
c. To submit an annual financial report and an annual
membership report to the organization and to submit
any other reports requested by the president, and
d. To present all records and accounts for audit as directed
by the membership.
Section 3: Officers shall serve for two years and may be re-elected
and may serve consecutive terms.
Section 4: The executive board shall hold nominations from the
general assembly.
Article VII. Meetings
This organization shall hold at least two meetings during each fiscal
school year. Of the two required meetings, one shall be held in the
same locality as the annual coordinators meeting in the Fall and the

other in June during the Best Practices workshops for instructors.


Executive Board members shall be notified thirty (30) days in advance
of both board meetings when feasible.
Article VIII. Committees/Individual Appointments
The president shall appoint such committees or individual
representatives as deemed necessary to conduct the affairs of the
organization.
Article IX. Quorums
A quorum for annual or special meetings shall be at least one-half of
the membership participating in a vote.
Article X. Policies
The executive board must preapprove any statement made to the
public in the name of the organization. The membership shall receive
notice of such statements. This policy shall include, but not be limited
to, position papers, press releases, and CIE commissions.
Article XI. Amendments
These bylaws may be amended at any regular meeting of the
organization by a vote of two-thirds of the members present and
voting, provided that at least one-half of the membership is present.
Article XII. Parliamentary Authority
This organization shall conduct its meetings according to Roberts
Rules of Order Newly Revised in all points not expressly discussed in
the bylaws of the organization.
