Re:

Proposed Retainer Agreement

Dear Gentlemen:

We have the honor to propose this Agreement for the engagement of

our Firm as your legal counsel.
For the foregoing legal services, we propose the following legal fees:
1.
If the debtor pays or agrees to pay by virtue of the demand
letter and without us resorting to court action, we shall only collect from you
a legal fee of fifteen percent (25%) of any amount collected based on the
demand letter, which we shall collect from the debtor.
2.
If there is a necessity to file a civil and/or criminal case, and/or
defend you against any complaint, we shall collect from you an acceptance
fee at a rate of seventy five percent (25%) of the amount collected.
3.
Appearance fees shall be charged as follows per court
appearance and/or meeting that may be conducted outside of the offices of
our Firm, to be paid after submission of a report of the proceedings. Said
appearance fee shall already be inclusive of per diems and transportation
expenses incurred by the lawyer directly handling the above-entitled case:

Said appearance fee shall already be inclusive of per diems and

transportation expenses incurred by the lawyer directly handling the aboveentitled case. However, the foregoing shall be subject to change depending
on the venue where the case will be filed; and

4.
If the instant case involves the filing of a collection case
and/or judicial foreclosure, we shall collect from you a legal success fee
of Twenty Percent (25%) of any amount collected, which we shall
collect upon seizure and turnover of the foreclosed property, in case of
extra-judicial foreclosure, or upon final resolution and/or compromise
by the trial court.

If the case be subject to compromise agreement by the parties,

and the defendant is unable or unwilling to pay the attorney's fees and
you agreed to the waiver of such attorney's fees, we shall collect from
you an amount equivalent to fifteen (15%) of the amount collected.
