1.

IunderstandthatasanPrettyandPrepared(P&P)IndependentConsultant,IhavetherighttosellP&Pproductsinaccordance
withthestatedTermsandConditions,therighttoenrollconsultants,andtherighttoearncommissions.
2. IagreetoonlypresenttheP&PCompensationPlanasitisdescribedintheplan.
3. IagreethatasaP&PConsultantIamanIndependentContractor,andnotanemployee,partner,legalrepresentative,or
franchiseeofP&P.IagreethatIwillbesolelyresponsibleforpayingallexpensesthatIincur,includingbutnotlimitedtotravel,
food,lodging,andanyotherincidentalbusinessrelatedexpenses.IUNDERSTANDTHATISHALLNOTBETREATEDASAN
EMPLOYEEOF(P&P)FORFEDERALORSTATETAXPURPOSES.P&Pisnotresponsibleforwithholdingtaxes,andshallnot
withholdordeductfrommycommissions,orbonuses,ifany,FICA,ortaxesofanykind.IunderstandthatIamnotentitledto
workerscompensationorunemploymentsecurityoranyotherbenefitsofanykindfromP&P.
4. Ihavereadandagreetothe
P&PPoliciesandProcedures
andtheP&PCompensationPlan.IunderstandthattheAgreement
maybeamendedatthesolediscretionofP&PandIagreetoabidebyallsuchamendments.Notificationofamendmentsshall
bepostedontheP&Pwebsite.
5. Thetermofthisagreementismonthtomonth(subjecttopriorcancellationpursuanttothePoliciesandProcedures).IfIfailto
renewmyP&Pbusiness,orifitiscanceledorterminatedforanyreason,includingbecominganinactiveP&Pconsultant,I
understandthatIwillpermanentlyloseallrightsasaP&PConsultant.IshallnotbeeligibletosellP&PproductsnorshallIbe
eligibletoreceivecommissionsorbonusesorotherincomeorprizeawardsresultingfromtheactivitiesofmyformerdownline
consultants.Intheeventofcancellationortermination,IwaiveallrightsIhaveincludingbutnotlimitedtopropertyrightstomy
formerdownlineconsultantsandtoanybonuses,commissionsorotherremunerationderivedthroughthesalesandother
activitiesofmyformerdownlineconsultants.P&PreservestherighttoterminateallP&PAgreementsupon15daysnoticeifthe
Companyelectsto(1)ceasebusinessoperations;(2)dissolveasabusinessentity;or(3)terminatedistributionsofproductsvia
directsellingchannels.P&PConsultantsmaycancelthisAgreementatanytime,andforanyreason,uponwrittenandaccepted
noticetoP&Psprincipalbusinessaddress.
6. ThepartiestothisAgreementwaiveallclaimsagainstoneanother,andagainsttheirrespectiveparentand/oraffiliated
companies,directors,officers,shareholders,employees,assigns,andagents(collectivelyreferredtoanaffiliates).For
incidental,consequentialandexemplarydamagesforanyclaimorcauseofactionrelatingtotheAgreement.
7. P&PConsultantsfurtherreleaseP&Pownersandaffiliatesfromallliabilityarisingfromorrelatingtothepromotionofproducts
orCompensationandMarketingPlan,theoperationofamotorvehicle,theleaseofmeetingortrainingfacilities,etc,andagree
toindemnifyP&Pforanyliability,damages,fines,penalties,orotherawardsarisingfromanyunauthorizedconductthatI
undertakeinoperatingmybusiness.
a. TheAgreement,initscurrentformandasamendedbyP&Patitsdiscretion,constitutestheentirecontractbetween
P&Pandmyself.Anypromises,representations,offers,orothercommunicationsnotexpresslysetforthinthe
Agreementareofnoforceoreffect.AnywaiverbyP&PofanybreachoftheAgreementmustbeinwritingand
signedbyanauthorizedofficerofP&P.WaiverbyP&PofanybreachoftheAgreementbymeshallnotoperateorbe
construedasawaiverofanysubsequentbreach.
8. IfanyprovisionoftheAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbesevered,andthesevered
provisionshallbereformedonlytotheextentnecessarytomakeitenforceable.ThebalanceoftheAgreementwillremainin
fullforceandeffect.
9. ThisAgreementwillbegovernedbyandconstruedinaccordancewiththelawsoftheStateofCaliforniawithoutregardto
principlesofconflictsoflaws.IntheeventofadisputebetweenaP&PConsultantandP&Pownersarisingfromorrelatingto
theAgreement,ortherightsandobligationsofeitherparty,thepartiesshallattemptingoodfaithtoresolvethedispute
throughnonbindingmediation,thedisputeshallbesettledtotallyandfinallybyarbitration.
10. Ifeitherpartywishestobringanactionagainsttheotherforanyactoromissionrelatingto,orarisingfromtheAgreement,such
actionmustbebroughtwithinoneyearfromthedateoftheallegedconductgivingrisetothecauseofaction,ortheshortest
timepermissibleunderstatelaw.FailuretobringsuchactionwithinsuchtimeshallbarallclaimsunderthisAgreement.The
partieswaiveallclaimsthatanyotherstatuteoflimitationsapplies.
11. IauthorizeP&Ptoreproduceandusemyname,photographorpersonalstory,andwaiveallclaimsforremunerationforsuch
use.
12. IcertifythatIhavereachedtheageofmaturityinmystateofresidence.
