Terms and Conditions
I. The admission of wrongness shall indemnify the other against any claim, loss damage, expense or
liability to the extent that such claims are caused by the willful negligence or willful misconduct of the
indemnifying party.

II. This agreement shall be governed and construed in accordance with the laws of the state of
Pennsylvania.

III. All covenants, representations, warranties, and other stipulations in this agreement and other documents
referred to herein, given by or on behalf of any of the parties hereto, shall bind and inure to the benefit of
the respective successors, heirs, personal representatives and assigns hereto.

IV. This agreement may be executed simultaneously in two or more counterparts, each of which shall be
deemed an original. It shall not be necessary in making proof of this agreement to produce or account
for more than one such counterpart. If one or more of the provisions contained in this COW are deemed
to be invalid, illegal or unenforceable in any respect, the validity, enforceability and legality of the
remaining provisions shall not be affected.

V. Except as provided specifically herein; this agreement is not inured only to the benefit of the below
signers. All third parties shall enjoy the benefits of this agreement or shall have any rights hereunder.

VI. In witness thereof, the parties hereto have caused this Certificate of Wrongness to be executed by their
duly authorized representatives as of the date written below.
This certificate is proof that on ___________________when discussing the matter of
______________________ I, _____________________, do hereby admit that I WAS
WRONG. The facts clearly showed that ___________________ was correct in the matter
identified herein.
