Tosvpae £3EV0/8TS ‘roosecsbkOo ‘Weinstein (colletively the “Weinsteins”), against its partner Westside Productions, LLC (Westside, the "loan out" company for acclaimed filmmaker Michael Moore. TFAG and Westside are partners in a joint venture that produced and distributed the film Fahrenheit 9/1 28 thought-provoking and critical documentary about the events which lured this country i COMPLAINT cososanynasasneoive2 Iraq, Westside and ‘TFAG agreed that: (a) Moore would write, direct and produce the film; (b) TFAG would finance, sell and distribute the film; and (c) the profits would be shared equally 50/50. Although Westside and Moore delivered an award-winning film that achieved major box office success, TFAG has failed and refused to share equally the fruits of the venture as the partners had agreed. 2. As Westside's partner, agent and distributor, TFAG assumed fiduciary obligations awe ow toward Westside including, among others, the obligation to pay, and to properly account for, ‘Westside’s 50% share. As controlling members of TFAG, the Weinsteins too owed direct fiduciary | duties to Westside. TFAG and the Weinsteins, however, breached those fiduciary duties and 10 | TFAG's obligations by failing to pay Westside its share, by using bogus accounting methods to i 2 13 14 15 16 "7 18 19 20 21 hide the true amounts due Westside, and by secretly diverting monies owed Westside to TFAG and the Weinsteins. 3, TRAG and the Weinsteins” deception was first uncovered in or about November 2008 through an audit commissioned by Westside, That audit (which was later augmented in 2010) revealed highly irregular accounting practices including, among other things, charges to the production for the cost of private jets to fly one of the Weinsteins and his assistant to Europe. It ‘was also revealed that ‘TFAG improperly and secretly used money belonging to the TFAG- ‘Westside venture to acquire TFAG's rights in the venture, THE PARTIES 4. Plaintiff Westside is, and at all times mentioned herein was, a Limited Liability Company in the business of loaning the services of Michael Moore, the iconic filmmaker known 22 2 24 for such notable films as Roger & Me, Bowling for Columbine, Sicko and Fahrenheit 9/11. ‘Westside is the successor-in-interest to Dog Eat Dog Films, Ine. 5. Defendant TFAG is, and at all times mentioned herein was, a Limited Liability 25 Company. As set forth herein, TFAG is the suecessor-in-interest to the rights, obligations and responsibilities of Miramax Film Corp. and Icon Entertainment International with respect to certain ar 28 agreements. 6. Defendant Harvey Weinstein is an individual and a member of TFAG. 8. Plaintiff's ignorant of the true names and capacities of the Defendants sued herein as Does | through 20, inclusive, and therefore sues these Defendants by such fictitious names, Plaintiff will amend this Complaint to allege their names and capacities when ascertained, Plaintiff| 5 | is informed and believes and, on that basis alleges, that each such fictitiously-named Defendant is responsible in some manner for the damages alleged herein, and that Plaintiff's losses and damages ‘were proximately caused by such conduct, 9, tall times relevant herein, each of the Defendants was the agent, representative, and/or employee of each of the remaining Defendants, and in doing the things hereinafter alleged, ‘vas acting within the course and scope of such relationship, and each of the Defendants approved and ratified the conduct of the each of the remaining Defendants. FACTS COMMON TO ALL CLAIMS 10, Inor about March 2003, Michael Moore (“Moore”) wrote a concept for a motion picture entitled Fahrenheit 9/1] (the “Pictue”). Shortly thereafter Moore’s then loan out company, Dog Eat Dog Films, Inc. (“Dog Eat Dog”) formed a joint venture with Icon Entertainment Intemational (“Icon”) with respect to the Picture (the “Joint Venture”). Dog Bat Dog and Icon ‘memorialized the terms of the Joint Venture ina document entitled Sales Agency and Distribution Deal Terms (the “Original Agreement”). That document set forth the basic terms pursuant to ]which the Joint Venture would sell and distribute the Picture, Among other things, Dog Eat Dog, ‘and Icon agreed that Dog Eat Dog would provide Moore’s services to write, direct and produce the Picture and that Icon would act as Dog Eat Dog’s agent with respect to the distribution of the Picture. Dog Eat Dog and Icon further agreed that, subject to the payment of various fees and costs, Dog Eat Dog and Icon would split equally the profits derived from the Picture. The partners also agreed that Icon would provide financial reports to Dog Eat Dog which had certain rights to audit those reports. 11. Inor about April 2003, Jeon assigned all ofits rights under the Original Agreement {to Miramax Film Corp. (“Miramax”), which assumed all of leon’s duties and obligations with respect (othe Joint Venture. In or about May 2003, Dog Bat Dog and Miramax executed an 3 Case No. COMPLAINT 305209017 as3co1von agreement wherein, among other things, they acknowledged that Miramax had assumed all of Tecon’s obligations with respect to the Joint Venture including all of Icon’s duties in the Original ‘Agreement, In or about May 2003, Dog Eat Dog assigned its rights and obligations in the Joint Venture to Plaintiff Westside, In or about May 2004, Miramax assigned al of its rights and obligations in the Joint Venture to defendant TFAG. Accordingly, as of June 2004, the parties to the Joint Venture are TFAG and Westside. 12, ‘The pasties further agreed that revenues from worldwide sales of the film were to be split 50/50 after payment to Westside of certain fixed compensation (including a $1 miltion “producer Fee"), cash on cash recoupment of the budget by TFAG, and recoupment by TRAG of “its fall permitted sales and distribution fees and recoupment of its ongoing sales and distribution expenses.” Under their Agreement, TFAG assumed control over al of the incoming revenues and the corresponding obligation to account for and ensure payment to Westside of its share. In| connection with those payments, TFAG was required to deliver to Westside accurate and truthful participation statements setting forth in appropriate detail, among other things, worldwide revenues forthe film and permissible deductions and expenses. 13, As Westsde's partner in the Joint Venture, and as agent for Westside, TFAG assumed fiduciary obligations to Westside, including among other things: (a) the duty to properly account to Westside fr its 50% share in revenues; (b) the duty of full disclosure, including the duty} {0 provide complete and accurate financial information; (c) the duty to refrain from self-dealing at Westside's expense; (d) the duty of care; and (¢) the duty of loyalty 14, From the inception ofthe Original Agreement through the filing ofthis Complaint, “TFAG breached and continues to breach the express and implied terms of the Agreement (and its fiduciary duties) by, among other things, failing to pay Westside the full amount of its share of compensation due, by issuing misleading and false participation statements, by failing to permit Westside's auditors access to all relevant books and records, and by failing to properly account to Westside 15.
