RESTRICTIONS OF MARCUS POINTE SUBDIVISION, LOCATED IN THE COUNTY OF ESCAMBIA, STATE OF FLORIDA This Amendment to Declaration of Covenants. Conditions and Restrictions of Marcus: Pointe Subdivision, Located In The County Of Escambia, State Of Florida, is made and entered into by Marcus Pointe Homeowners Association, Inc., a Florida not-for-profit corporation, whose address is 4400 Bayou Boulevard, Suite 35, Pensacola, Florida 32503, and is joined in and consented to by at least two-thirds (2/3) of the Owners, as provided in Article Ill, Section 3 of said Declaration and as evidenced by the Joinders attached hereto. WITNESSETH WHEREAS, the Declaration of Covenants, Conditions and Restrictions of Marcus Pointe Subdivision, Located In The County Of Escambia, State Of Florida, was recorded at O.R. Book 2917, Page 683, of the public records of Escambia County, Florida (the “Declaration”; and WHEREAS, the Declaration has been previously amended by numerous Notices of Annexation and Supplemental Covenants, Conditions and Restrictions and various Amendments to the Declaration, and similar documents, all as recorded in the public records of Escambia County, Florida (the “Amendments”); and WHEREAS, as set forth herein, the Declaration, as amended by the Amendments, is hereinafter collectively referred to as the “Declaration”; and WHEREAS, it is of material and substantial benefit to the Association and the Owners for the Marcus Pointe Golf Course (“Golf Course”) to be maintained and operational: and WHEREAS. the Association believes that itis in the best interest of the Association and the Owners to levy and collect an annual assessment to help support the maintenance and replacement of key components of the Golf Course; WHEREAS. the Association and Marcus Pointe Golf, LLC (“Golf Course Owner”), a Florida Limited Liability Company, have agreed upon and executed the Marcus Pointe Golf ‘Course Maintenance Agreement; -rwntrrtteeeeneinenncnnenmannnnnssnanieinc BK: 6614 PG: 648 NOW THEREFORE, for and in consideration of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows: 1. Recitals. The above recitals are true and correct and are hereby incorporated by reference. 2. Golf Course Assessment. Article V, Assessments. of the Declaration, is hereby amended by the addition of the following Section 12: Section 12 = Annual Golf Course Maintenance and Replacement Assessment. In the event the Association, through its Board of Directors. and Marcus Pointe Golf have agreed upon and executed The Marcus Pointe Golf Course Maintenance Agreement (“the Agreement”), then commencing on July 1, 2010, the Association shall levy, and each Owner shall pay to the Association, a $240 assessment (hereafter “the Golf Course Maintenance and Replacement ‘Assessment”) that the Association shall collect and pay over in its entirety t0 Marcus Pointe Golf, LLC a Florida Limited Liability Company, which is the current owner of the Golf Course as of the date of recordation of this amendment (“Golf Course Owner”) and commencing on February 1, 2011 and each February | thereafter the Association shall levy, and each Owner shall pay to the Association, an annual $480 Golf Course Maintenance and Replacement ‘Assessment that the Association shall collect and pay over in is entirety to the Golf Course Owner, The Association's obligations hereunder to levy and collect the Golf Course Maintenance and Replacement Assessment shall be ‘contingent upon execution of the Agreement. For purposes of implementing this provision, no additional notice, meeting, or approval shall be requited for levying and enactment by the Association of the Golf Course Maintenance and Repair Assessment. The Golf Course Maintenance and Repair Assessment shall be used exclusively by the Golf Course Owner for ordinary maintenance, repair, and replacement of key components of the Golf Course including. but not limited to, tees, fairways, greens, hazards and roughs. The Golf Course Maintenance and Repair Assessment shall be in addition to and exclusive of the maximum annual assessment and any special assessments levied and collected in accordance with this Article V. ‘The Golf Course Maintenance and Repair Assessment shall be fixed at a uniform rate for all Lots. The Golf Course Maintenance and Repair Assessment, together with interest at the highest rate allowed by law, an administrative late fee of $25.00, costs and reasonable attomey’s fees, shall be a charge and a continuing lien upon the Lot against which the Golf Course Maintenance and Repair Assessment is made from the time such assessment becomes due. Each Golf Course Maintenance and Repair Assessment, together with interest at the highest rate allowed by law, an administrative late fee of $25.00, costs and reasonable attorney's fees shall also be the personal obligation of the person who is the Owner of such Lot at the time the assessment becomes due. Except BK: 6614 PG: 649 eee as otherwise specifically set forth herein, the Golf Course Maintenance and Repair Assessment shall be levied, collected and enforced, and the Association shall have all liens. rights and remedies for the collection and enforcement of ‘the same, as set forth in Article V. Assessments, for the collection and enforcement of maximum annual assessments and special assessments. In the event of a transfer of or change in the majority interest in the Golf Course Owner the Association through its Board of Directors may at its sole and exclusive discretion cease levying and collecting the Golf Course Maintenance and Repair Assessment, may cancel the Golf Course Maintenance and Repair Assessment, and may refund any payments to the owners making such payment. ‘The Golf Course Maintenance and Repair Assessment inures to the benefit of and is payable only to the Golf Course Owner. The Association through its Board of Directors may at its discretion but shall not be required to continue levying or collecting the Golf Course Maintenance and Repair Assessment if such transfer of ownership of the Golf Course occurs. In the event the Agreement is terminated, cancelled, expires according to its terms, or is declared unenforceable, the Association through its Board of Directors may at its sole and exclusive discretion cease levying and collecting the Golf Course Maintenance and Repair Assessment, may cancel the Golf ‘Course Maintenance and Repair Assessment, and may refund any payments to the owners making such payment. 3. Binding Effects. Except as otherwise specifically set forth herein, all other terms and provisions of the Declaration shall remain in full force and effect. In the event of any conflict between the Declaration and this Amendment, the terms and provisions of this Amendment shall control. Capitalized terms, not otherwise defined herein, shall have the same meaning as set forth in the Declaration. This Amendment shall be binding upon the Association and all Owners and their heirs, successors and assigns.
