Website Service Agreement

Effective Date: ____________________ This Website Service Agreement (the Agreement) is made and entered into as of the Effective Date by and between Own Local, a Texas corporation with offices at 4674 Priem Lane Suite 404, Pflugerville, TX 78660 (Own Local), and ____________________________ (the Client), collectively referred to as the Parties. The Parties agree as follows: 1. SERVICES. Client shall engage Own Local for the design, hosting, and maintenance of its world wide web site (the Site) to be located at the following web address http://www.___________________________________________________ Such services to be described in greater detail below (the Services): A. Design and Development. The initial design and development will be completed to the Client's specifications and shall be completed within 7 business days of the effective date. B. Consultation. Own Local will provide Client, upon Client request, consultation which includes, but is not limited to, any and all internet orientation, trouble shooting, marketing strategy, and education regarding use of a web page editor. C. Fixes / Updates. Own Local will, as necessary, fix/update technical errors, update links, and maintain any custom coding or scripts in order to make the site run. Own Local is not responsible for any of the following services (the Non-Included Services): i) the development of new custom graphics for the Site unless expressly described above, ii) Writing or editing of any content. A fee of $50 per hour will be charged for any Non-Included Service requested by Client. 2. COMPENSATION. For the Services contemplated in this Agreement, Client will pay Own Local the agreed-upon fees on the order form: Payment not received within twenty-five days of date billed will result in an additional charge of 1.5% per month and in addition the customer is responsible for costs of collection including reasonable attorneys fees incurred in the collection process. 3. TERM. The original term of this Agreement is for 12 months beginning on _________________, 2011 This Agreement will automatically renew for an additional month at the end of each existing term if neither Client nor Own Local receives notification of termination from the other party. A notification of termination must be received by the non-terminating party no less that 30 days before the end of the existing term. 4. CONFIDENTIALITY: Own Local agrees to not disclose to any other person (unless required by law) or use for personal gain any Confidential Information at any time during or after the term of this Agreement. 5. CLIENT REPRESENTATIONS: Client represents and warrants that the text, graphics, and photographs provided to Own Local for the Site are owned or licensed by Client, and that Client is authorized to use and display such items in the manner contemplated by this Agreement. Client shall be solely responsible for the Site and materials on the Site and the validity of copyrights, trademarks and ownership claimed by Client. Client agrees to indemnify and hold Own Local harmless from and against any claim, loss, damage, expense or liability (including attorney's fees and costs) that may result in whole or in part.

6. SEVERABILITY: If any part or parts of this Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall continue in full force and effect. If any court of competent jurisdiction deems any provision of this Agreement invalid or unenforceable, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited. 7. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. 8. ACKNOWLEDGMENT OF SERVICES: Own Local is providing site construction, hosting, and SEO services. Own local, will to the best of its abilities optimize all sites that it constructs. The site owner acknowledges the fact that declining some of the services provided by Own Local, may affect desired result.
