Executive summary
Operating expenses may be defined as those that pertain, in the case of industrial companies, to the production process. In the case of service sector companies, operating expenses refer to those that are directly involved in the process of carrying out the business. Such processes include all those pertaining to purchases, human resources, production and marketing and selling. Conventionally, expenses incurred on raising or using finances are not considered as operational expenses. There are a few more - amortisation, write-offs, prior-period expenses, etc. Often, the distinction between operating and non-operating expenses is clear. But at times there is some ambiguity regarding the nature of the expense. As a result, the basic framework of data capture at CMIE avoids the classification of expense heads as operational and non-operational. However, disclosure practices of companies often compel us to use the term "operational expenses". Expenses that can be posted without the use of such a term are posted appropriately into CMIE's detailed classification of expense items and, the remaining "operational expenses" are clubbed into one of the two data-fields: "Other operational expenses of industrial enterprises" or "Other operational expenses of nonfinancial services enterprises". This data-field includes all operating expenses of a services sector enterprise that are not already covered in any of the other data field. These are likely to be some very industryspecific operational expenses. For example, the food and beverages expenses of a hospitality company or the cargo handling expenses of a transport company or the medical consumables expenses of a hospital or the studio charges of a film producing company do not fall into any of the conventional expense item heads. These are not raw materials for processing or purchases for trading. But, these are operating expenses that need a special treatment. They need a special treatment because they are very industry specific. Only a film producing company would have studio charges as a major expense head. This data field captures all the possible operational expenses of non-financial services companies that have not been captured elsewhere. Introduction:
The Central Vigilance Commission vide its Circular No.15/07/09 dated 01.07.2009, stated that CVOs receive complaints from many a decentralized location. According to the Prevailing practice what is sent to the CVO from different decentralized locations entirely depends on the appreciation of vigilance angle or otherwise by the officers controlling these decentralized locations. In such a system there is every chance that a complaint with a vigilance overtone may not be forwarded to the CVO, due to a lack of appreciation or for other bonafide reasons. The Commission has emphasized the need to lay down a Complaint Handling Policy in all Government departments and Public Sector Organisations. In order to have uniform procedure in handling and processing of complaints, it is imperative that a Complaint Handling Policy is laid down in all organisations for receipt, handling and processing of all types of complaints/grievances from the public, contractors, suppliers etc. The policy should make it clear that any complaint/grievance received in the company by any functionary containing an element of alleged corruption, malpractices or misconduct etc. should necessarily be sent to the CVO for scrutiny and action. This policy & procedure document is accordingly framed to guide the employees of Balmer Lawrie & Co. Ltd., in dealing with complaints/grievances received by them.

Company History

1960 - The company was incorporated as a Pvt. Ltd. company under the name Indian Flange & Mfg. Co. Pvt. Ltd., on 12th February. It was a wholly owned subsidiary of American Flange & Manufacturing Co. Inc., USA. The name was changed to Tri-Sure India (Pvt.) Ltd., on 22nd April. It was converted into a public limited company on 24thFebruary, 1975. American Flange & Manufacturing Co. Inc., USA, developed substantial technical know-how for the manufacture, insertion, application and the use of Tri-Sure closure parts and provided this information, under licence or other arrangements, to its subsidiaries and affiliated companies throughout the world. 1973 - 2,53,335 shares held by American Flange & Mfg. Co. Inc. USA and 1 share by its nomineeTri-Sure Products Inc. of New York. 1975 - Before the public issue of capital during April, the Company was a wholly owned subsidiary of American Flange & Manufacturing Co. Inc., USA. After the public issue of capital the non-resident holding in the company reduced from 100% to 49% whereupon the Company ceased to be asubsidiary of American Flange &Manufacturing Co. Inc., USA (AFMC). - 2,63,680 shares issued (prem. Rs 7.50 per share) of which 25,000 shares each to LIC & UTI and 41,341 shares to Indian directors and employees werereserved for firm allotment.1,72,339 shares offered to the public in April 1975. Subsequently, the entire premium amount refunded to shareholders. 1988 - 1,82,900 shares issued for cash at par to Balmer Lawrie & Co.Ltd.

1991 - The company has also signed a MOU with W.S. Atkins,an expert energy consultancy firm operating in the U.K. and Europe for possible collaborative work on large projects in India

and export of energy management services in South East Asian countries. Freight Container Repair Division(FCRD) was set up as a 100% export Oriented Unit for serving the container repairs and maintenance needs of international container leasing companies. 1992 - The Company has set up a Technical Services Centre at Perungudi, Madras , which will,apart from developing tailormade products, look into customers, specific problems and offer cost effective solutions. 1993 - The Company diversified into manufacture of state of the art valerex plastic drums through acquisition of the project set up by Balmer Lawrie & Co. Ltd. Name of the Company was changed from Tri-Sure India, Ltd., to Balmer Lawrie-Van Leer Ltd., with effect from 28th December. The 'Valerex' is an unique State of the Art' technology in plastic containers being introduced in India for the first time by the Company under technical collaboration with Van Leer B.V. of Netherlands. The Company proposes to set up a separate joint venture with equity participation from Fuchs Petrolub AG of Switzerland (their investment company) to market the entire range of Fuchs and Balmerol brands of lubricants and greases which would be manufactured at Company's existing/expanded and ungraded manufacturing facilities at Calcutta, Bombay and Madras. Balmer Lawrie (UK) Ltd. signed a long term agreement with world renowned container leasing company-Transamerica Leasing Inc., USA to manage its fleet. Proposed Join Venture Company with IOC & NYCO S.A.,France Agreements were signed between Balmer Lawrie. The Company set up a Training-cum-Production Centre for Socks Knitting and operationalised a Lift Irrigation Project in one of the backward districts of West Bengal. 1994 - 32,57,268 rights shares issued in prop. 1:4.The Company has entered into a marketing tie-up and technical services agreement with a world renowned multinational-Hispano Quimica SA,Spain 1995 - Major effort was put into commissioning of import equipment inthe Flange Pressing, milling and threading and stabilization of imported plugline. A number of new customers in the lube oil sector were added. In view of this, the Company proposed to double its capacity. 14,39,748 shares allotted on conversion of 14% PCDs.The Company has entered into

strategic alliances with several MNCs who are global leaders in their respective fields of activity. 1996 - Multinational Companies who have entered the country in Lube oil business got their 20 L containers from the Company. Capacity of the plant was increased by adding injection moulders and welders.V-200 production had a full year of operation and the Company achieved more than 50% capacity utilisation in the very first year of operation.40,07,016 No. of Equity shares of Rs 10 each allotted due to conversion of Part `B' of 14%PCD of face value of Rs 50.The Company formally opened on its state-of-the-art container freight station at Manalinear Chennai port. 1997 - The Company received the National Award for its outstanding achievement in export of packet tea and tea bags for 1995-96. The Company is setting up two more Container Freight Stations at Chennai and Mumbai. 1998 - The Company is setting up a Barrel Plant at Panipat to cater to the requirement of Panipat Refineries of Indian Oil Corporation Ltd.On 21 January, the Company executed an agreement withNational Securities Depository Ltd., and MCS Ltd. (the Registrar and Share Transfer Agent of the Company). 1999 - The Company has received approval of the Reserve Bank of India for setting up of fullfledged money changing business in different citiesthroughout the country, which shall enable it to add value to customer service. 2000 - The Company has closed down its units at Manali and Aroor as part of its business restructuring exercise. The production (of industrial fat) at the Taloja unit was phased out in 1999-2000 while the company's entire equity stake in Balmer Lawrie Fuchs Ltd.,a joint venture, has been sold.The ICRA had assigned the highest safety rating of `A1+' to the Rs five crorecommercial paper programme of the company.Similar agreement has been executed by the Company and MCS Ltd., with Central Depository Services (India) Ltd., on 31 January. 2002 Mr S N Mathur gives his resignation from the post of chairman at thecompany. Government finalizes on the disinvestment of the company, anddirects it to release an advertisement for buying the equity stake. Ties up with Switzerland firm for outbound tourism. Appoints Shri S K Mukherjee as the Director Finance of the company. 2003 Mr P Radhakrishna appointed as the Director on the board of the company. Shri N P Singh appointed as the WholeTime Director of the company. Shri A K Jain has been appointed as a Director of the Company with effect from September 29, 2003, as a nominee of the Ministry of

BLCL has formed JVs in its various business segments. Balmer Lawrie-Van Leer Limited is a joint venture between BLCL (40%) and Royal Packaging Industries Van Leer NV (60%) which manufactures steel drum closures and plastic containers. AVI-OIL India (P) Ltd. is a joint venture of Indian Oil Corporation Limited (25%), BLCL (25%) and NYCO SA of France, established for the production/supply of aviation & allied lubricants to the defense services, civil aviation and the industrial sector. Action is on hand to fill up the shortfall vacancies. --------------Women Empowerment The Company believes in providing equal opportunities to women in employment. The present strength of women employees is 6.25%, despite the fact that a large chunk of our workforce constitutes shopfloor workers. The Company has created an a atmosphere conducive for women employees to join and build a career in this organization. Global Compact The Company remains committed towards fulfillment and furtherance of principles enumerated in the Global Compact. During the year, the Company -- besides promoting greater environmental responsibility through Occupational Health & Safety Assessment Sequence [OHSAS] certification of three of its Manufacturing Units -- has also approved a Project on Wind Energy with the objective of promoting clean technology. To achieve this objective, the Company has earmarked a portion of its net profit for financing different CSR projects which are implemented with collaboration with various NGOs / VSSOs of repute. During the year the Leather Chemical Division has been re-certified under the Integrated Management System Certificate (ISO 9001:2000, ISO 14000:2004 and OHSAS 18001:1999) by Certification body of TUV SUD Management Services GMBH, Germany. Further the Grease Plants in Kolkata and Silvassa have been accorded ISO 14001 certification. During the last year, we had initiated action to get the Greases plant at Chennai certified as ISO 14001 compliant. The Company has also initiated measures to tap eco-friendly energy sources for its Plants using Wind-Energy route. This plan will be executed over a period of time and are confident of our success. Principles Relating to Human Rights Principle # 1 & 2 : Support and respect the protection of internationally proclaimed human rights / Not be complicit in human right abuses Balmer Lawrie remains committed to uphold and strive to further the cause human rights in all aspects of its business and ensure that neither the Company nor any of its business partners indulge in any human rights violation or are complicit in any human rights abuse in any manner. The various actions taken and the status are as under: * The Company has constituted Committees at Corporate and Regional levels to prevent any possible Sexual Harassment of Women at Workplace and to ensure that the employees are able to work in a positive atmosphere free from physical or psychological threat, abuse or sexual harassment. * The Company does not, as a matter of principle, deal with any party with history of human rights abuse. * The Company consciously works towards the development of the society at large and provides financial support for community development projects. Principles Relating to Labour As reported in the previous COPs, Balmer Lawrie recognizes and respects the dignity of labour and strives to ensure that there is total freedom of association and no discrimination whatsoever in matters of employment. The company provides safe and healthy working condition, pays competitive wages much above the minimum level, and has provision for health care and other welfare measures. In all matters pertaining to labour, it follows conventions adopted by the International Labour Organisation. Further it abides by all regulatory provisions governing the employment in the organisation and strives to enhance their quality of work-life. To be more specific, the present status, including the actions taken, is as under: Principle # 3: Uphold the freedom of association and effective recognition of the right to collective bargaining * The Company strongly believes in and supports the employees

right to association. As of now there are six Unions and 2 Associations representing different sections of employees in the Company. * Settlements on terms and conditions of service are arrived at through the process of collective bargaining. All the commitments made to the collective are implemented in letter and spirit. Negotiations to conclude long term settlements, where due, have already commenced in the year 2008-09 and it is our expectation that the new wage settlements would be signed before the end of current next year. * The Company continues to follow the policy ofnon-discrimination of bargaining agents based on political affiliation or any other extraneous considerations. Principle # 4: Elimination of all forms of forced or compulsory labour * Employment in the Company is on free volition of the employees. No form of forced or bonded labour exists or is allowed. * Employees are free to terminate the contract of employment by giving a notice as stipulated in their appointment letters. * All forms of employment are governed by Letters of Appointment Engagement and are subject to acceptance by the incumbent employees. Principle # 5: Abolition of Child Labour * The Company policy does not permit employment of any person below the age of 18, directly or through contractor, in any of its businesses. To ensure this the age of an incumbent employee is verified at the time of recruitment. Principle # 6: No Discrimination in respect of employment and occupation * The Company does not practice any form of discrimination or bias in matters related to hiring of employees, their career planning, training and development, promotion, transfers, or on remuneration and perquisites. treatment to all associates of the Company. Principles Relating to Environment Principle # 7 : Environmental Protection * The Company gives highest priority to protect the environment. Towards this end, precautionary measures have been put in place with regard to treatment/discharge of effluents conforming to the standards laid down by the regulatory authorities in all its Plants and Manufacturing Facilities. Principle # 8 : Promoting greater environmental responsibility * The company has initiated action to reduce power consumption and reduction in generation of waste in all its Manufacturing Units. The Grease plants at Kolkata and Silvassa have received ISO 140012004 certification. The Leather Chemicals Division at Chennai has been certified under OSHAS. The certification process under OSHAS for our Grease plant at Chennai has been complted successfully and we are awaiting the certificate at any time now. Principle # 9 : Development and diffusion of environmental friendly technologies * The Company has continued its efforts at technological upgradations in its manufacturing processes to ensure that adverse impact of our operations in the environment are minimized. Our R&D team continuously works to identify raw materials, processes and technologies, which will have minimum impact on the environment. We provide a safe and healthy working environment to our employees and communities around us. * In 2008 the Company has embarked in a journey to tap windenergy with an objective to enhance usage of clean technology at all critical levels. Principle Relating to Ethics & Transparency Principle # 10 : Elimination of corruption in all its forms, including extortion and bribery * Transparent policies and systems have been put in place to ensure ethical behaviour of Balmer Lawrie employees, and we expect our employees to behave in conformity with these principles.
