BY-LAWS OF PHERIGO CEMETERY ASSOCIATION, INCORPORATED

Unionville, Missouri Putnam County Richland Township


INTRODUCTION A MEETING WAS HELD ON May 28, 1973 at 2:00 p.m., at the cemetery, for the purpose of starting perpetual care for the cemetery. After Discussion, all were in favor of starting perpetual care. Six board members were elected and organized as follows: President, Ross Guffey; Vice President, Blaine Trent; Secretary-Treasurer, Nina Guffey; Hobart Gillum, Floyd Butler, and Daymond Wood, Members. On June 2, 1973, Mr. Leopard, an attorney from Unionville, was contacted to incorporate. The cemetery was incorporated with the Secretary of the State, James C. Kirkpatrick, at Jefferson City, Mo. On the 16th day of July, 1973 and recorded in the Recorders Office in Putnam Col, Unionville, Missouri, August 1, 1973, book #138, pages 632-634.

ARTICLE I One acre lying near the Northwest corner of the Southeast Quarter of the Southwest Quarter of Section Twenty-two (22), having its lines as follows: beginning about Thirteen and one-half (13 ) rods Southeast of the Northwest corner of said tract of land and thence running East, Eighteen rods and Fourteen feet, thence South Eight rods and Five feet, thence West Fifteen rods and Four feet and thence a little West of North, Eight rods and Twelve feet to the place of beginning, the tract of land contains One acre lying near the Northwest corner or the Southeast Quarter of the Southwest Quarter of Section named Twenty-two (22), Township Sixty-five (65), Range Eighteen (18), containing One acre, the same being under fence and is being used as a burying ground. A tract of land described as beginning at the Southeast corner of the Pherigo Cemetery as now fenced in the Southeast Quarter of the Southwest Quarter of Section

Twenty-two (22), Township Sixty-five (65) North, Range Eighteen (18), West of the fifth Principal Meridian, and thence running South parallel with the East line of said cemetery a distance of 169 feet to the North line of the public road as now located, thence following the public road in a Westerly and Northwesterly direction to the Southwest corner of said cemetery, and thence running in an Easterly direction along the South side of the cemetery to the place of beginning. Also a tract of land which is to be used for parking purposes, but with no graves to be located theron, described as beginning at the Northwest corner of the said Pherigo Cemetery as now fenced in the Southeast Quarter of the Southwest Quarter of Section Twenty-two (22), Township Sixty-five (650 North, Range Eighteen (18) and running thence North 100 feet to the North line of said 40 acre tract, thence running West 97 feet to the East line of the public road, thence running in a Southeasterly direction along the East side of said public road to a point due West of the Northwest corner of said cemetery, and thence running East 50 feet to the Northwest corner of said cemetery being the place of beginning. Containing in all 0.91 of an acre of land, more or less.

ARTICLE II The purpose of the corporation shall be to maintain a permanent fund. This trust fund must be kept open for future contributions and only the interest on the same is to be used for the perpetual care and upkeep of the Pherigo Cemetery. No part of the permanent fund shall be spent or disposed of for any purpose whatsoever.

ARTICLE III SECTION 1 BOARD OF DIRECTORS The Board of Directors shall consist of six members. The first Board of Directors are: President, Ross Guffey, Vice President, Blaine Trent; Secretary-Treasurer, Nina Guffey; Daymond Wood, Hobart Gillum, and Floyd Butler, Members. SECTION 2

ELECTION OF OFFICERS Once a year, on Memorial Day at 2:00 p.m. there shall be a meeting to elect board members. Anyone interested in the cemetery may qualify to vote in the election. The president may preside at the election at which time the directors shall be elected to fill the vacancies in office.

SECTION 3 TERM OF OFFICE In order to make a term of office alternate on a 3-year term basis, the Board of Directors are to serve as follows: Blaine Trent, 3 years; Floyd Butler, 3 years; Hobart Gillum, 2 years; Daymond Wood, 2 years; Ross Guffey, 1 year; Nina Guffey, 1 year. Each member may succeed himself or herself to office as often as selected to serve the term of 3 years. The Board has the right to appoint any vacancies that may occur to serve until the next election.

ARTICLE IV OFFICERS MEETING QUORUM SALARY As soon as possible after the annual meeting the Board of Directors shall organize by selecting the following officers: President, Vice President, and Secretary-Treasurer, each to serve the term of three years. Meetings shall be held at the call of the president. A majority of the board shall constitute a quorum for the transaction of business. Members of the Board of Directors and all other officers shall serve without fee or compensation.

ARTICLE V DUTIES OF OFFICERS The president shall preside at all meetings and appoint all committees and exercise a strict supervision over the affairs of the corporation. The vice president shall in the absence of the president, assume all duties. The secretary-treasurer shall make and keep all complete records of proceedings of the corporation and conduct its correspondence. They shall receive all money belonging to the corporation and deposit such money in the name of the corporation in some bank or other financial institution that carries federal insurance at the decision of the Board. He or she shall have in their possession for safe keeping, the original copy of the articles of incorporation together with all other valuable papers and documents belonging to the corporation. At the expiration of their term of office they shall deliver to their successor in office, all money, checks, records, and all other property belonging to the corporation which are in their possession.

ARTICLE VI AMENDMENTS These By-Laws may be amended by a concurring vote of majority of the Board of Directors, except Article II subject to the approval of the qualified voters at the next election. The foregoing By-Laws shall be effective as of August 1, 1973.

ARTICLE VI PLOTS COSTS - RECORDS As per a majority vote of the Board of Directors on May 25, 2008, all plots shall cost one hundred fifty dollars ($150.00) paid to the Pherigo Cemetery Association through the treasurer. Plots marked, by stone or marker, prior to this date (5-25-2008) shall not incur the said cost. A cemetery map listing locations of all cemetery plots, as well as a compiled record of those resting in the cemetery, shall be maintained by the Board of Directors and be kept on file in the Recorders Office in Putnam County; Unionville, Mo. The map and record in the Recorders Office shall be updated annually, following the meeting of the Board of Directors. This amendment to the original by-laws was put into effect on May 25, 2008 by the existing Board of Directors: President, David Wood; Vice President, Sonny Wood; Secretary, Laura McDonald; Treasurer, Cindy Minear, and Board Members Phil Burns and Wanda Burns.
