This is a very interesting film to emerge from Bollywood at a time when there is a seismic shift in Indian society away from the public sector towards the private sector. Everything is fair in Love and Corporate Warfare. Thats precisely the theme of this movie Corporate. Movie houses. Both the parties can stoop to any level for having higher market share. This corporate entity constructed by director Madhur Bhandarkar. The foundation of this enterprise is a confused mix of ethics, questionable principles that drive profits and doubtful and misdirected corporate motives. Corporate is about the vicious circle of ambition in the private sector, and how human emotions and life have no significance in it but the story, situations and the treatment of the narrative cannot be compared to any Bollywood flick witnessed so far. CORPORATE is nonconforming and appeals tremendously. explains about the importance of three P- Power, Paisa and Politics. It is the battlefield of two business

MANAGEMENT CONCEPTS

1. CORPORATE GOVERNANCE: Corporate governance is a reflection of the companys culture, policies, relationship with stakeholders, commitment to values and ethical business conduct. In the same spirit, timely and accurate disclosure of information regarding the financial situation, performance, ownership and governance of the company is an important part of corporate governance. In this movie there are two business houses, one is Marwah and another is Sehgal group. Both are strong competitors of each other and also having different work culture, ethics, and relationship with employees, moral values, and different mindset of powerful people of the organization. Rajat Kapoor plays Vinay Sehgal, Managing Director of Sehgal Group of Industries, looks convincing as a suave, impulsive and immoral business tycoon. Raj Babbar plays Dharmesh Marwah of Marwah group is good as the god-fearing, traditional, calm and composed businessman who doesn't take hasty decisions, but at the same time is corrupt. Both can stoop to any level to stay a step ahead to another. 2. COMPETETIVE ADVANTAGE: Competitive advantage is a position a firm occupies against its competitors. The two forms of competitive advantage are cost advantage and differentiation advantage. Cost advantage occurs when a firm delivers the same services as its competitors but at a lower cost. Differentiation advantage occurs when a firm delivers greater services for the same price of its competitors. They are collectively known as positional advantages because they denote the firm's position in its industry as a leader in either superior services or cost.

In this film both companies were adopting different tactics, strategies, plans and policies to stay a step ahead to another. For this both the companies gave regular bribe or swing tenders in favor of them, for sensationalism, theres also the regular hotel room date with

an actress to lure the politicians . The administration is greased, politicians are trapped with the help of Bollywood beauties; money is thrown like pieces of paper and everything is happening just to get an upper hand in the market.
3. RATIONALITY IN EMOTIONAL DECISION:

This movie is a clear reflection of the actual corporate work culture, where everyone thinks about own profit first, everyone is money minded they have nothing to do with the emotion, loss, anxiety and the pain of others. This movie also explains that emotional and personal decisions should always be taken separately. We should not merge it. As we have seen in this movie all plans, strategies were made by the Nishi and she was one of the biggest contributors in the success of the sehgal group. Everything works as per the plan. However, Nishi had never thought of a situation where she would be made the scapegoat. The new product is raided for pesticides. Sehgals are on the verge of destruction and Nishi is made to believe that only she can save them. She takes the blame on herself after a promise that she will be bailed out soon. But, 'Corporate' has another plan. Her love is targeted; she gives birth to her child and so on and so forth. Nishi suffered by the lifetime loss and the pain due to only one emotional decision of her life.

4. NEXUS BETWEEN THE CORPORATE WORLD AND THE POLITICS:

This film unveils the many relations which were made by the corporate houses with the powerful politicians for getting the tenders and other favourism. On the return of this politicians get support and money from the business houses. This is a give and take relation, which is eagerly followed by corporate world. The film also explores another shocking issue - the use of actresses by businessmen to lure politicians. The boardroom is where the film is largely set, and of course the odd politicians meeting places are featured, be it to collect the regular bribe or swing tenders in favor of their favored; for sensationalism, theres also the rather regular hotel room date with an actress. At the beginning of this movie when Sehgal group supported party come in power than Finance minister personally meet with Sehgal group and tell them that a multinational company FRISCON is searching for INDIAN counterpart for elaborating their business, and he has fixed their meeting with the Friscon group. On the other hand it is noticeable in this movie that at the time of deal between Marwah and Sehgal in the last part of this movie, the finance minister assures Sahgal that he just do whatever Marwah is saying to bridge the differences . He will handle the lower share price of the company by meeting with other financial institutes. This incident shows that how the different statements of ministers can fluctuate the share price of the company.

5. BUSINESS ETHICS AND SOCIAL RESPONSBILITIES:

Business ethics is a form of applied ethics that examines ethical principles and moral or ethical problems that arise in a business environment. In the increasingly consciencefocused marketplaces of the 21st century, the demand for more ethical business processes and actions is increasing. Social responsibility and business ethics are often regarding as the same concepts. However, the social responsibility movement is but one aspect of the overall discipline of business ethics. The social responsibility movement arose particularly during the 1960s with increased public consciousness about the role of business in helping to cultivate and maintain highly ethical practices in society and particularly in the natural environment. In this movie there is a confused mix of ethics. Everyone is molding their ethics according to their profit mottos. Most of the characters of this movie were indulging in many unfair means for getting profit, enhancing his or her position in the organization, or just maximizing the profit. NISHI (Bipasha Basu) vice president of Sahegal group playing an intelligent but manipulative business executive. She is ready to do anything to succeed. The boardroom battle hots up when Nishi steals a major Marwah project and ensures that Ritesh heads it. Ambitious Vinay Sehgal goes ahead with his plans in spite of the negative report of FDA. At this time Nishi warn Sahgal by saying that if we launch this product in the market then it will affect the health of the consumers, it may cause CANCER and also pregnant women may affect severely. It goes without saying; Marwah gets back to him and soils his image completely.

6. DECISION MAKING ABILITY OF THE MANAGERS:

A business tycoon throws a fit when he loses a deal. The core team in a business organization is working under high pressure to protect the ego of their highly ambitious boss, or a rival group is pulling political strings to ruin the competitor's accomplishments. In this panic situation it is very tough to managers to take right decision at the right time that too with keeping our values and ethics along with us.

Ambitious Vinay Sehgal goes ahead with his plans in spite of the negative report of FDA. Television artist Harsh Chhaya plays the role of Naveen a shrewd but principled business executive, with aplomb. Who took prompt and right decision in this critical situation. Because resigning from the very reputed post is a risky task but it is better for saving his future, rather than taking emotional decision which was taken by Nishi in this movie. In this situation Harsh took the right decision by keeping his future in his mind but at the same time Nishi involved in many emotional feeling and tried to save every one. So ultimately she had to bear the brunt of her mistake by spoiling her whole life. But Nishi also acquired the plan of Marwah group at the right time and made announcement at the right moment in media. So that Marwah group cannot get enough time to protect them self from the losses. Strategy modification according to the current circumstances is one of the important part for the success of the plan and business also.

SUMMARY:

It very cleverly incorporates the process of institutional corruption that may occur as stateowned enterprises are sold to the private sector, whilst at the same time challenging the profitcentered ethos of the private corporation where decent and professional people are often driven to behave in indecent and unprofessional ways - managing this behavior is one of the great challenges of the twenty-first century. There's also an interesting nod in this film towards the Coca-Cola polluted water scandal of a couple of years back. Nishi (Bipasha Basu) is a successful executive in Sehgal Food Industries, headed by Vinay Sehgal. Decision of the Maharashtra Government to give a Public Sector Unit of Bottling Plant to the private industry started race among the industrialists. Sehgal and Marwa (Raj Babbar) is bitter rival and attempt everything to control the bottling plant. Marwa wins the contract manipulating the State Finance Minister Gulabrao, which makes Sehgal mad. Meanwhile brother-in-law of Sehgal, Ritesh (K.K. Menon), returns from US and Sehgal reluctantly includes him in the board of the company. Nisha and Ritesh had affair before Ritesh had left India. Sehgal further gets frustrated by losing Best Industrialist Award to Marwa. During that Nisha receives secret information from an employee of Marwa Group about the new soft drink launch. She successfully gets the all information about the new product of Marwa by alluring an executive of the opposite camp. Sehgal in order to beat the rival launches the soft drink early in the market. Unfortunately, Food and Drug Department finds high quantity of pesticide in the new product. The officials were bribed to keep quiet, and it was decided to launch the product anyhow, with pesticide. For this decision one of the top executive leaves the company, who is against the decision. Nisha and Ritesh were persuaded that soon the solution would be found, and it was not good to postpone the launch, when the public issue of shares of the company was coming out.

The product was launched and successfully covers the market. Ritesh was made CEO of the company, and by this decision a second in command of the company feels cheated and reveals the secret of the pesticide to Marwa. Marwa using his political connection harass and humiliate Sehgal. Eventually, when everything becomes clear that there is no escape, except if someone comes forward and take all the responsibility of the scam, the Sehgal group would be in total mess. Vinay Sehgal and his wife request Ritesh to convince Nishi to take blame and the promised that she would be freed soon. Nishi agrees to take blame and surrender before the police and was put behind the bars. But the pressure does not cease off, finally the foreign investor company, threatens Finance Minister to withdraw all the investment if there is no end of the political and business rivalry. A compromise is arrived between Marwa and Sehgal; however the ministers refuse to settle the case of Nishi before the election is over, which means many months in the custody for Nishi. Ritesh finds out the compromise scheme, and also that Nishi is pregnant with his child. He demands from Sehgal to get free Nishi within two days otherwise he would tell everything to the media. Next day Ritesh is found dead and Nishi is completely broken down. Movie ends with Sehgal who is happy with his successful soft drink product and Nishi who is bailed out but still facing the food case.
