SUBLEASE AGREEMENT This Sublease Agreement is made and entered into this __ day of ________, 2012, by and between

(hereinafter called the "Lessor") and _____________________________________ (hereinafter called the "Lessee"). 1. That the Lessor, for the considerations, purposes, and covenants herein set out, does sublet, sublease, and demise unto the Lessee, for a term beginning ___________, 2012 (the Commencement Date) for the following property located in Pulaski County, Arkansas, otherwise called the "Premises." ADDRESS The initial term of the sublease shall be three (3) months. 2. The Lessee shall pay to the Lessor, starting one month after the Commencement Date said above, the sum of One Thousand Dollars($1,000) per month. In the event the rental payment is not paid within the first five (5) days of each month, then, on the sixth (6th) day, a late fee of One Hundred Twenty-Five Dollars ($125) will be incurred. If the rental payment, along with the late fee, has not been paid by the 15th day of the month, the Lessee shall have caused the sublease to be breached and Lessee shall be in default with Lessor having the right to pursue any and all remedies as set forth in Paragraph 11 below. 3. This sublease shall entitle the Lessee to the exclusive and full use and enjoyment of the Premises for WHEN DOES HE GET IT 4. Lessor shall have the right to the exclusive and full use and enjoyment of the Premises on the 3rd Friday of each month, provided that notice is provided to Lessee in writing 30 days prior to the desired use. Additionally, Lessor shall have the right to any additional days of exclusive full use and enjoyment of the Premises upon 30 days notice. Any such additional days of use by Lessor shall be credited from that month's rent at a rate of XXX per day. Lessor agrees to use no more than 5 such days in any 30 day period. 5. Provided the sublease is in full force and effect and Lessee is not in default of any terms or conditions of the Sublease Agreement and is operating its business in the premises, Lessor grants an unlimited option to extend the Sublease for a period of three (3) months, upon the same terms and conditions as contained in the primary sublease. 6. The Lessor hereby agrees that he will pay all taxes and assessments that may be legally assessed on said premises during the continuance of the tenancy hereby created, as well as any extension or renewal. 7. The Lessee shall have no right to improve, modify, or otherwise change the Premises in any way. Lessee shall have the right to move furniture and other fixtures within the Premises, but shall be responsible for cleaning and returning the Premises to its original condition at the end of each day. 8. The Lessee shall have the right to use any appliances or other amenities located on the Premises, but shall be responsible for all disposable products associated therewith (coffee, cups, etc.). 9. Lessee shall have the right to place a sign on the property as is allowable by code (City of North Little Rock and Argenta Historic District) and meets the reasonable approval of the Lessor. Lessee shall be responsible for such costs. 10. All notices required by this sublease shall be given by certified mail, postage prepaid. Notice to the Lessor shall be addressed to ____________________ and notice to the Lessee shall be addressed to _________________. Notice regarding intended use of the Premises by Lessor pursuant to the provisions of paragraph four (4) may be made by email to ___________@____________. 11. Lessee understands that Lessor is not the Premises owner, and is leasing the property from XXXXXX (Owner). All conditions of this sublease, including the term of it are subject to Owner

approval. In the event that Lessor is no longer leasing the property from Owner, Lessee's rights under this sublease shall immediately terminate. All conditions of this Lease are subordinate to Lessor's lease with Owner, which shall take precedence in all matters. 12. This sublease together with any written agreements which shall have been executed simultaneously contains the entire agreement and understanding between Lessor and Lessee, and there are no oral understandings, terms or conditions not expressly defined herein. Neither Lessor nor Lessee has relied upon any representation, express or implied, not contained in this sublease or a simultaneously executed writing, and all prior understandings are merged in this sublease. 13. The covenants and conditions of this sublease and any extensions thereof shall extend to and be binding upon the heirs, administrators, successors and assigns of both Lessor and Lessee.
