Amalapuram, East Godavari Dist 533 201. is made at KIMS College of Engineering, NH-214, Amalapuram, Andhra Pradesh as of this 01st Feb 2012 between:
THIS MEMORANDUM OF UNDERSTANDING (MOU)

KIMS College of Engineering having its office located at Chaitanya Nagar, Amalapuram (hereinafter

referred to as KIMS, which expression shall, unless repugnant to the meaning or context thereof, be deemed to mean and include its successors and permitted assignees) AND NeoApp Technologies, having its branch office located at H.No. 2-6-32-1/1, 1st Floor, 50 Buildings Center, Kakinada - 3 (hereinafter referred to as NAT which expression shall, unless repugnant to the meaning or context thereof, be deemed to mean and include its successors and permitted assigns). (NAT and KIMS are hereinafter Collectively referred to as Parties and individually as a Party)
NOW IT IS HEREBY MUTUALLY AGREED BY AND BETWEEN THE PARTIES HERE TO AS FOLLOWS:

Scope of MOU NAT and KIMS will work together for conducting / providing .

Academic Project Training for Undergraduate (B.Tech) Students of IT at KIMS.

1. Contributions of KIMS:
Providing their Labs for developing Projects. Providing LCD Projector

II. Contributions of NAT

NAT will coordinate in providing Visiting Faculty and Workshops in various identified phases involving in project development lifecycle. NAT will coordinate in conducting Mini Project Training at KIMS campus in the core areas IT discipline.

III.

Confidently

The Parties agree to keep confidential all written and verbal information received from the other Party in connection with the arrangement contemplated herein. Each of the Parties agrees not to make use of such information for any purposes other than (i) to further the purpose of this relationship: and (ii) to perform its part of the obligation. This confidentiality obligation shall survive after the termination of this MOU and shall be binding on each Party thereafter. The above undertaking in this clause shall, however, not apply to information which ( I) if or becomes generally known through publication or otherwise other than as a result of breach of confidence by the person receiving the information, or (ii) the receiving Party can establish was in its possession, without any restrictions as to its disclosure, at the time of its receipt; or (iii) is subsequently lawfully acquired by the receiving Party independently of any other Party; or (iv) us disclosed to employees, legal advisers, to auditors and other consultants of a Party or it related bodies corporate on a need to-know basis except to the extent required by law, no press releases or announcements are to be made with respect to the arrangement contemplated herein unless mutually agreed to by the Parties. IV. Term and Termination This MOU shall be effective from the date of its execution and shall be valid further unless specifically terminated by the Parties in writing. Any Party may terminate this MOU with 30days written notice to the other Party and the terminating Party shall not be liable for any loss, damages compensation cost or any other expense. Upon any expiration or termination of this MOU, each Party shall either return all confidential information (including any copies thereof) of the other Party, or dispose of some or all of such confidential information (including any copies thereof), pursuant to the written instructions of the other party. V. Miscellaneous

(a) This MOU shall be governed by the laws of India. If any dispute arises out of this MOU between the Parties, than the Parties shall resolve that dispute by negotiations in good faith. If the dispute cannot be resolved within 60days of commencement of negotiations, then the same will be referred to arbitration. (b) Each Party shall indemnify other against any claims, demands, actions, loss, damage, costs of expenses suffered by the other (s) as a consequence of any breach of any of the terms of this MOU. (C) The relationship between the Parties shall always be on a Head of the institute (or their nominees) basis and nothing herein contained shall construe either Party to be the agent or representative of other. (d) Any variation of this MOU shall be valid only if mutually agreed and executed in writing by or on behalf of the Parties. (e) This MOU may be executed in multiple counterparts, each of which shall be deemed as origional, but all of which shall be deemed as origional, but all of which shall constitute one and the same instrument.
