Purchase of Tender Documents: Tender documents can be purchased from the office of the Chief Electrical Engineer/D&D, Chittaranjan Locomotive Works, Chittaranjan, Distt Burdwan, West Bengal, Pin Code 713 331, on all working days between 10.00 hrs to 17.00 hrs (on Saturday: 10.00 to 12 hrs) till 11/01/2012 up to 14.30 hrs on production of Cash Receipt of Rs.3,000/(Rs. Three thousand only) issued from Chief Cashier, Chittaranjan Locomotive Works, Chittaranjan on the deposit of the said amount. 13. The tender documents are not transferable. 14. All pages should be signed and dated in ink by the Tenderer and all the documents submitted together to form one Tender. Attention is drawn to Cl. 1.7. 15. The 4documents duly completed should be put in a sealed cover, superscribing thereon, the (i) Tender No., (ii) Name of work and (iii) Name of the officer in whose favour the tender is submitted i.e. Chief Electrical Engineer/D&D. Sealed tenders are to be dropped inside the sealed tender box kept in the office of Chief Electrical Engineer/D&D,C_D&D, Chittaranjan Locomotive Works, Chittaranjan, Distt Burdwan, West Bengal, Pin Code 713 331 up to15.30 hrs on dated 11/01/2012 or the tenderers may send their tenders by Registered post to the address mentioned above. The tenders, in order to be considered, must reach this office not later at 15.00 hrs. on 11/01/2012. Tenders received after this time and date will be rejected. Tenders will be opened on the same day i.e. on dated 11/01/2012 at 15.30 hrs.at the office of Chief Electrical Engineer/D&D, C-D&D, CLW, Chittaranjan. In case office is closed on stipulated date and time for receiving / opening due to bundh/holiday or any other reason then the tender papers will be received / opened on the next working day at the same place and timing as advertised. Earnest Money: (a) The tenderer shall be required to deposit earnest money of Rs. 72,000/- (Rs. Seventy Two Thousand only) in acceptable form as mentioned Clause 2.1 of Conditions of tender document with the tender for due performance with the stipulation to keep the offer open till such date as specified in the tender, under the conditions of tender. (b) Tenders received without the prescribed amount of Earnest Money in proper form will be summarily rejected. No interest will be paid on the Earnest money. In case the tenderer withdraw his offer within the validity date of his offer or fails to undertake the contract after acceptance of his tender, the full amount of Earnest money deposit will be forfeited. Completion of work: The firm should complete the said work within three months from the date of issue of LOA. Should a tenderer find any discrepancy in or omission in any of the tender document or should be in doubt as to their meaning, he should at once notify to the Authority inviting Tenders who may send written instructions to all Tenderers. It should be understood that every endeavor has been made to avoid any error which may materially affect the basis of Tender and the successful Tenderers should take upon himself and provide for the risk of any error which may subsequently be discovered and shall make on account thereof. The CLW Administration reserves the right, either to accept or reject the lowest or any other tenderer. Moreover, the CLW Administration is not bound to or to assign any reason for non- acceptance or rejection of the tender. The CLW Administration reserves the right to accept any tender in respect to the whole or any portion of the work specified in the tender paper or to subdivide the work among different tenderers or to reduce the work or to accept any tender for less than the tendered quantities without assigning any reasons what so ever. Successful tenderers will require executing an agreement in prescribed Performa within 15 days of the date of issue of Letter of Acceptance.

To The President of India, Acting through the Chief Electrical Engineer/D&D Chittaranjan Locomotive Works, Chittaranjan I/We, have read the various conditions to tender attached hereto and hereby agree to abide by the said conditions. I/We also agree to keep this tender open for acceptance for a period of 120 days from the date fixed for receiving the same and in default thereof. I/We will be likeable for forfeiture of my/our Earnest Money. I/We offer to do the works of Software Modification in Three Phase Locomotives to adopt IGBT based auxiliary converter at CLW, Chittaranjan, as per the Schedule of Work & Description mentioned in the Schedule and hereby bind myself/ourselves to complete the works within the period of time as may be specified and terms laid down in the contract Agreement. I/We also hereby agree to abide by the general, and Special conditions of contract and to carry out the works according to the above conditions and as per scope of work specified and conditions laid down in contract Agreement. The Tenderer whose tender is accepted shall be required to appear at the office of the General Manager or Chief Electrical Engineer/D&D, as the case may be, in person or, if a firm or corporation, a duly authorized representative shall so appear, and execute the contract documents within 15 days after notice that the contract has been awarded to him. Failure to do so shall constitute a breach of the agreement effected by the acceptance of the 1in which case the full value of the earnest money accompanying the tender shall stand forfeited without prejudice to any other rights or remedies. In the event of any tenderer, whose tender is accepted, is refusing to execute the contract documents as per procedure laid down in the preceding Para, it shall constitute abandonment of the Contract and the Railway shall be entitled to cancel his tender and to forfeit the full amount of the earnest money.

Until formal agreement is prepared and executed, the acceptance to this tender shall constitute a binding contract on our part as indicated in the letter of acceptance of my/our offer for the works. I/We produce herewith the Demand Draft/Cash Deposit Receipt no.. . datedfor Rs. 72,000/- (Rs. Form-2 AGREEMENT CHITTARANJAN LOCOMOTIVE WORKS CHITTARANJAN, DIST: BURDWAN Contract Agreement No: OT/C-D&D/01/11/2011-12. Value: Rs. 36,00,000/ARTICLES OF AGREEMENT made this day of ..between the President of India acting through the Chittaranjan Locomotive Works Administration hereinafter called the "RAILWAY" on the one part and Shri/Messrs ------------------------------------------------------- hereinafter called Contractor" on the other part.

Whereas the Contractor has agreed with the Railways for the performance of the works for Software Modification in Three Phase Locomotives to adopt IGBT based auxiliary converter Set forth in the schedule here to annexed upon the CLW's Electrical Department's conditions of contract and also the General Condition of Contract of Indian Railways and the Annexure and Notes annexed. In case of any conflict between CLW Electrical Department's conditions of contract and provisions for G.C.C. of Indian Railway on any point or in respect of any terms and conditions, the G.C.C shall prevail. And whereas the performance of the said works is an act in which the public are interested.

NOW THIS INDENTURE PRESENTS WITNESSETH that in consideration of the payments to be made by the Railway, the contractor will duly perform the said works in the said schedule set forth and shall execute the same with great promptness, care and accuracy in a workman like manner to the satisfaction of the Railway and will complete the same in accordance with the said Conditions of contract on or before 06 months from the issue of LOA and will observe, fulfil and keep all the conditions therein mentioned (Which shall be deemed and taken to be part of this contract as if the same had been fully set forth herein) and the Railway both hereby agree that if the contractor shall duly perform the said works in the manner aforesaid and observe and keep the said terms & conditions, the Railway will pay or cause to be paid the contractor for the said works on the final completion thereof, the amount due in respect thereto at the rates specified in schedule here to annexed.

Part-I Regulations for Tender 1.1 Tender papers. The regulations and conditions for Tender, General and special conditions of contracts, supplementary conditions of contract and specifications, along with schedule of requirements included in Part I to VI shall hereafter be collectively referred to as Tender papers. Meanings of Terms In these Regulations for Tenders and contracts the following term shall have the meanings assigned here-under except where the context otherwise requires: (i). Railway shall mean the President, Union of India or the General Manager or Administrative officers of Chittaranjan Locomotive Works, Chittaranjan or of successor Railway authorized to invite tenders and (ii). Successor Railway shall mean and include such other Railway to which for administrative or other reasons this contract may during its pendency be transferred. (iii). General Manager shall mean the Officer in Administrative charge of the Chittaranjan Locomotive Works and include the General manager of successor Railway. (iv). Chief Electrical Engineer means the Officer in-charge of the Electrical Work is in Chittaranjan Locomotive Works, Chittaranjan and includes Chief Electrical Engineer of the Successor Railway. (v). Engineer shall mean the Deputy Chief Electrical Engineer Con/TU-II / CLW and other superior Officers of the Electrical Department at CLW or Successor Railway. (vi). Engineers representative shall mean the Assistant/Senior Electrical Engineer in direct charge of the works and shall include any inspector or supervisors working under him and shall include any inspector or supervisors working under him and shall include Engineers representative of Successor Railway. (vii). Specification shall mean the Technical Specifications for materials process and testing of products referred to in part V of Tender documents as may be revised or superseded by special specification. (viii). Drawing shall mean the maps, drawings, plans and prints thereof annexed to the contract and shall include any modification of such drawings as may be issued by the Engineer from time to time. (ix). Period of Maintenance shall mean the specified period of maintenance from the date of completion of the works as certified by the Engineer. (x). Month means any consecutive period of thirty days. (xi). Schedule of requirement shall mean the schedule of requirement issued under the authority of the Chief Electrical Engineer. Singular & Plural Words importing the singular number shall also include the plural and vice versa where the context as requires. Interpretations: These regulations, for Tender, shall be read in conjunction with conditions of Tenders General condition of contract as well as the General and special conditions of contract for works which are referred to herein and shall be Signature of Tenderer/Contractor with Seal and Date

subject to modifications, additions or super session by supplementary conditions of contract and / or specification, if any, annexed to the Tender Forms. Contractors Credentials: To be spelt out as sought in the Form-3. Financial credential: Audited balance sheet of last three financial years (before current financial year) to be submitted. Care in submission of tenders: Before submitting a tender, the tenderer will be deemed to have satisfied himself by actual inspection of the site and locality of the works, that all conditions liable to be encountered during the execution of the works are taken into account. When work tendered is done by firm or company of contractors, the tender shall be signed by individual, legally authorised to enter into commitments on their behalf. Form of Tender: (i). All the documents to be submitted in connection with this Tender should be signed in English or in Hindi and in ink. (ii). The Tender shall be submitted in the prescribed form annexed hereto. The rate wherever quoted, must be clearly written in figures and in words in the rate quoted, no fraction is permitted. The rate quoted must be firm, precise and unconditional. (iii). Dimensions, weights etc. shall be quoted IN METRIC SYSTEM. iv) The tender not submitted along with the following documents will be summarily rejected. Each copy of the tender shall consist of the following: (a) Tender Form. (b) Details of contracts for similar works executed, if any. (c) Any other technical information the tenderer may wish to furnish. (d) Deposit Receipt/Cash Receipt/Demand Drafts for the Earnest Money in Original. (e) Any clarification required by the Tenderer may be obtained from the Engineer CLW. (f) All documents should be neatly bound and filed in a suitable file with separate logical sections as the offer document. Note: (i). The tender papers duly signed in ink by the tenderer on each and every page in token of his having studied the same carefully shall be submitted. (ii). Deviations from the tender paper will not normally be agreed to. (iii). The Tenderer shall indicate the schedule of time for completion of the work, with reference to the date of issue of the acceptance letter regarding placement of contract. (iv). If any item is excluded by the tenderer submitting this tender the Tender is likely to be rejected. (v). The tender documents are not transferable.

Part-II Conditions of Tender 2.1 Manner of Deposit of Earnest Money: The total sum of Earnest money as indicated in Instruction to Tenders Constitute the Earnest money for the tender. The deposit of Earnest Money may be made either in Cash or in the form of deposit recipts,Pay orders or demand drafts executed by a scheduled Bank. Authority in whose favour the deposit of earnest money deposit shall be made: (i). Deposit Receipt/Pay order/Demand Draft towards deposit of Earnest Money for the Tender should be drawn in favour of the FINANCIAL ADVISER & CHIEF ACCOUTS OFFICER, CHITTARANJAN LOCOMOTIVE WORKS, CHITTARANJAN. (ii). Deposit of Earnest Money in Cash should be made to the Assistant Chief Cashier, C.L.W. at Chittaranjan but before making the deposit, an authority slip should be obtained from the office of the Electrical Engineer/CLW/Chittaranjan. It should be clearly noted that without the authority slip the deposit of Earnest Money in cash shall not be accepted by the Assistant Cashier. (iii). The total amount of Earnest Money notified in the Tender shall constitute as the initial Security Deposit for keeping the offer open for the period specified in the Tender it shall be understood that the Tender documents have been issued to the Tenderer and the Tenderer has been permitted to tender for the works/supply in consideration of the stipulation on his part that after submitting his tender the tender will not be rescind from his offer or modify the terms and conditions thereof in a manner not acceptable to the Railway. Should the Tenderer fail to observe or comply with the foregoing stipulation; the initial Security Deposit mentioned herein above shall be forfeited to the Railway. (iv). If the Tenderer whose tender has been accepted does not execute the Contract Agreement within 15 (fifteen) days after receipt of notice issued by the Railway that the contract has been awarded to him OR does not commence the work after receipt of order to that effect, the full value of Earnest Money deposited with the Tender shall, without prejudice to any other rights, remedies available, be forfeited to the Railway. (v) The Earnest Money of the un-successful Tenderer, as herein before provided, shall be refunded to the un-successful Tender as early as possible without any interest on it.. (vi) Deleted. PERFORMANCE GUARANTEE Submission of the Performance Guarantee: i) Within 15 days of issue of the Letter of Acceptance (LOA) from the Employer/Engineer, the successful tenderer shall furnish to Employer/Engineer a Performance Guarantee in the form of Unconditional and irrevocable bank guarantee on the Performa annexed as Annexure-IForm-3 from any Scheduled Bank in India for an amount of 5% (Five percent) of the accepted cost of this Consultancy work. The Bank Guarantee shall be valid beyond 60 days from the date of completion of the work. ii) No payment under the contract shall be made to the Consultant before receipt of performance Guarantee. iii. Failure of the successful tenderer to furnish the required performance Guarantee. shall be a ground for the annulment of the award of the Signature of Tenderer/Contractor with Seal and Date

Contract and forfeiture of the Earnest Money Deposit. Forfeiture of Performance Guarantee: The whole of the Performance Guarantee shall be liable to be forfeited by the Employer/Engineer at the discretion of the Employer/ Engineer, in the event of any breach of contract on the part of the Consultant or if the Consultant fails to perform or observe any of the conditions of the contract. Release of Performance Guarantee: On due and faithful/satisfactory completion of the entire work (Proof checking of scheme/s and Supervision) the Performance Guarantee. shall be returned to the Consultant. Right of Railway to deal with Tenderers: (i). It shall not be obligatory for the Railway to accept the lowest tender and no tenderer shall demand any explanation for the cause of rejection of his tender. The Railway reserves the right to accept any tender in respect of the whole or any portion of the work specified in the tender papers or to sub-divide the work among different tenderers or to reduce the work or to accept any tender for less than the tenderer quantities without assigning any reason what-so-ever. (ii). If the tenderer deliberately gives wrong information in his tender or creates circumstances for the acceptance of his tender, the Railway reserves the right to reject such tender at any stage. (iii). If a tenderer expires after the submission of his tender or after the acceptance of his tender, the Railway shall deem such tender as cancelled. If a partner of a firm expires after the submission of their tender or after the acceptance of their tender, the Railway shall deem such tender as cancelled unless the firm retains its character. Application of Contract Act 1872 The Contract is normally guided by the following: (i). Indian Contract Act: 1872 (ii). General conditions of Contract, Regulation Act, Instructions for tenderers and Standard Forms of Contract 1989. In case of any conflict between CLW Electrical Departments conditions of contract and provisions for General conditions of contract 1989 as mentioned above on any point or, in respect of any terms and conditions, the General conditions of contract 1989 shall prevail. Submission of Credentials: Attested copies of document testifying to the tenderers previous experience and financial status should be sent with the tender and the originals produced when desired by the Railway. Submission of Tenders: Tenders must be enclosed in sealed covers, superscribed. Tender for . It must be sent by registered post to the address of the Engineer, Chittaranjan Locomotive Works, Chittaranjan 713331, so as to reach not later than 14.30 hrs. on the stipulated date or deposited in special box provided for the purpose in the Office of the Engineer, Chittaranjan Locomotive Works, Chittaranjan 713331. This will be sealed at 14.30 hrs. on the stipulated date. Non-Compliance Non-compliance with any of the conditions set forth herein above is liable to result in tender being rejected. Execution of Agreement: The successful tenderer shall be required to execute an agreement with The President of India acting through the Chief Electrical Engineer/D&D within thirty days of receipt of acceptance letter for carrying out the work according to the General and Special Conditions for Contract, supplementary conditions of Contract and specifications. Period of Validity of Offer: The Tenderer shall keep the offer open for a minimum period of 120 days from the date of opening of the tender, within which period the tenderer cannot withdraw his offer subject to the period being extended further, if required by mutual agreement from time to time. Errors, omissions and Discrepancies in Tender Document Tenderers Risk: Should a Tenderer find discrepancies in, or omissions from the drawings or any of the Tender Forms or should he be in doubt as to their meaning, he should at once notify the authority, inviting tenders, who may send written instructions to all tenderers. It shall be understood that every endeavour has been made to avoid errors which can materially affect the basis of the Tender and the successful Tenderer shall take upon himself and provide for the risk of any error which may subsequently be discovered and shall make no subsequent claim on account thereof. Rate To Cover Taxes and etc. For any job which involves supply of materials by the Contractor at his own cost the rate quoted shall be inclusive of all taxes, charges, octoroi and etc.

Part-III General and Special Conditions of Contract 3.0 Important Note: The general and special conditions of contract contained in this section are meant for Software Modification in Three Phase Locomotives to adopt IGBT based auxiliary converter. Interpretation in line with general engineering practice and prudence shall be made as applicable to the work. Execution Correlation and intent of Contract Documents: The contract documents shall be signed in sufficient number of copies by the Railway and the contractor. The contract documents are complementary and what any one calls for shall be as binding as if called for by all; the intention of the documents is to include all labour ad materials, equipment and transportation charges necessary for the proper execution of the works. Materials or work not covered by or properly inferable from any heading or class of the specifications shall not be supplied by the contract documents. Service of notice on contractor: The contractor shall furnish to the Engineer the name, designation and address of his authorized agent and all complaints, notices, communications, and references shall be deemed to have been duly given to the contractor, if delivered to the contractor to the Engineer. Accommodation: The contractor may apply for accommodation, however, grant of the same is not assured and the allotment or demand of vacation is prerogative of Railway Administration. Treatment of contractor's staff in Railway Hospitals: The contractor and his staff other than labourers and their families requiring medical aid from the Railway hospitals and dispensaries will be treated as private parties and charged accordingly. Contractor's Liability to obtain security permits: Chittaranjan is a protected area. Entry into this is restricted by issue of security permit, which is controlled by the Senior Commandant (RPF) CLW/ Chittaranjan. The contractor should, therefore, arrange to obtain security permits of his own as well as his labours, supervisors, Engineer etc. well in advance and they should observe all Rules & Regulations formulated by the Railway from time to time in this respect. The security permits are also required for the materials, machines, and other accessories if any. Causing damages to Rly's equipment, Machines, Private Life and Property etc. by the contractor: Any damage caused to equipment, machines and other assets during the period of work shall be made good by the contractor to the extent determined by the Railway, failing which, the Railway will be at liberty to realise such costs from the contractor in any manner whatsoever. Assignment or subletting of contract:The Contractor shall not assign or sublet the contract or any part thereof or allow any person to become interested therein any manner whatsoever without the special permission in writing of the Railway. Any breach of this condition shall entitle the Railway to rescind the contract under clause 3.28 of these conditions and also render the contractor liable for payment to the Railway in respect of any loss or damage arising or ensuing from such cancellation. execution of the details of the work by petty contractor under the direct and personal supervision of the Contractor or his agent shall not be deemed to be subletting under this clause. The permitted subletting of work by the Contractor shall not establish any contractual relationship between the sub-contractor and the Railway and shall not relieve the Contractor of any responsibility under the Contract. 3.8 Assistance to the contractor: The Contractor shall not, except to the extent specified/agreed to by the Railway in the acceptance of the tender, be entitled to assistance either in the procurement of draw materials, labour or transport facilities required for the fulfillment of the contract. Contractor to execute work with diligence and expedition: The contractor shall execute the work with due diligence and expedition. Should he refuse or neglect to comply with any reasonable orders given to him in writing by the Railway in, connection with work, or contravene the provisions of the contract, the Railway shall be at liberty to give 7 days notice followed by 48 hours notice in writing to the contractor requiring him to make good the neglect or contravention complained of and should the contractor fail to comply with the requisitions made in the notice within 07 days from that date, it should be lawful for the Railway to take the work wholly or in part out of the contractors hand without any further reference and get work or any part there of as the case may be, completed by the Railway or other agencies at the expenses of the contractor without prejudice to any other rights or remedies of the Railway in this regard. Rates for extra items of works: Any item of work carried out by the contractor on the instructions of the Engineer which is not included in the accepted schedule of rates shall be executed at the rates agreed upon between the Engineer and the Contractor before the execution of such items of works. The contractor shall be bound to notify the Engineer at least 07 days before the necessity arises for the execution of such item of work that the accepted schedule of rates does not include. The rates payable for such items shall be decided at the meeting to be held between the Engineer and the contractor in as short a period as possible after the need for the special item has come to the notice. In case the contractor fails to attend the meeting after being notified to do so or in the event of settlement being arrived at, the Railway shall be entitled to execute the extra works by the means and contractor shall have no claim for loss or damage that may result from such procedure, provided that if the contractor shall commence work or incur any expenditure in regard there to before the rates shall be determined as lastly hereon to forementioned, then and in such a case the contractor shall only be entitled to be paid in respect of the works carried out of expenditure incurred by him prior to the date of the rates as aforesaid according to rates as shall be fixed by the Engineer. However, if the contractor is not satisfied with the decisions of the Engineer in this respect, he may appeal to the Chief Electrical Engineer within 20 days of getting the decisions of the Engineers supported by the analysis of rates claimed. The Chief Electrical Engineer's decisions after hearing both the parties in the matter shall be final and binding on the contractor and the Railways. Time to be the essence of contract: The time fixed for completion of the works including the extension of time if any shall be deemed to be of the essence of the contract and if the contactor shall fail to complete the works within the time prescribed, the Railway shall, if satisfied that Signature of Tenderer/Contractor with Seal and Date

the works can be completed by the contactor within a reasonably short time, thereafter be entitled without prejudice to any other right or remedy available on that behalf to recover by way of ascertained and liquidated damages a sum equivalent to one half of one percent of the contract value of the works for each week or part of week the contractor is in default and allow the contractor such further extension of time as the Engineer may decide. Instructions of Engineers Representative: Any instructions or approval given by the Engineer's representative to the contractor in connection with the works shall bind the contractor as though it had been given by the Engineer provided always as follows: (a) Failure of the Engineer's Representative to disapprove the work or materials shall not prejudice the power of the Engineer thereafter to disapprove such work or materials and to order the removal or breaking thereof. (b) If the contractor shall be dissatisfied by reason of any decision of the Engineer's representative, he shall be entitled to refer the matter to the Engineer who shall thereupon confirm or modify such decision. Provision of efficient competent staff/Engineer: The contractor shall place and keep on the works at all time efficient and competent staff to give the necessary direction to his workmen and to see that they execute their work in sound and proper manner and shall employ only such supervisors, engineer, workmen and labourers, in or about execution of any of the work as are careful and skilled in their various trades and callings. The contractor shall at once remove from the works any agents, permitted subcontractor, supervisor, Engineer and if and whenever required by the Engineer, he shall submit a correct return showing the names of all staff and workman as is necessary for the proper completion of the works within the time prescribed, the Contractor shall forthwith on receiving intimation to this effect take on the additional number of staff and failure on the part of the Contractor to comply with such instructions will entitle the Railway to rescind the Contract under clause 3.28.2 of these conditions. Hand Over of works: The contractor shall be bound to hand over the works executed under the contract to the Railway, complete in all respects, to the satisfaction of the Engineer. The Engineer shall determine the date on which the work is considered to have been completed, in support of which his certificate shall be regarded as sufficient evidence for all purposes. The Engineer shall determine from time to time the date on which any particular section of the work shall have been completed and the contractor shall be bound to observe any such determination of the Engineer. Power of Modification to contract: The Engineer on behalf of the Railway shall be entitled by order in writing to enlarge or extend, diminish or reduce the works or make any alterations in their design, character, position, site quantities, dimensions or the method of their execution or in the combination and use materials for the execution thereof and to other any additional works not to be done or any works not to be done and the contractor will not entitled to any compensation for the actual amount of work done and for approved materials furnished against a specific order. Measurement certificates and payments, quantity in schedules annexed to contract: The quantities set out in the accepted schedule of rates with items of works quantified are the estimated quantities of the works and they shall not be taken as

the actual and correct quantities of the works to be executed by contractor in fulfillment of his obligations under the contract. 3.17 Observance of official secret act: All drawings supplied to the contractor by the Railway are confidential and the same must be strictly confined to the contractor's own use (except so far as confidential disclosure to sub-contractors, suppliers is necessary) and to the purpose of the contract. 3.18 Recovery for advance income tax: Advance Income Tax will be recovered from each bill drawn in favour of the contractor at the rate of prevailing percent and surcharge thereof of the amount billed for payment to the contractor and the amount recovered will be credited to concerned income Tax Authority. The recovery of advance Income Tax shall however not be made if the contractor produces orders of the competent authority of Income Tax Department that advance income tax is not recoverable from the Contractor's bills. 3.19 Contractor to arrange tools, plants etc.: All tools & plants and other accessories necessary for the proper execution of the works shall have to be found and arranged by the contractor at his own costs. 3.20 Documents to be produced by the successful tenderer: Within seven days of receipt of the letter of acceptance the successful tenderer shall produce before the Engineer/CLW/ Chittaranjan the following documents: (a) If the successful Tenderer is an individual carrying on business in a name other than his own, a duly sworn affidavit (with 3 attested copies) declaring that he is the sole proprietor of the business. (b) If a partner firm three attested copies of Deed of partnership and certificate showing that the firm has been registered with the Registrar of firms. (c) If a limited liability company, a copy of memorandum and Articles of Association showing the names of the Directors of the company who are authorised to sign on behalf of the company. Where the proprietors, partners or directors will not themselves attend to the work but some other person would do so, a proper power of attorney should be given authorising this person duly. The constituted attorney to sign the contracts, variations thereof, supplementary agreements, Measurements, bills, NO CLAIM Certificates & etc. And every change in the Power of Attorney or withdrawal thereof should be immediately noticed to the Engineer, Chittaranjan Locomotive Works/Chittaranjan. 3.21 Limitation of Railways Liability to Accept Change In Power of Attorney: The Railway will not be bound by any power of attorney granted by the Tenderer or any changes in the composition of the firm made subsequent to the Execution of the contract. It may however, recognise such power of Attorney and changes after obtaining proper legal advice. The cost of which will be chargeable to the contractor. 3.22 Indemnification by the contractor: Where a workman employed by the Railways has recovered compensation from the Railway in respect of injury caused under circumstances which create a legal liability of the contractor to pay damages in respect thereof, the contractor shall indemnify the Railway in respect thereof and the Railway shall be entitled to deduct from any money due or to become due (Whether under this contract or any other contract) all money paid or payable by the Railway by way of compensation as aforesaid or the cost of expenses in connection with the claim thereto and the contractor shall abide by the decision of the Railways as to the sum payable by the contractor under the provision of this clause. Acceptance of works: When the execution of any work is completed in all respects, the Railway shall be informed in writing by the contractor and the Railway will arrange to get them inspected and tested at the cost of the contractor. On being found satisfactory, the work shall be accepted such acceptance being communicated in writing to the contractor. 3.24 Contractors liability: The contractor will be relieved of the liability arising under this contract wherever and to the extent to which the fulfillment of any obligation under the contract is prevented, frustrated, or impeded by reason of any statutory rules, regulations, order or requisition issued by the Government department or other competent authority. The Railway will however, not be liable for any compensation to the contractor, in any such eventuality. 3.25 Cessations of Railways liability: The Railway shall not be liable to the contractor for any matter arising out of or in connection with the contract or the execution of the works unless the contractor shall have made a claim in writing in respect thereof. 3.26 Signing of NO CLAIM Certificate: The contractor shall not be entitled to make any claim whatsoever against the Railway under or by virtue of, or, arising out of the contract, nor shall the Railway entertain or consider any such claim, if made by the contractor, after he shall have signed a NO CLAIM certificate in favour of the Railway, In such form as shall be required by the Railway after the works are finally measured up. The contractor shall be debarred from disputing the correctness of the items covered by NO CLAIM certificate or demanding a reference to arbitration in respect thereof. 3.27 Right of Railway to determinate contract: The Railway shall be entitled to determine and terminate the contract anytime should, in the Railways opinion, the cessation of work become necessary owing to paucity of funds or from any other cause whatsoever, in which case the value of approved materials at site and of work done to the date by the contractor will be paid for in full at the rates specified in the contract. Notice in writing from the Railway of such determination and the reason therefore shall be conclusive evidence thereof. (a) Payment to determinate contract by Railways: Should the contract be determined under sub-clause and the contractor claims payment for expenditure incurred by him in the expectation of completing the whole of the works, the Railway shall admit and consider such claims as are deemed reasonable and are supported by vouchers to the satisfaction of the Engineer. The contractor shall have no claim to any payment or compensation or other wise howsoever on account of any profit or advantage which he might have derived in consequence from the execution of the work in full but which he did not derive in consequence of determination of contract. The Railways decision on the necessary and propriety of such expenditure shall be final and conclusive. (b) Fixing milestones: The concerned executive in-charge of the work may fix appropriate milestones and monitor. 3.28 (1) Determination Of Contract Owing To Default In the Contract If the contractor should (i) Becomes bankrupt or insolvent, or

Make an arrangement with of assignment in favour of his creditors, or agree to carry out the contract under a Committee of Inspection of his creditors, or Being a Company or Corporation, go into liquidation (other than a voluntary liquidation for the purpose of amalgamation or reconstruction), or Have an execution levied on his goods or property on the works, or Assign the contract or any part thereof otherwise than as provided in Clause 3.7 of these conditions Abandon the contract, or Persistently disregard the instructions of the Engineer, or contravene any provision of the contract, or Fail to adhere to the agreed programme of work by a margin of 10% of the stipulated period, or Fail to remove materials from the site or to pull down and replace work after receiving from the Engineer notice to the effect that the said materials or works have been condemned or rejected under Clause 25 and 27 of GCC, or Fail to take steps to employ competent or additional staff and labour as required under Clause 26 of GCC, or Fail to afford the Engineer or Engineers representative proper facilities for inspecting the works or any part thereof as required under Clause (28) of GCC, or Promise, offer or give any bribe, commission, gift or advantage either himself or through his partner, agent or servant to any officer or employee of the Railway or to any person on his or on their behalf in relation to the execution of this or any other contract with this Railway, or (A) At any time after the tender relating to the contract has been signed and submitted by the contractor, being a partnership firm admit as one of its partners or employ under it or being an incorporated company elect or nominate or allow to act as one of its directors or employ under it in any capacity whatsoever any retired engineer of the gazatted rank or any other retired gazetted officer working before his retirement, whether in the executive or administrative capacity, or whether holding any pensionable post or not, in the Engineering Department of the Railways for the time being owned and administered by the President of India before the expiry of two years from the date of retirement from the said service of such Engineer or Officer unless such Engineer or Officer has obtained permission from the President of India or any officer duly authorized by him in the behalf to become a partner or a director or to take employment under the contractor, as the case may be, or Fail to give at the time of submitting the said tender:(a) The correct information as to the date of retirement of such retired engineer or retired officer from the said service, or as to whether any such retired engineer or retied officer was under the employment of the contractor at the time of submitting the said tender, or (b) The correct information as to such engineers or officers obtaining permission to take employment under the contractor, or (c) Being a partnership firm, the correct information as to, whether any of its partners was such a retired engineer or a retied officer, or (d) Being an incorporated company, correct information as to whether any of its directors was such a retired engineer or a retired officer, or

(e)

Being such a retired engineer or retired officer suppress and not disclose at the time of submitting the said tender the fact of his being such a retired engineer or a retired officer or make at the time of submitting the said tender a wrong statement in relation to his obtaining permission to take the contract or if the contractor be a partnership firm or an incorporated company to be a partner or director of such firm or company as the case may be or to seek employment under the contractor, and after expiry of 48 hours notice, a final termination notice (Proforma as Annexure V) should be issued. Then and in any of the said clause, the Engineer on behalf of the Railway may serve the Contractor with a notice in writing to that effect and if the Contractor does not within seven days after the delivery to him of such notice proceed to make good his default in so far as the same is capable of being made good and carry on the work or comply with such directions as aforesaid to the entire satisfaction of the Engineer, the Railway shall be entitled after giving 48 hours notice in writing under the hand of the Engineer to rescind the contract as a whole or in part or parts (as may be specified in such notice). (2) Right of Railway after rescission of contract owing to default of contract: In the event of any or several of the courses referred to in-sub-clause (1) of this clause, being adopted, (a) The contractor shall have no claim to compensation for any loss sustained by him by reason of his having purchased or procured any materials or entered into any commitments or made any advances on account of or with a view to the execution of the works or to the performance of the contract and the contractor shall not be entitled to recover or be paid any sum. For any work thereto for actually performed under the contract unless and until the Engineer shall have certified the performance of such work and the value payable in respect thereof and the contractor shall only be entitled to be paid, the value so certified. (b) Engineer or the Engineers representative shall be entitled to take the possession of any materials, tools, implements, machinery and buildings, on the works or on the property on which these are being or ought to have been executed and to retain and employ the same in the further execution of the works or any part thereof until the completion of the works without the contractor being entitled to any compensation for the use and employment thereof or for wear and tear or destruction thereof. (c) The Engineer, shall, as soon as may be practicable after removal of the contractor, fix and determine expert or by or after reference to the parties or after such investigation or enquiries as he may consider fit to make or institute and shall certify that amount (if any) had at the time of rescission of the contract been reasonably earned by or would reasonably accrue to the contractor in respect of the work actually done by him under the contract and what was the value of any unused or partially used materials, any constructionable plant and any temporary works upon the site. The legitimate amount due to the contractor after making necessary deductions and certified by the Engineer should be released expeditiously. 3.29 Execution of Contract Documents (i). The Tender whose tenderer is accepted shall be required to appear at the Office of the Chief Electrical Engineer D&D, in person or if firm or corporation, a duly authorized representative shall so appear, and to execute the contract documents after intimating that contract has been awarded to him. Failure to do so shall constitute a breach of the agreement effected by the acceptance of the tender

in which case the full value of the earnest money accompanying the tender shall stand forfeited without prejudice to may other right or remedies. (ii). The cost of stamping the Agreement shall be borne by the Contractor. (iii). In the event of any Tenderer whose tender is accepted shall refuse to execute the contract documents as here in before provided, the Railway may determine that such Tenderer abandoned thereof shall be treated as cancelled and the railway shall be entitled to forfeit the full amount of the earnest money had to recover the liquidate damages for such default. 3.30 Arbitration matters finally determined by the Railways: All disputes or differences of any kind whatsoever arising out of or in connection with contract, whether during the progress of work or after their completion and whether before or after the determination of the contract, shall be referred by the contractor to the Railway and Railway shall within a reasonable time after their presentation can notify decisions there on in writing but such matters which are contained in G.C.C.8A. 18.22(5), 39, 43(2), 45(A), 55, 55(A)(5), 57, 57A, 61(1), 61(2) and 62(1) or any matters decision of which is specially provided for by these conditions will be treated as exceptional matters and the decision made by the Railway authorities shall be final and binding upon the contractors. 3.31 Demand for Arbitration: 3.31.1(i) if any or any matter in question, dispute of differences on any account or as to the withholding by the Railway for his entitlement, if the Railway fails to make a decision within 120 days, then in any such case but except in any of the exceptional cases referred to in clause 3.30, the contractor may after 120 days of submission of his disputed claim can ask in writing within 180 days to the effect that this dispute may be referred to arbitration. 3.31.1(ii) Subjects in Arbitration demand will contain matter in question, dispute of difference and also the amount claimed. Only specified matter may be referred to Arbitration not the others. 3.31.1(iii) Arbitration proceeding will be effected to such date by which written and legal demand has been received by the Railways. 3.31.1(iv) The claimant will submit his claim with supporting documents and also state the remedy for each claim within 30 days from the date of appointment of arbitrator. 3.31.1(v) Until the Tribunal permit the extension of the time the Railway will submit its defense statement and counter claims within 60 days from the date of receipt of the copy from Tribunal. 3.31.1(vi) During proceeding no new claims will be added from either of the parties. However with the permission of Tribunal modification of supplement call be added. 3.31.1(vii) If contractors fails to respond in writing after receiving the information with effect that final bill is ready for payment within 01 year then it will be presumed that he/ they have waived their claim and under this contract the Railway will be free from all liabilities with regard to thee claims. 3.31.2 Obligation During pendency of Arbitration: During proceeding of Arbitration, the work under contract will continue until the order is given from Engineer and no pay payment will be withheld by the Railway for any dues payable but Arbitration Tribunal will be right to consider and give decision. Whether to continue the work during Arbitration proceeding or not. 3.31.3 A(i) In such case where full amount of claim in question does not exceed Rs. 10,00,000/- (Ten lakhs only) one Arbitrator will be appointed who will be either General Manager or any Gazetted officer nominated by General Signature of Tenderer/Contractor with Seal and Date

manager, but not less than the rank of Junior Administrative grade will be appointed within 60 days from the date of receipt of written valid demand for arbitration by the Railways. 3.31.3.A(ii) The cases which are not covered under clause 3.30.3A(i) for Arbitration there will be a panel of 3 Gazetted officers and will be not be below the rank of Junior Administrative Grade. For this purpose, Railway will send name of 3 gazetted officer from one or more department to the contractor to suggest any two name from the panel to be appointed. The General Manager will appoint at least one as contractor's nominee. Thus appointed out of 3 arbitrators with consent of presiding Arbitrators and rest Arbitrator, will be appointed from the above panel or one of the panel at the time of indicating the names of Arbitrators, it is essential to ensure that at least one Arbitrator, should be from Accounts Department. For the purpose of Appointing Arbitrators, officers from Accounts Department selection grade will be treated as equivalent to Senior Administrative Grade of other department. 3.31.3A(iii) As per above, if one or more arbitrators appointed refuses to act as arbitrator or withdraws his name or vacates the post in the capacity of an arbitartor or as an employee of the Indian Railways or for any other reasons unable to perform his duty or dies or does not work within stipulated time or delays then General Manager can appoint new arbitrators in place of him/them with same procedure as followed earlier. Thus newly reconstituted tribunal can work with its own conscious in the same manner as earlier tribunal worked and begin the work from the stage from where it was left by the earlier tribunal. 3.31.3A(iv) The Arbitration Tribunal will have the power to ask for any affidavit or other evidence or as deemed necessary by the Tribunal from the parties and it will be duty of the party to discuss or to make discussions which will enable arbitrators it take decision for award. 3.31.3A(v) Under above sub-clause (i) (ii) and (iii) at the time of appointing arbitrator, it will be kept in mind that appointee will be not from them who has an opportunity to dispose the case concerned to the questioned contractor who as a Railway employee in course of discharging his duties have expressed his views on any disputes, proceeding taken by Arbitratration Tribunal or award made by such tribunal will not be invalid on the ground that one or more Arbitrator have expressed his/their views for disposal of any dispute in course of discharging his/their duties. 3.31.3B(i) The Arbitration award will consist of Item, Amount and reasons on which it is based. 3.31.3B (ii) To rectify the errors in the parties award, any error, calculation, typing, clerical mistakes or errors of similar nature and to clarify any point of the award, it is to be applied within 30 days from the receipt of the award. 3.31.3B (iii) Any party with regard to claims presented in the arbitration Proceedings but omitted in the arbitration award can apply to the tribunal for additional award. 3.31.4 In case of such tribunals which are constituted by three members, any rules or award will be given on the basis of majorities of the tribunal members. In case of lack of such majority opinion of presiding arbitrator will be effective. 3.31.5 Where arbitration awards for payment of any amount the interest on full or part amount will not be payable for any amount award in arbitration.

The cost of arbitrator will be borne by the concerned parties. The cost includes inter alia fee to the arbitrators in prescribed rates as decided by Railway Adminstration from time to time. The above terms and conditions are made under the arbitration and conciliation ordinance 1996 and will be effective to all arbitration proceedings. All disputes shall be resolved under the jurisdiction of High Court, Kolkata. Security Deposit:i) The Earnest Money deposited by the Contractor with his tender will be retained by the Railways as part of security for the due and faithful fulfillment of the contract by the contractor. The balance to make up the security deposit, the rates for which are given below, may be deposited by the Contractor in cash or may be recovered by percentage deduction from the Contractor's "on account" bills. Provided also that in case of defaulting contractor the Railway may retain any amount due for payment to the Contractor on the pending "on account bills" so that the amounts so retained may not exceed 10% of the total value of the contract. ii) Unless otherwise specified in the special conditions, if any, the Security Deposit/rate of recovery/mode of recovery shall be as under: (a) Security Deposit for each work should be 5% of the contract value, (b) The rate of recovery should be at the rate of 10% of the bill amount till the full security deposit is recovered, (c) Security Deposits will be recovered only from the running bills of the contract and no other mode of collecting SD such as SD in the form of instruments like BG, FD etc. shall be accepted towards Security Deposit. (d)Security deposit shall be returned to the contractor after the physical completion of the work as certified by the Competent Authority. The competent Authority shall normally be the authority who is competent to sign the contract. If this Competent Authority is of the rank lower than JA Grade, then a JA Grade Officer (concern with the work) should issue the certificate. The certificate, inter alia, should mention that the work has been completed in all respect and, that all the contractual obligations have been fulfilled by the contractors and that there is no due from the contractor to railways against the contract concerned.Befor releasing the SD,an unconditional and unequivocal no claim certificate from the contractor concerned should be obtained iii) No interest will be payable upon the Earnest Money and Security Deposit or amounts payable to the Contractor under the Contract, but Government Securities deposited in terms of Sub-Clause (1i) of this clause will be payable with interest accrued thereon.

Part-IV Conditions of Price and Payment

4.1

Scope:
This chapter deals with amount to be paid for Software Modification in Three Phase Locomotives to adopt IGBT based auxiliary converter.

4.2

This is a contract for Software Modification in Three Phase Locomotives to adopt IGBT based auxiliary converter. The total prices for the completed items of work are the actual prices payable to the contractor as per the terms and condition of the contract.

4.3

Payment and recovery terms: a) 80% payment after the successful installation of loco downloadable code and
successful run for one month. Invoice for payment shall accompany certificate of installation & performance granted by CEE/D&D or his Authorized representative. b) 10% after submission of all the deliverables including documents, modified source code, download files, training etc. Invoice for payment shall accompany certificate of submission of above deliverables granted by CEE/D&D or his Authorized representative. c) 10% after successful run and field validation for three months. Invoice for payment shall accompany certificate of successful field validation granted by CEE/D&D or his Authorized representative.

(i)

Recoveries from the contractor. Statutory variation in Taxes and Duties:

Income Tax shall be recovered from the source as per extant rules.

The statutory variation of sales Tax and excise duties either from the date of opening of the tender or from the date of letter of Acceptance of tender to the date of delivery of material equipment at site, if legally payable shall be applicable for both upward and down revision of levies rates etc. of such taxes and duties. Any additional payment and /or less payment due to statutory variation of taxes and duties as the case may be either will be reimbursed to the contractor or credit will have to be offered to the CLW Administration. Additional payment and/or credit as the case may be, on this account will be made/adjusted while making final payment. (ii) The claim for reimbursement of additional payment to the contractor or the credit offered by the contractor on account of statutory variation in taxes, duties under this clause shall be subject to production of the requisite documents.

4.6

Post Payment Audit:


It is an agreed term of the contract that the CLW Administration reserves to itself the right to carry out a post-payment audit and or technical examination of the works and the final bill, including all supporting vouchers, abstracts etc- and to make a claim on the contractor for the refund of any excess amount paid to him if as result of such examination any over payment to him is discovered to have been made in respect of any work done or alleged to have been done by him under the contract. 1.

BACKGROUND

There are three auxiliary converters (BUR1, BUR2 & BUR3) in the three phase locomotive, each rated 100kVA. BUR1 is housed in BOX1 whereas, BUR2 & BUR3 are housed in BOX2. These auxiliary converters communicate with VCUs through the MVB optical bus. VCU (1/2) is the master and commands the BURs for different operating conditions. The BURs send the fault and diagnostic information to VCU through MVB. The fault data logging is centralised in DIA1. These converters are of 1980 vintage design using phase angle controlled front end and GTO inverter. To keep in pace with technology progress, Indian Railways have decided to changeover to IGBT based converters in three phase locomotives with open communication networks like TCN, CAN etc. However, such open communication networks will be used when appropriate VCU with similar open communication protocol will get developed, which is already underway. As IGBT auxiliary converters are already being manufactured in India, as an interim measure, it has been decided to interface these converters with the MICASS2 based VCUs till the open control VCU gets developed and proliferate. In this scenario, the VCUs will be directly controlling the auxiliary converters through its input/output ports, rather than through a serial data communication. This specification details the functional requirement for interfacing the standalone IGBT auxiliary converters with present MICAS-S2 VCUs. The present arrangement is given in Fig-1.

2.

SCOPE OF WORK

The principal aim of this project is to interface 3 nos of 130kVA converters without any network interface directly to the VCUs (VCU1 & VCU2) and achieve the presently available functions without any performance degradation, utilizing the spare input/output ports in different computer segments of VCU1 & VCU2. The scope of work under this specification includes study of the present arrangement thoroughly, developing new application software, modifications of existing software, compilation, downloading, testing, field validation & documentation jointly with CLW and the converter manufacturers. The software, new as well as modification is expected to be done in the graphical language FUPLA/ALS so that same will work in the existing processors. The software development tools (MicTools) and the presently used application program source code are possessed by CLW. As such, CLW will make available the software and hardware development platform at CLW for the successful tenderer. The successful tenderer has to carryout the development and modifications at CLW utilizing the platform available there. 3. STRUCTURE OF THE STANDALONE AUXILIARY CONVERTER

The standalone auxiliary converters will be housed in two boxes. BOX-1 houses BUR1 whereas BOX-2 houses BUR-2 & BUR-3. The internal control of these auxiliary converters are autonomous and each one provides 3-phase 415V output (output frequency can be set by external command). Upon receiving the input supply voltage and battery control voltage, the converters can reach the READY mode, waiting for the ON command from the VCU. The protection of the converter is taken care by itself. For interfacing with the VCUs, two potential free outputs are made available (these becomes inputs to the VCUs). These potential free inputs will be wetted using 110V DC battery supply (nominal) and applied to the digital I/O cards in VCU and hence, the contacts must be rated accordingly. When the Input-3 bit is logic 0, the output frequency must be default value of 50Hz and when the bit position is logic 1, the output frequency must be reduced to 37Hz. These potential free inputs to the converter has to be wetted within the converter using a suitable supply voltage (example 110V battery supply) and used by the control system of the converter. The potential free contacts given from VCU will have a nominal rating of 110V DC. 4. SCHEME OF SIGNAL INTERFACE

The signal interface between the VCU and Auxiliary Converters is given in Fig-2, 3 & 4 respectively for BUR1, BUR2 and BUR3. The battery voltage and battery charger current are to be supplied to the VCU (FLG1/FLG2) for monitoring the battery protection. The battery voltage and battery charger current will be made available from converters (BUR2 & BUR3) in 4-20mA format (0-150V DC = 4-20mA & 0-Max Charging Current = 4-20mA), which will be interfaced in FLG1/FLG2. The MCB for battery charger will be provided by converter manufacturer in BOX2 and will provide a potential free contact for monitoring by VCU.Schema and signals shown in the figure is provisional and shall be decided after the discussion with CLW,Auxiliary converter supplier and tenderer.

AUXILARY CIRCUIT DIAGRAM

The schematic of the auxiliary circuit interconnecting all the three auxiliary converters is given in Fig-5. All the converters are connected in such a way that the locomotive will be able to perform the journey when any one converter is isolated. The converters are interconnected using power contactors. Presently, power contactors 52/1, 52/2 and 52/3 are provided within the BOX2, housing BUR2 & BUR3 and are controlled by the BUR2 & BUR3 electronics, while commands are received from VCU through MVB. However, in the proposed standalone converters, these three contactors will be provided outside the converter either in HB1 or HB2 panels and are to be directly controlled by the digital I/O cards of VCU. For this purpose, potential free digital output channels for command and input channels for status feedback are reserved in STB1/STB2/HBB2 computer segment, as given in the Figures above. The analog signals like battery voltage and charger current will be connected to FLG1 & FLG2 for monitoring purpose. AUXILIARY CONVERTER CONNECTION ARRANGEMENT

The position of various contactors interconnecting the three auxiliary converters is given below. All these contactors are to be controlled by VCU. Presently, these contactors are controlled by BUR electronics. With the introduction of standalone converter, these contactors will be controlled by VCU maintaining the existing functionality.

The load distribution changes when any auxiliary contactor fails. The loads connected to each auxiliary converter during all healthy condition and when any one converter isolated condition is given below. Present VCU software ensures that such transitions are smoothly carried out. In case of standalone converter also, while carrying out the software modifications, the transitions must be done as existing at present.

7. DELIVERABLES/ SCOPE OF SUPPLY Following shall be the deliverables against this specification by the successful tenderer: 1. Submission of key design details for the proposed modification with explanation and seeking approval. 2. On approval from CLW, modifying the VCU software source code and submission of modified segments, hardcopy & softcopy. 3. Compilation and code generation (utilizing the development platform available with CLW in association with CLW) 4. Downloading the code in the nominated locomotive provided with standalone auxiliary converter 5. Association with converter supplier and CLW in joint testing and commissioning as well as field trail of the locomotive as per Tender condition. 6. Field validation of the effectiveness and stability of the modified software for a period of three month. 7. Supply of documentation with all details of modification (hard copy & softcopy) 8. Training to IR personnel. 8. QUALIFYING CRITERIA Tenderer should have experienced of working in MICAS-S2 control and Communication System of the locomotive. 9. ASSISTANCE FROM CLW CLW shall provide the following assistance to the successful tenderer. 1. Loco Software Source Code on which modification is required. 2. Development platform at CLW (C-D&D) like PC installed with complete suite of MicTools required for modifications, compilation, download etc. 3. Making available TOT documentation as required at C-D&D/CLW for reference during the course of work. 4. Necessary assistance for downloading, testing & field validation in the locomotive. 5. Necessary liaison with the converter manufacturer during the joint testing of the modified software alongwith standalone converter. 10. PROJECT COMPLETION MILESTONES The successful tenderer shall adhere to the following milestones for completion of the work from the date of award of contract (or LOA). 1. Submission of key design documents 01 months from the date of placement of LOA/contract agreement. 2.
