PCP Incentive Opportunities
The Participating Partner will be entitled to a credit consisting of the greater of the two eligible
credits described below:
1. A credit will be provided to the Participating Partner, based on the aggregate Partner
Contribution Amount resulting from commitments from the Participating Partner and
Partner Parties, as follows:

2. In recognition of the contribution partners can make converting unbilled time and accounts
receivable into cash, and to accelerate collections in an otherwise slow month, a credit of up
to 5% of the collections received will be applied against the Participating Partners Partner
Contribution Amount, as shown on Exhibit B and will be based on collections of Dewey &
LeBoeuf (the US or UK LLP) client receivables during the period August 1st to September
15th as follows:
To the extent the Participating Partner collects an undiscounted client receivable in full
(e.g. 100% of the gross billed inventory is collected), an amount equal to 5% of that
collected receivable (the Receivable Credit) will be applied to reduce the collecting
Participating Partners Partner Contribution Amount;
Any outstanding invoice may be discounted at the sole discretion of the lenders. To the
extent a discount has been given to the invoiced amount, the discount percentage given
to the client will be subtracted from the Receivable Credit (e.g. a 2.5% discount offered to
a client will reduce the Receivable Credit to 2.5%. Likewise a 4% discount offered to the
client will reduce the Receivable Credit to 1%.)
These credits will NOT be available to any Participating Partner who accepts and returns a
Settlement Agreement (and signed Exhibit B) after August 16, 2012.
Nothing in the PCP Incentive Opportunities described above modifies or qualifies in any way
existing and continuing obligations of partners to convert and collect outstanding client
receivables or shall be deemed to satisfy obligations of partners under the Settlement
Agreement.
