Terms & Conditions Rules & Regulations: The Pitch, a business reality show (hereinafter referred to as the 'Challenge' for brevity) is open for participation to all Indian citizens who are residing in India and have completed the age of 18 (eighteen) years as on January 1, 2011 and have a valid Indian passport applicable for International Travel till March 2012. ii. Entries are required to be submitted through www.yourmoneysite.com/thepitch. Only one entry per individual shall be considered. iii. Incomplete entries shall not be considered and decision of the management of UTV News Ltd("Company") will be final and binding on the participant. iv. The last date for submission of entries will be announced publicly by the company through its channel titled as "BloombergUTV" v. No purchase is necessary to participate in the Challenge and there is no entry fee for participating in the challenge. vi. All entries must be original and novel and must be submitted as per the rules and regulations of the Challenge as contained herein and/or intimated by UTV News Limited. By participating in this Challenge, a participant unconditionally agrees that he/she will fully indemnify UTV News Limited for any claims arising against the Company due to breach of this undertaking given by them. vii. Out of all the complete and valid entries, at least 30 (thirty) entries shall be shortlisted by discretion of the channel representatives and thereafter, by method of an audition and elevator pitch to a panel of judges, at least 10 (ten) shall be chosen out of the 30 (thirty or more) shortlisted entries to participate in the show. viii. The selection criteria shall be of UTV News Limited and the short-listing/elimination etc. shall be done by the appointed experts of UTV News Limited and/or any other person(s)/entity as may be desired by UTV News Limited. UTV News Limited's decision is final and binding on all the participants and no dispute(s), correspondence shall be entertained in this regard. ix. It is assumed and understood that the participant, at the time of submission of entry or thereafter will abide by the civil, criminal and/or other laws of the land and shall not engage in any activity or be party to any activity that may be construed to be illegal or against the interest of society or the nation. Any existing legal proceeding or similar charges automatically deem the participant ineligible to participate and non-disclosure of the same may tantamount to immediate exit from the show and UTV News Ltd. pursuing legal charges against such participant for breach of faith. x. All entries shall become the permanent property of UTV News Limited and Company shall have all the right to consume/use the information in any manner and through any mode and medium it deems fit without attribution and/or intimation to the participant in the show and for the promotion of the show for the entire world in perpetuity. xi. UTV News Limited may film and televise the participants at its sole discretion and all participants by taking part in the Challenge understand and agree that he/she may be filmed and interviewed for such duration as deemed fit by UTV News Limited. The filmed material shall be the sole, exclusive and worldwide property of UTV News Limited and it shall have the exclusive right to exploit the same in any manner (whether commercial or non-commercial) medium and mode whether now known or invented in the future for the entire world in perpetuity. xii. Only those participants, whose entries are short-listed shall be communicated individually through contact co-ordinates submitted by them. UTV News Limited shall not be responsible for unreturned calls/bounced e-mails etc. and such entry shall be deemed to have been removed from the Challenge. No communication shall be sent to the entries not short-listed. xiii. UTV News Ltd and the organizers of the show do not undertake to bear, compensate or entertain any costs towards facilitating individuals to participate on this show. This includes but not

limited to any form of travel allowance, lodging, food expenses, medical or other incidental expenses. Only the final participants who are selected to participate in the on-air programming will be provided with accommodation and daily meals as stipulated by the organizers. This is limited to the duration of the shoot or until their elimination, whichever comes first. Apart from daily meals and accommodation as stipulated by the organizers, all other expenses will be borne by the individual and no claim of any nature to this effect will be entertained. xiv. The grand prize winner of the Challenge shall be given an amount of upto Rs. 5 crore ("Prize") and the parameters/conditions for the usage or criteria of winning such prize money shall be laid down by the investors/organizers of the show to the aspirant when clear indication of such scope is identified. xv. To the extent permitted by law, UTV News Limited make no representations or implied warranties as to the quality, suitability or merchantability of any prize. Prize is subject to change without prior notice and at the discretion of the management of UTV News Limited. The Prize is non-transferable, non-saleable, non-exchangeable, non-redeemable and subject to all applicable taxes and/or levies/charges, etc which will need to be borne solely by the Winner of the show. xvi. Participating in the Challenge constitutes unqualified permission for UTV News Limited to unrestricted use to the participant's name, identity, idea, likeness, voice and comments for advertising and promotional purposes in any media worldwide without paying any consideration whatsoever. The participants shall, if desired by UTV News Limited, make himself/herself available for any promotion, press meet, interview, show featuring him/her etc. without receipt of any consideration/gratification, before and for a period of up to 3 years after the completion of the show. xvii. Employees of UTV News Limited, Globosport India Private Limited, and Mumbai Angels or any other sponsors/partners to the above or to the show The Pitch - their group/affiliate/holding companies and their immediate family members and relatives are not eligible to participate in the Challenge. xviii. By submitting entry in the Challenge, participants agree to abide by the terms & conditions. Terms and conditions/Prize are subject to change from time to time without any notice/intimation and the participants are requested to keep themselves informed about the changed terms and conditions on their own accord. xix. UTV News Limited reserve the right to alter and/or withdraw the Challenge, Prize money and terms and condition of the show at anytime without any prior notice/citing any reason and no claim/questions regarding the same shall be entertained. The decision of the management of Company in this regard will be final and binding on the participant of the show. xx. All disputes shall be subject to the exclusive jurisdiction of Courts at Mumbai. Impact of environmental regulations Total carbon-dioxide emissions in the country have been gradually increasing and are expected to increase sharply in the next 20 years as India enters a period of sustained economic growth and higher consumption of energy. Over 50% of the total CO2 emissions are from the power sector. Cement, shipping, and iron and steel are other industries that have experienced annual growth rates above 4% between 1985 and 2005. In fact many industries have great potential for improving energy efficiency through use of combined heat and power (CHP). The primary driver for CHP is economic, but it is also an effective means of reducing CO2 emissions. Over the past two decades, the GoI has been very active in participating in international efforts for climate change mitigation: Vienna Convention ratified in 1991 Montreal Protocol ratified in 1992 UN Framework Convention on Climate Change ratified in 1993 Kyoto Protocol ratified in 2002 Establishment of National Clean Development Mechanism Authority (CDM) in 2003 337 CDM projects are currently registered with the UNFCCC with estimated annual emission reduction of 31.62 million tonnes of CO2 per year Still, India is facing enormous international pressure to reduce its greenhouse-gas emissions under a successor agreement to the Kyoto Protocol that is now in development. In June 2008, the National Action Plan on Climate Change (NAPCC) was announced as a major move toward reducing carbon intensity, but its real effect is still unclear (see p. 10). What is obvious is that India will have to choose between increasing its fossil-fuel use and reducing its emissions; it cannot do both. Investors should keep this uncertainty in mind and closely watch developments in Indian climate-change policy to make the wisest use of their investment capital.
