SELLING
BUSINESS
YOUR

10 TIPS
FOR

The key focus of a business buyer is on how much the business is making for the current owner. i.e. What the prot is, after deducting the costs and expenses. Therefore, it is crucial to have accurate nancial gures, ready to wow your buyer. Many small to medium-size business owners are quite poor in the area of their bookkeeping management. Here is the problem . . . if a buyer cant see proper accountants gures for your business, they are likely to smell a rat and become suspicious of your claims. If the buyer has to wait for you to organise your accountant to complete your nancials, they may go cold on the idea or keep looking for another business, so you miss out. Additionally, if a buyer needs nance, the bank will base their activity on the nancial data you submit. So, the rst rule is, make very sure that your nancial data is up to date! This includes BAS (Business Activity Statements) for your GST returns. Youll need to have a minimum of 3 years of prot and loss and balance sheets ready.

1. Figure it out

Always set up a meeting with the prospective buyer at your business. If you have a home-based business, arrange to meet at a local caf or McDonalds, not at your home. Its unwise to have a stranger in your home. When you meet up, the rst thing to do is get the Condentiality Agreement signed if they havent already signed and emailed it back to you. Once signed with all the personal details outlined above completed, you can then reveal the nancial details to the buyer.

6. Do Not Meet at Home

7. Put your Assets on the Line

Have a detailed list of all the plant and equipment ready to give the buyer .. they want to know exactly what is included in the business purchase. If you have vehicles or machinery, provide exact model number, year of manufacture and kilometres (if a vehicle). Remember that all plant and equipment has to be unencumbered at settlement, so youll have to pay-out any loans or leases on the equipment, plus provide proof of ownership, if a vehicle (PRTT Certicate).

Most buyers will want their accountant to check all the gures, so be prepared to release your nancials to the buyers accountant, once they have made a proper commitment to purchase your business.

2. Prepare to Share 3. Get Condential

Most buyers want to think it over and discuss it with the accountant, bank, friend or mentor. So dont be disappointed if they dont make an offer to buy your business at the rst meeting. If they ask to spend some time in your business, be very careful, they could be spying. Never reveal your customer base or client lists, or even allow them to spend time in your business, until you have an unconditional signed contract, with a minimum 10% deposit. Be strong on this, you have everything to lose and they . . . nothing!

8. Think Before You Act

Always, always, always have your prospective buyer sign a Condentiality Agreement. You are giving your intimate nancial details to a perfect stranger, who may be an unscrupulous competitor, your ex-partners friend or someone thinking of starting up in competition to you, so be careful.

Qualify your buyer: by qualify we mean ensure he or she is a genuine purchaser, by asking some probing questions, i.e. Are you in this type of business already?; Have you been looking for a business for long?; Do you have the money ready to buy, or do you need to borrow from the bank?

4. Know your Buyer

Show the buyer how youve arrived at your asking price, so that they understand and will feel more comfortable paying it. If you have vehicles, show them the second hand values from the internet car sales websites. Negotiate the price, always remember you rarely will get the asking price. Fix a date for settlement or handover and also for the period of time for training the new owner, after settlement if required.

9. Show the Price is Right

Always obtain the buyers name (both rst name and surname), their mobile phone number, their email address and where they live (the suburb). If your enquirer is reluctant to give you these details, just say to them: Because I will be revealing a lot of very personal nancial details to you, I need these details for condentiality reasons .. Im sure you understand. If they atly refuse to give the details, politely decline to go any further, because they may be an unscrupulous time waster, who could be enquiring for mischievous reasons. It is just not worth taking the risk with such people.

5. Get their Details

Our advice is to use a solicitor to draw up a contract: dont rely on a hand shake deal. A legally binding contract is the best assurance that everyone will adhere to the agreed terms and conditions. You will also reduce misunderstandings in the buying process. Always obtain a minimum of 10% deposit, with the signed contract and have the 10% deposit placed in your solicitors trust account, to be paid to you at settlement. If you do not want a solicitor involved, you could use the basic contract we will supply when you place an ad on smartbizbuyer.com.au

10. Legal and Binding

Futuristic Mercedes-Benz Aria

Timeless Design by Slavche Tanevski Slavche Tanevski, an automotive designer of the University of Applied Sciences in Munich, Germany has come out with an exceptional concept, The Mercedes-Benz Aria. The main goal was to design a sedan with a timeless design, which could combine a lustrous silhouette with dynamic proportions as well as sculptural surfaces. Giving the car high denition and character is the body surfaces, highly inspired by female body, violin, the Coke-Bottle that is supported by articulated lines. The way the interior is allied to the body and its modularity appears to be the main characteristic feature of the sedan. Rather than being welded to the exterior, the interior has been wired to the copper skeleton, which makes it interchangeable rather easily, like home furniture.
