A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE DEERFIELD BEACH HOUSING AUTHORITY CENSURING FORMER COMMISSIONER LEE GIANNINO FOR HIS ACTIONS WITH RESPECT TO HIS FAILURE TO COMPLY WITH THE TERMS OF THE LEASE AND THE PROMISSORY NOTE EXECUTED BY HIM FOR THE PAYMENT OF PAST DUE RENT UNDER THE LEASE; PROVIDING FOR AN EFFECTIVE DATE WHEREAS, on or about August 4, 2004, the Deerfield Beach Housing Authority
("Authority") entered into a lease with Grand American Title, Inc. for Suite 101 at the Business Skills Center located at 533 South Dixie Highway, Deerfield Beach, Florida (the "Premises"); and

WHEREAS, Lee Giannino was the President of Grand American Title, Inc., and was
serving in his capacity as a Commissioner of the Authority at the time the lease for the Premises was executed; and

WHEREAS, Grand American Title became delinquent on lease payments in 2007, and
moved out of the Premises in 2007, with a rent balance owed to the Authority in the amount of $2, 796.32; and

WHEREAS, in lieu of payment of the unpaid rent, the Authority accepted a promissory
note signed by Mr. Giannino on January 11, 2011; and

WHEREAS, Mr. Giannino failed to pay the promissory note according to the term softhe
promissory note and the Authority Board of Commissioners authorized that the Authority staff seek recovery of the unpaid funds by filing suit in County Court; and --------'WHRETA-8;-as-of-the-date-of-this-R:esoltition;-Mr:-Gianninerhas-nt'lt-paid-the-amemnt'S-owed---to the Authority, and has not made himself available to be served with the complaint filed in County

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE DEERFIELD BEACH HOUSING AUTHORITY THAT: Section 1.

The foregoing "WHEREAS" clauses are hereby ratified and confirmed as

being true and correct and are hereby made a specific part of this Resolution upon adoption hereof.
Section 2.

That the Board of Commissioners for the Deerfield Beach Housing

Authority hereby censures former Commissioner Lee Giannino, and condemns, in the strongest possible terms, his failure to act in a manner that is consistent with his fiduciary and ethical duties and responsibilities which are required of an individual serving as a Commissioner for the Deerfield Beach Housing Authority.
Section 3.

This Resolution shall become effective immediately upon its passage and

adoption.
