SCHEDULE 1. REPAYMENT

Provided this Charge shall operate until payment of the principal sum of Eleven Million Dollars ($11,000,000.00), with interest thereon at the rate of 5.53% per annum, calculated and compounded semi-annually, not in advance, and as well after as before maturity and both before and after default as follows: Interest at the aforesaid rate calculated semi-annually and determined as if payable monthly on the amounts from time to time advanced, computed from the dates of such advances, shall become due and payable on September 1, 2005 (the "Interest Adjustment Date"). From thereon, principal and interest at the aforesaid rate shall be paid in equal monthly instalments of principal and interest on the first day of each month in the amount of Sixty Seven Thousand, Three Hundred and Thirty Five Dollars and Twenty-Eight Cents ($67,335.28), the first of such payment to be made on the 1st day of October, 2005 and the last of which to be made on the 1st of day of September, 2015 and the balance of the principal amount secured by this Charge and interest as aforesaid, shall be due and payable on the 1st day of September, 2015. 2. COMPOUND INTEREST

AND it is hereby agreed that in case default shall be made in payment of any sum to become due for interest at any time appointed for payment thereof as aforesaid, compound interest shall be payable and the sum in arrears for interest from time to time, as well after as before maturity, shall bear interest at the rate aforesaid, and in case the interest and compound interest are not paid in six (6) months from the time of default a rest shall be made, and compound interest at the rate aforesaid shall be payable on the aggregate amount then due, as well after as before maturity, and so on from time to time, and all such interest and compound interest shall be a charge upon the charged premises. The Chargor covenants and agrees with the Chargee: 3. NO PREPAYMENT

The Chargor expressly acknowledges that this Charge is fully closed throughout its term and there shall be no prepayment privilege prior to the maturity hereof. The Chargor shall not, before maturity, compel the Chargee to receive the principal sum secured hereby or any part thereof. 4. TAXES (a) That the Chargee may deduct from the monies advanced hereunder an amount sufficient to pay all taxes which have become due or which will become due during the calendar year in which the final advance of the monies secured by this Charge is made. That thereafter the monthly payments hereinbefore provided will at the option of the Chargee be increased by such amount as, in the option of the Chargee, is required to total the amount of each succeeding year's taxes by the time the first instalment of such taxes falls due and the Chargor shall also pay to the Chargee before the due date of the first instalment of each year's taxes any additional amount that may be required so that out of the said monthly and additional tax payments the Chargee may pay the whole amount of each year's taxes on or before the due date of the first instalment. The Chargee is to apply such tax deductions and payments to the payment of taxes against the charged premises as long as the Chargor is not in default under any covenant or agreement herein contained, but nothing herein contained shall obligate the Chargee to pay such payments on account of taxes oftener than yearly. Provided, however, the Chargee may at its option from time to time apply such sum or sums so paid to the Chargee in or towards the payment of any principal or interest in default hereunder. If the Chargor desires to take advantage of any discounts or to avoid any penalties in connection with the payment of taxes, he may pay to the Chargee such additional amounts as are required for the purpose. Page 2 transmit to the Chargee the assessment notices, tax bills and other notices affecting the imposition of taxes forthwith after the receipt of same by him. 5. FINANCIAL STATEMENTS AND OPERATING BUDGET

The Chargor further covenants with the Chargee to furnish annually to the Chargee within a period of one hundred and twenty (120) days from the close of each of the Chargor's fiscal years commencing with the current fiscal year, detailed Chartered Accountant prepared financial statements of the Chargor including a certified rent roll, separate and specific income and expense statements relating to the charged premises, detailed balance sheets and profit and loss statements and all supporting schedules and such further financial information as required by the Chargee. The Chargor further covenants with the Chargee to furnish annually to the Chargee within sixty (60) days prior to the close of each of the Chargors fiscal year commencing with the current fiscal year, the next years operating budget and a capital expenditure budget as approved by the Chargors Board of Directors. 6. FIXTURES AND EQUIPMENT

The Chargor covenants and agrees with the Chargee that all erections and improvements fixed or otherwise now on or hereafter put upon the said premises, and being the property of the Chargor, including but without limiting the generality of the foregoing, all fences, heating, plumbing, air-conditioning, ventilating, lighting and water heating equipment, cooking and refrigeration equipment, window blinds, storm windows and storm doors, window screens and screen doors, and all apparatus and equipment appurtenant thereto are and shall be, in addition to other fixtures thereon, fixtures and form part of the realty and shall be a portion of the security for the indebtedness herein mentioned. 7. DISCHARGE

The Chargee shall have a reasonable time after payment in full of the monies hereby secured within which to prepare and execute a discharge of this Charge, and interest as aforesaid shall continue to run and accrue until actual payment in full has been received by the Chargee. All legal and other expenses for the preparation and execution of such discharge shall be borne by the Chargor. 8. LEASES

The Chargor covenants and agrees that all leases or agreements to lease respecting the charged premises and all tenants shall be satisfactory to the Chargee and all such leases and agreements to lease shall be assigned to the Chargee at its sole option. 9. NO INTEREST

The Chargor shall not be entitled to interest on any monthly tax payments made as herein provided. 10. BY-LAWS

Upon the breach of any municipal by-law with respect to the occupancy of the buildings which breach continues for a period of more than six months after notice thereof has been received by the Chargor the principal amount hereby secured, or the balance thereof remaining, together with interest thereon shall at the option of the Chargee forthwith become due and payable. PROVIDED however, that should the notice of the breach require that it be cured within a limited time, less than six months, then the breach must be cured within such limited time or the principal amount hereby secured, or the balance thereof remaining, together with interest thereon, shall at the option of the Chargee forthwith become due and payable. 11. COMMITMENT

A default under the Commitment given in respect of the loan secured by this Charge shall be a default under this Charge.

MANAGEMENT

The Chargor will throughout the term of this Charge manage the charged premises or cause them to be managed in a first class professional manner satisfactory to the Chargee. The Property Management shall at all times be subject to the approval of the Chargee. If such management is unsatisfactory to it, the Chargee may, (but is not obligated to do so) give the Chargor a period of 60 days within which to cure any deficiency in management. If such default has not been cured to its satisfaction, the Chargee may on written notice to the Chargor appoint alternate management and all fees, charges and other costs in this connection shall be for the account of the Chargor and shall, if unpaid, be added to the principal amount and shall, until repaid, bear interest at the rate set out in this Charge. The Chargor, as Manager of the charged premises, is currently satisfactory to the Chargee. 13. EXPROPRIATION

Should the charged premises or should any part thereof be expropriated by any governmental authority, body or corporation clothed with the powers of expropriation, and should such expropriation in the sole opinion of Montrose Mortgage Corporation Ltd., acting reasonably, materially impair its security, the whole amount of principal hereby secured together with accrued interest thereon and all other sums due hereunder shall at the option of the Chargee immediately become due and payable. 14. INTEREST PRIOR TO INTEREST ADJUSTMENT DATE

The Chargor shall pay interest at the interest rate and with the calculation period set out in this Charge on such portions of the principal amount as may be from time to time advanced, computed from the respective dates of such advances, on the first day of each month in each year commencing on the first day of the month following the date of the first advance and on the first day of each month thereafter until and including the Interest Adjustment Date. 15. CONFLICT

In the event of any conflict between any of the covenants or provisions of this Schedule and those contained in the Standard Charge Terms, the covenants or provisions in this Schedule shall prevail. 16. PLACE OF PAYMENT

Until otherwise directed in writing all payments required to be made hereunder shall be made to: Montrose Mortgage Corporation Ltd. Suite 1110 - 200 Graham Avenue Winnipeg, Manitoba R3C 4L5 17. ADDITIONS AND ALTERATIONS

The Chargor covenants that it shall not make, or permit to be made, any alterations or additions to the charged premises without the prior written consent of the Chargee, which consent shall not be unreasonably withheld. Those improvements considered a normal part of the building operations as deemed appropriate by the Chargee shall be permitted without the prior consent of the Chargee so long as such improvements do not adversely affect the original use, functionality and cashflow of the charged premises. 18. RECEIVER

If and whenever the Chargee becomes entitled to enter into possession of the charged premises, the Chargee may in its discretion, with or without entering into possession of the charged premises or any part thereof by instrument in writing appoint a Receiver (which term shall include a receiver and manager) of the charged premises or any part thereof and of the rents and profits thereof and with or without security and may from time to time remove any Receiver with or without appointing another in his stead, and in making such appointment or appointments the Chargee shall be deemed to be acting for the Chargor. Page 4 appointment of any such Receiver or Receivers from time to time, and subject to the provisions of the instrument appointing such Receiver, the following provisions shall apply: (a) every such Receiver may, in the discretion of the Chargee and by writing, be vested with all or any of the powers and discretions of the Chargee; every such Receiver, so far as concerns the responsibility for his acts or omissions, shall be deemed the agent or attorney of the Chargor and not the agent of the Chargee (unless specifically appointed by the Chargee as the agent of the Chargee); the appointment of every such Receiver by the Chargee shall not incur or create any liability on the part of the Chargee to the Receiver in any respect and such appointment or anything which may be done by any such Receiver or the removal of any such Receiver or the termination of any such Receiver shall not have the effect of constituting the Chargee a chargee in possession in respect of the charged premises or any part thereof; every Receiver shall be the irrevocable agent or attorney of the Chargor (unless the Chargee specifically appoints such Receiver as the agent for the Chargee) for the collection of all rents falling due in respect of the charged premises or any part thereof whether in respect of any tenancies created in priority to this Charge or subsequent thereto; every such Receiver shall from time to time have the power to lease any portion of the charged premises which may become vacant for such term and subject to such provisions as the Receiver may deem advisable or expedient and in so doing every such Receiver shall act as the attorney or agent for the Chargor (unless specifically appointed by the Chargee as the agent of the Chargee) and such Receiver shall have authority to execute under seal any lease of any such premises in the name of and on behalf of the Chargor and the Chargor undertakes to ratify and confirm whatever any such Receiver may do in the premises; every such Receiver shall have full power to manage, operate, amend, repair, alter or extend the charged premises or any part thereof in the name of the Chargor for the purpose of securing the payment of rental from the charged premises or any part thereof; the Chargee may from time to time by writing fix the reasonable remuneration of every such Receiver who shall be entitled to deduct the same out of the receipts from the charged premises or the proceeds thereof; no such Receiver shall be liable to the Chargor to account for moneys or damages other than cash received by him in respect of the charged premises or any part thereof and every such Receiver shall apply such cash so received to pay in the following order: (i) (ii) his commission or remuneration as Receiver; all expenses properly made or incurred by the Receiver in connection with the management, operation, amendment, repair, alteration or extension of the charged premises or any part thereof; money which may from time to time be or become charged on the charged premises in priority to this Charge, and all taxes, rates, assessments, insurance premiums and every other proper expenditure made or incurred by him in respect of the charged premises or any part thereof; keeping in good standing all charges on the charged premises prior to this Charge;

Page 5 (v) the Chargee in payment of all interest due or falling due under this Charge and the balance to be applied upon principal due and payable and secured by this Charge; and thereafter any surplus remaining in the hands of every such Receiver to the Chargor or its assigns.

POSSESSION

Upon default in payment of principal or interest under this Charge or in performance of any of the terms and conditions hereof, the Chargee may enter into and take possession of the Land hereby charged free from all manner of former conveyances, mortgages, charges or encumbrances without the let, suit, hindrance, interruption or denial of the Chargor or any other person whatsoever. 20. INSURANCE

The parties agree that the provisions of Section 16 of the Standard Charge Terms relating to insurance shall not apply to this Charge and that the following shall be substituted therefor: The Chargor will maintain or cause to be maintained with respect to the charged premises: (a) insurance on an All-Risk basis in an amount not less than the full Replacement Cost from time to time thereof including, without limitation, coverage against loss or damage by fire, explosion, impact by aircraft or vehicles, lightning, riot, vandalism or malicious acts, smoke, leakage from fire protective equipment, windstorm or hail, flood, earthquake, blanket building by-laws and other perils now or hereafter from time to time embraced by or defined in a standard fire insurance policy on a form at least equivalent to the IBC Commercial Building Form; comprehensive broad form boiler and machinery insurance which shall include, without limitation, loss or damage of whatsoever kind or nature by reason of Equipment Breakdown and Accident, including Repair and Replacement and Building By-laws extension, explosion or collapse by vacuum or cracking, burning or bulging of any steam or hot water boilers, pipes and fired or unfired pressure vessels, air-conditioning equipment or refrigeration systems in an amount with respect to each accident of not less than the full Replacement Cost of the buildings and equipment on the charged premises; business interruption insurance of a kind acceptable to the Chargee for loss resulting from those perils covered by the insurance provided for in subsections (a) and (b) on one of the forms known as Profits or Gross Rentals to an amount of one hundred percent (100%) of the resulting loss of profits or gross rentals and with a period of indemnity of at least eighteen (18) months; and liability insurance on a Comprehensive General Liability or Commercial General Liability basis against claims for personal injury, death or property damage suffered by others upon or in or about the charged premises and the adjoining streets and passageways by reason of the use or ownership by the Chargor of the charged premises with such exclusions and to such inclusive limits of not less than FIVE MILLION DOLLARS ($5,000,000.00) with respect to each occurrence (with or without a retained limit) as will reasonably protect the Chargor against such loss or damage or such greater limits as the Chargee may reasonably require from time to time. The policy will contain a Cross-Liability clause and name the Chargee as an Additional Insured. If any policy for the insurance referred to herein shall contain any coinsurance clause, the Chargor shall maintain, at all times, a sufficient amount of insurance to meet the requirement of any stated amount co-insurance clause, so as to prevent it from becoming a co-insurer under the terms of

Page 6 such policy or, at the option of the Chargee, shall cause any such coinsurance clause to be waived. Any deductible amount must be approved by the Chargee. In addition to the insurance which the Chargor is required to maintain or cause to be maintained hereunder, the Chargee shall be entitled to require coverage from time to time with respect to the charged premises for such other risks and perils and in such form or forms of insurance as the Chargee may deem reasonable and prudent. The Chargor shall duly and punctually pay or cause to be paid all premiums and other sum of money payable for maintaining all insurance required to be maintained and effected hereunder and shall cause the proceeds of the insurance provided for in subsection (a) and the direct damage indemnity portion of insurance provided for in subsection (b) to be made payable firstly to Montrose Mortgage Corporation Ltd. as its interests may appear. Every policy of insurance shall be effected in such terms and with such insurer as may be approved by the Chargee (approval not to be unreasonably withheld) and in the case of insurance required to be maintained pursuant to subsections (a) and (c) shall have attached thereto Insurance Bureau of Canada Charge clause insurance endorsements acceptable to the Chargee, and in the case of insurance required to be maintained pursuant to subsection (b) a Canadian Boiler and Machinery Underwriters Association mortgage clause. In the event of failure on the part of the Chargor to maintain or cause to be maintained any insurance required hereunder, the Chargee may effect such insurance and the Chargor covenants to repay to the Chargee all of the premiums paid by it, the amount thereof to be added to the Principal Amount, to bear interest at the same rate from the time of payment by the Chargee and to be payable at the time of the then next ensuing monthly payment of interest or interest and principal. The Chargor will produce to the Chargee upon written request evidence of payment of all premiums and other sums of money payable for maintaining the insurance required hereunder and shall deposit with the Chargee (whether or not a request has been made) certified copies of all policies of insurance required to be maintained hereunder evidencing compliance with the provisions hereof. The Chargor will make available to the Chargee or its authorized representative for inspection upon reasonable notice and during normal business hours in its principal office in Ontario, the original copies of all such policies and, at the request of the Chargee, the Chargor at its own expense will provide to the Chargee copies of such policies from time to time. In connection with any or all of the foregoing policies of insurance: (i) (ii) (iii) the insurance shall grant permission of partial occupancy; each policy of insurance shall be signed by the insurer or insurers; the word "on-site" stated for the reconstruction in case of fire shall be deleted; the "Replacement Cost" coverage must include municipal by-laws extensions; and if an insurer reserves the right to cancel any policy of insurance required to be maintained hereunder as provided by statutory provision or otherwise, the Chargor will require that such insurer will neither terminate nor alter any such policy to the prejudice of the Chargee except by sixty (60) days' prior written notice by registered mail to the Chargee. The Chargor shall obtain the consent in writing from the Chargee to any alteration of the insurance policy to the prejudice of the Chargee regarding any cancellation or termination of the whole or any part of the insurance policy. The Chargor will replace any terminated policy within the sixy (60) day period, as aforesaid, with a policy providing similar coverage and in accordance

Page 7 with the provisions hereof and such policy shall be issued by an insurer acceptable to the Chargee. The Chargor will provide the Chargee with certificates signed by the insurer evidencing the renewal or replacement of any policy in accordance with the provisions hereof at least fifteen (15) days prior to the expiry or termination of each policy and will within forty-five (45) days after such expiry or termination provide the Chargee with a certified copy of each such policy. "Replacement Cost" as referred to in this Charge shall mean the cost of repairing, replacing or reinstating any item of property with materials of like kind and quality on the same or a similar site without deduction for physical, accounting or any other depreciation and includes municipal by-laws extension. The Chargor shall forthwith on the happening of any loss or damage, furnish at its own expense all necessary proofs and do all necessary acts to enable the Chargee to obtain payment of the insurance monies; and any insurance money received may, at the option of the Chargee, be applied in rebuilding, reinstating or repairing the charged premises, any condominium unit or improvement therein, or may be paid to the Chargor or any other person appearing by the registered title to be or to have been the owner of the charged premises or may be applied or paid partly in one way and partly in another, or it may be applied, in the sole discretion of the Chargee, in whole or in part on the mortgage debt or any part thereof whether due or not then due. 21. OBLIGATIONS JOINT AND SEVERAL

Where there is more than one Chargor hereunder the obligations of such Chargors shall be joint and several. 22. FIRE CODE REGULATIONS

The Chargor represents and warrants to the Chargee that it is in full compliance with all fire code regulations set forth by all levels of government. Any non-compliance by the Chargor with the foregoing statutes and regulations or amendments thereof, shall at the option of the Chargee, constitute a default under the Charge. 23. HAZARDOUS SUBSTANCE

The Chargor hereby represents, warrants, covenants and agrees with the Chargee (which representations, warranties, covenants and agreements shall survive satisfaction or release of the mortgage debt or extinguishment of the mortgage debt in the event the Chargee or a third party becomes owner of the charged premises upon default of the Chargor) that: (a) to the best of the knowledge of the Chargor after due and diligent inquiry, there are no Hazardous Substances on the charged premises, no Hazardous Substances are or have ever been used, stored or located in or upon the charged premises, except as is customary for the use of the property and allowed by any applicable environmental laws or regulations, and no part of the charged premises are or have ever been contaminated by any Hazardous Substances; no Hazardous Substance, except as is customary for the use of the charged premises and allowed by any applicable environmental laws or regulations, shall be brought onto or used on the charged premises without the prior written consent of the Chargee; any Hazardous Substance brought into or upon the charged premises or used by any person in or upon the charged premises shall be transported, used and stored only in accordance with all applicable laws, regulations, by-laws and other lawful requirements, prudent industrial standards and any other requirements of the Chargee;

Page 8 (d) the charged premises will not be used for the purpose of storing or using any Hazardous Substance, except as is customary for the use of the charged premises and allowed by any applicable environmental laws or regulations, and no use of the charged premises will be allowed which may cause or increase the likelihood of the escape, seepage, leakage, spillage, release or discharge of any Hazardous Substance on, from or under the charged premises or permit any policy of insurance in respect of the charged premises to be cancelled without replacement; the Chargor shall promptly notify the Chargee as soon as it knows of or suspects that any Hazardous Substance has been brought onto the charged premises, except as is customary for the use of the charged premises and allowed by any applicable environmental laws or regulations, or that there is any actual, threatened or potential escape, seepage, leakage, spillage, release or discharge of any Hazardous Substance on, from or under the charged premises.

(e)

The Charger shall be responsible for remediation of any environmental damage to the charged premises and the removal of any Hazardous Substance from the charged premises and will indemnify, defend and hold harmless each of the Chargee and its directors, officers, employees and agents in respect of any costs, losses, damages, expenses, judgments, suits, claims, awards, fines, sanctions and liabilities whatsoever (including all costs or expenses of defending or denying the same and including the costs or expenses of preparing any necessary environmental assessment report or other such report) arising out of, or in respect of, the breach of any of the foregoing representations, warranties or covenants of the Chargor or any remedial action taken by the Chargee on the order of a court or administrative tribunal in respect of any actual, threatened or potential escape, seepage, leakage, spillage, release or discharge of any Hazardous Substance on, from or under the charged premises. This indemnity shall survive the satisfaction or release of the mortgage debt or extinguishment of the mortgage debt in the event the Chargee or a third party becomes owner of the charged premises upon default of the Chargor. 24. EVENTS OF DEFAULT

Each of the following shall be defaults under this Charge entitling the Chargee, at its option, to declare the loan secured hereby immediately due and payable: (a) The failure by the Chargor to make any payment of any amount due including failure to make payments of principal, interest, real property taxes, governmental liens, insurance premiums or payments pursuant to any lease when due and payable, after written notice of such non-payment has been given to the Chargor by the Chargee and such non-payment has continued beyond ten (10) days thereafter. The breach or failure of due performance by the Chargor of any other agreement, covenant or provision of the Commitment Letter and the security documentation after written notice thereof to the Chargor of such breach or failure, which continues for a period of thirty (30) days after such notice. Without the prior written consent of the Chargee, such consent not to be unreasonably withheld, the sale, assignment or disposition of the assets of the charged premises or allowance of controlling ownership of the charged premises to change except as contemplated herein. The creation of any other encumbrances on the charged premises ranking or purportedly ranking ahead of or pari passu with this Charge and/or failure to remove any subsequent lien, charge or encumbrance not consented to by the Chargee within twenty (20) days of a request to do so by the Chargee. If the Chargor files an assignment in bankruptcy or makes a proposal under the Bankruptcy Act of Canada or similar statute for the benefit of creditors, or if a bankruptcy or insolvency petition is filed against the Chargor in any competent Court or Tribunal, and such assignment, proposal or petition is not dismissed within thirty (30) days.

Page 9 (f) If a material and adverse change occurs in the financial condition of the Chargor which may prevent the Chargor from meeting its present or future payment obligations.

In the event of default, the Chargee may: 1) Demand payment of the loan secured by this Charge and/or commerce enforcement proceedings. Appoint a Receiver, take possession of the assets charged and pursue all or any other remedies available. Have the right but not the obligation to pay any liens, claims or expenses then due and payable and to consider such payment as a debt of the Chargor. Any such payment on the part of the Chargee shall not be construed as curing such default.

NON-MERGER

The Chargor covenants and agrees with the Chargee as follows: (a) that notwithstanding the execution and delivery of the Charge by the Chargor to the Chargee and the registration thereof, or the execution and delivery of any additional security by the Chargor to the Chargee to secure the repayment of mortgage money advanced to or to be advanced to the Chargor, the provisions of the Chargee's commitment letter dated April 1, 2005 (the Commitment Letter) and all representations, warranties and obligations of the Chargor therein shall not merge but shall remain in full force and effect until all obligations under the Commitment Letter, this Charge and any other security documents have been fully performed and this loan, the interest thereon and any other monies payable to the Chargee are repaid in full. default by the Chargor in the performance or observance of any provision of the Commitment Letter shall be deemed to be a default by the Chargor under the Charge and any additional security given by the Chargor to the Chargee to secure the repayment of the funds advanced by the Chargee. in the event of an inconsistency between the terms of the Charge and the additional security given by the Chargor to the Chargee and the terms of the Commitment Letter, then the terms of the Charge and additional security documents shall prevail.

CONSTRUCTION LIENS

If at any time a claim is made by any person, firm or corporation or other entity for work or labour done or material or services provided for or in connection with the charged premises and if the Chargor fails to discharge and vacate such lien with twenty-one (21) days after receipt of notice thereof by the Chargor, then in addition to any right or remedy: (a) the Chargee may, in its absolute discretion, pay off any such lien and shall not be liable or responsible to the Chargor for the validity or correctness of any such claim and any such sum so paid shall be a further charge on the charged premises and shall bear interest at the same rate as the money secured by the within Charge and shall be immediately payable to the Chargee by the Chargor and shall be added to the debt hereby secured; and the money secured by this Charge shall, at the option of the Chargee, immediately become due and payable and the Chargee may exercise the power of sale contained in the within Charge and exercise any of its other remedies whatsoever.

The Chargee may, whenever it deems necessary, by itself or by its agents, inspect the condition of the Charged premises and the reasonable cost and expense of such inspection

Page 10 shall be added to the mortgage debt hereby secured and shall be payable forthwith to the Chargee. 27. NO ENCUMBRANCES

The Chargor covenants and agrees that it shall not execute, deliver or suffer to exist or permit to be registered any mortgage, charge, lien or other encumbrance on the charged premises or any other property which is the subject of any security documentation, including without limitation, the leases and the income derived herein without the written consent of the Chargee. The Chargee acknowledges that the Chargor has granted a charge on title to the charged premises in favor of the City of Toronto. 28. ESCROW ACCOUNT

Not less than $2,500,000.00 of the funds advanced to the Chargor under this Charge shall be placed in a separate escrow account to be established by the Chargor. Funds may be drawn from this account for the purpose of completing capital improvements and repairs to the charged premises generally in accordance with the existing Reserve Fund Study approved by the Board of Directors of the Chargor. In the event that the Board undertakes an update of the Reserve Fund Study, a copy of the study shall be provided to the Chargee within 10 business days of its completion. The Board of Directors shall be required to approve all advances made from the escrow account; such advances shall be for a minimum of $5,000.00. Upon written request from the Chargee, but not later than five (5) business days from such a request, the Chargor shall provide details of the status of the escrow account in sufficient detail to allow the Chargee to determine how any funds disbursed were utilized in completion of capital improvements to the charged premises. 29. RESERVE FUND

The Chargor covenants and agrees to set aside annually in a separate Reserve Fund, to be maintained by the Chargor, 10% of the gross rental revenues derived from residential rents, excluding income from the hotel operation. These funds will be used by the Chargor to improve the charged premises in accordance with the Reserve Fund Study authorized by the Board of Directors. 30. LICENSES

The Chargor shall ensure that all licences and approvals are obtained and maintained from any and all authorities so as to permit the continued, uninterrupted use of the charged premises as a student residence with ancillary commercial uses. 31. DUE ON SALE

In the event that the Chargor shall directly or indirectly sell, convey, transfer, further encumber in a manner other than permitted herein, or dispose of the charged premises or any part thereof, or any interest therein, or agree to do so, without the written consent of the Chargee being first obtained (such consent not be unreasonably withheld), then the Chargee shall have the right, at its option, to declare forthwith due and payable the entire balance of the unpaid principal with accrued and unpaid interest due thereon, together with payment of an additional amount (the Yield Maintenance Fee) to maintain the Chargees expected yield to maturity. The Yield Maintenance Fee shall be an amount equal to the greater of: (a) the amount by which the Canada Yield Price exceeds the principal and accrued interest then outstanding under this Charge; or three months interest on the principal then outstanding under this Charge.

For the purposes of the foregoing: Canada Yield Price means the present value (calculated applying a discount rate equal to the Government of Canada Bond Yield, on the day preceding the date on which the Yield Maintenance Fee is paid) of all payments of principal and interest which would have become due in accordance with the terms of this Charge (including any principal balance payable on the maturity date of this Charge).

Page 11 Government of Canada Bond Yield means the effective yield to maturity expressed as a percentage per annum calculated half-yearly not in advance which is available as at the time of its determination to a purchaser of a non-callable Government of Canada bond payable in Canadian dollars as quoted by RBC Dominion Securities and having a maturity date closely approximating the remaining term of this Charge. The consent to one such transaction shall not be deemed to be a waiver of the right to require consent to future or successive transactions. The terms of the sale and transfer shall also be subject to the Chargees approval, and shall include, inter alia, at the Chargees sole option, the amendment of the Commitment Letter and the security documents to provide for corporate and/or personal liability related to the purchaser. If at any time on or after the execution of the Commitment Letter, any portion of the shares or voting rights of the Chargor are transferred, or the Chargor effects a reorganization of the corporation or other act so as to result in any change in ownership, all monies secured hereby with accrued and unpaid interest thereon, and a Yield Maintenance Fee calculated as aforesaid, shall, at the option of the Chargee, forthwith become due and payable.

Property Management: You will, at all times, provide professional management of the real estate satisfactory to us. Any change in the management of the real estate shall require our prior written approval, both as to the manager and the terms and conditions of the management agreement. You will further cause each Guarantor to provide, in the case of corporate Guarantors, unaudited financial statements within 120 days after the end of each fiscal year of such corporate Guarantor, and, in the case of each individual Guarantor, a personal net worth statement within 120 days after the end of each calendar year, or more often if requested by us, such statements to be in form and content satisfactory to us. In addition, we, acting reasonably, may request more frequent reports on an unaudited basis. You also authorize and shall, if required by us, cause each Guarantor to authorize us to obtain such financial information as we may require. 7. Default: An event of default shall occur if the real estate or any construction on it is abandoned for a period exceeding fifteen consecutive days. We shall be entitled (after giving you ten days written notice of abandonment and if you fail to rectify the abandonment within fifteen days after notice has been given) to immediately cancel our obligations, decline to advance further funds and declare monies already advanced to be due and payable plus interest, all at our option. Borrowers Representations: If at any time before the final advance of funds there is or has been any material discrepancy or inaccuracy in any written information, statements or representations at any time made to us by you or on your behalf, concerning the real estate or yours or the Guarantors financial condition and responsibility, then we shall, if the material discrepancy or inaccuracy cannot be rectified or nulified by you within seven days of written notification from us, be entitled to immediately withdraw and cancel our obligations or decline to advance further funds, as the case may be, and to declare any monies then advanced, with interest, to be immediately due and payable. Material Change: It is a condition for the disbursement of funds that in our opinion the financial position of you and/or the Guarantors, and the real estate, and your representations and warranties, shall not have suffered any material adverse change, nor shall there be any action, suits, or pending proceedings with respect to you or the real estate; and that no event shall have occurred, which materially and adversely affects the whole or part of the value of the real estate or the financial position of any of the Guarantors. Waiver: Our failure to insist upon strict performance of any obligation or covenant in the Commitment (as hereinafter defined) or to exercise any option or right contained in the mortgage or the Commitment shall not be a waiver for the future of any such obligation or covenant but that obligation or covenant shall remain in effect and we shall have the right to insist upon strict performance by you of any and all terms of the Commitment, this mortgage and any other security documentation delivered pursuant to the Commitment. Non-Merger: This mortgage is delivered pursuant to a commitment letter (the Commitment) dated July 29, 2008 and accepted by you on July 30, 2008 as amended, supplemented, renewed or replaced from time to time. It is understood and agreed that the execution and delivery of the mortgage and all other documents relating thereto securing the charge indebtedness shall in no way merge or extinguish the Commitment or the terms and conditions contained therein. The Commitment and the terms and conditions contained therein are hereby incorporated by reference and shall continue in full force and effect, provided that in the case of inconsistency or conflict between any provision or provisions in the Commitment and the provision or provisions of this mortgage or any other security documentation relating thereto, the provision or provisions of the Commitment shall prevail.
