TO THE HONORABLE LEIF M. CLARK, JUDGE,
UNITED STATES BANKRUPTCY COURT:
NOW COME, Atled, Ltd. and Staci Properties, Ltd. (hereinafter "Debtors"), Debtors in
Possession in the above styled and numbered case, and file this their Application for Approval of
CBRE as Real Estate Broker for the Estates of Atled, Ltd. and Staci Properties, Ltd., and in support
thereof would respectfully show the Court the following:
1. On January 3, 2011, Delta Produce, L.P. (hereinafter called "Debtor") filed its voluntary
Petition for Relief under Chapter 11 of the United States Bankruptcy Code in the United States
Bankruptcy Court for the Western District of Texas, San Antonio Division. Related cases filed by
SuperiorTomato-Avocado,Ltd., Case No. 12-50074, StaciProperties, Ltd., CaseNo.12-50110, and
Atled, Ltd., Case No. 12-50075 have also been filed and are being jointly administered under the
bankruptcy case of Delta Produce, L.P.

2. The services of a real estate broker to represent the Atled, Ltd. and Staci Properties, Ltd.
and their respective estates are necessary and in the best interest of the estate and all parties in
interest. Debtors desire to employ Kevin Kelly of CBRE, to provide real estate services in regards
to the sale of the real property and improvements known as 2001 S. Laredo St., San Antonio, TX
78207 which was formerly operated by Debtor as its main facility for a number of years prior to
closing operations in late 2011. The real property and improvements is owned by Atled, Ltd. A
second piece of real property located at 750 Merida St., San Antonio, TX (and the adjoining lots
located at 763 Merida St.) was operated by Superior as its main facility for a number of years prior
to closing operations in late 2011. That piece of real property is owned by Staci Properties, Ltd.
3. No other real estate brokers are employed or proposed to be employed by Atled, Ltd. and
Staci Properties, Ltd. to perform these services.
4. Atled, Ltd. and Staci Properties, Ltd. have determined that the professional standing,
competency and reputation of such brokerage firm is high and that its employees are duly licensed
and qualified to provide the services requested by Atled, Ltd. and Staci Properties, Ltd. The
brokerage firm has no prior relationship with Atled, Ltd. and Staci Properties, Ltd. with the
exception that CRBE advised the Debtors regarding the possible sale/leaseback of the real property.
No amounts were billed to the Debtor. By CB RE. Kevin Kelly at CBRE specializes in the sale of
facilities (cold storage, food distribution and food processing) such as the properties located at 2001
S. Laredo St., San Antonio, TX 78207 and 750 Merida St., San Antonio, TX.

5. The brokerage firm has advised Atled, Ltd. and Staci Properties, Ltd. that it is willing to
accept such representation and that it neither holds nor represents an interest adverse to the estates
and is a disinterested person within the meaning of 11 U.S.C. Section 327(a).
6. Staci Properties, Ltd. and Atled, Ltd. and the brokerage firm have agreed that the
brokerage firm will be compensated by the respective estates according to its customary charge of
a six percent (6%) commission (to be shared with a cooperating broker). The term of the agreement
is a basic six ( 6) month agreement. Based upon the time constraints for the sale of the real property
between Staci Properties, Ltd. and Atled, Ltd. and their major secured creditor (International Bank
of Commerce), which holds a first lien mortgage on both tracts of real property, Atled, Ltd. and Staci
Properties, Ltd. have a short fuse to sell the real property prior to the bank taking over and trying to
market and sell the real property on its own behalf.
7. The brokerage firm will only be paid a commission if it is able to complete the sale of the
real property. All parties that Atled, Ltd. and Staci Properties, Ltd. have been negotiating with prior
to the employment ofCBRE will be subject to a 3% commission (Yz of the typical commission).
WHEREFORE, PREMISES CONSIDERED, Atled, Ltd. and Staci Properties, Ltd. request
that this Court approve the employment ofCBRE as the real estate broker for their respective estates
according to the terms and conditions set forth above, and for such other and further relief to which
they may show themselves entitled.

NOW COMES, CBRE, Real Estate Brokers for the Atled, Ltd. and Staci Properties, Ltd. in
the above styled and numbered case, and files this its disclosure of compensation for services
rendered pursuant to Rule 20 16(b) of the Rules of Bankruptcy Procedure, and reports to the Court
the following:
1. Compensation paid to the real estate brokerage firm for services rendered or to be
rendered and expenses incurred or to be incurred in contemplation of or in connection with this
