LLC (dba IE Distribution) ("Seven_l[E!lg") and the above-captioned debtors "Debto5") hereby stipulate

Prior to July 9, 2008, Seven Wells provided the Debtors with goods in the

aggregate net amount of $91,01 1.00 (the "Uggecured._C.lginq").

Within the twenty days prior to July 29,2008, Seven Wells provided the Debtors

with goods in the aggregate net amount of $29,694.00 (the "Prepetition Adminishative Claim").
On or about Septenrber 23,2008, Seven Wells timely filed proofs of claim (Claim

Nos. 258, 2984 and 3631) on account of the Unsecured Claim (the "Filed Unsecured Claim"). On or about February 13,2009, Seven Wells timely filed proofs of claim (Claim

Nos. 6425 and 6426) on account of the Prepetition Administrative Claim (the "Edd
Administrative Claim").

The Debtors and Seven Wells HEREBY STIPULATE AND AGREE as follows:

AGREEMENT
The Recitals are true and correct and are incorporated herein by reference.

This Stipulation is subject to Bankruptcy Court approval and shall be of no force

and effect unless and

until approved by the Bankruptcy Court.

On account of the Filed Unsecured Claim, Seven Wells shall be allowed a general

unsecured claim against Mervyn's

LLC of $91,011.00 (the "Allowed Unsecured Claim").

On account of the Filed Adminishative Claim, Seven Wells shall be allowed an

administrative expense claim against Mervyn's LLC pursuant

to I I U.S.C. $ 503(bX9) in the

amount of $29,694.00 (the "Allowed Prepetition Administrative Claim" and together with the

Allowed Unsecured Claim, the "Allowed Claims").
