Amica Appatel Corporation ('Arugg") and the above-captioned debtors and debtors in
possession (the "Debtors") hereby stipulate as follows:

STIPULATION FOR ALLOWANCE AND

BECITALS-

Priof to July 9, 2008, Amica provided the Debtors with goods in the aggregate net

amount of $86,218.56.

On account of such goods, Amica has timely filed a proof of claim (Claim No.

1788), seeking allowance of its claim (the "ClAiJn"). The Debtors and Amica HEREBY STIPULATE AND AGREE as follows:

AGREEMENT
The Recitals are true and correct and are incorporated herein by reference.

This Stipulation is subject to Bankruptcy Court approval and shall be of no force

and effect unless and rurtil approved by the Bankluptcy Court.

On account of the Claims, Amica shall be allowed a general unsecru'ed claim

against Mervyn's LLC in the amount of $86,218.56 (the "Allowed Cldml').
