The undersigned hereby certifies that, as of the date hereof, he has received no

answer, objection or other responsive pleading to the Amended Monthly Interim Application of
Lazard Frres & Co. LLC ("Lazard") as Investment Baner and Financial Advisor to Debtors

and Debtors in Possession for Compensation for Services Rendered and Reimbursement of
Expenses Incurred for the Period March 9, 2009 through April 30, 2009 (Docket No. 463) (the

"Application") fied on June 17,2009. The undersigned further certifies that he has reviewed the
Court's docket in this case and no answer, objection or other responsive pleading to the

Application appears thereon. Pursuant to the Notice of Application, objections to the

Application were to be fied and served no later than June 29, 2009.

Pursuant to the Order Pursuant to Sections 105(a) and 331 ofthe Bankptcy
Code Establishing Procedures for Interim Compensation and Reimbursement of Professionals,

dated April 8,2009 (the "Order") (Docket No. 147), the Debtors are authorized to pay Lazard
