FEE AUDITORS FINAL REPORT REGARDING INTERIM FEE APPLICATION OF STEPTOE & JOHNSON LLP FOR THE SIXTH INTERIM PERIOD This is the final report of Warren H. Smith & Associates, P.C., acting in its capacity as fee auditor in the above-captioned bankruptcy proceedings, regarding the Interim Fee Application of Steptoe & Johnson LLP for the Sixth Interim Period (the Application). BACKGROUND 1. Steptoe & Johnson LLP (S&J) was retained as counsel to the official committee of

unsecured creditors. In the Application, S&J seeks approval of fees totaling $53,791.00 and costs totaling $338.96 for its services from June 1, 2010 through August 31, 2010 (the Application Period). 2. In conducting this audit and reaching the conclusions and recommendations contained

herein, we reviewed in detail the Application in its entirety, including each of the time and expense entries included in the exhibits to the Application, for compliance with Local Rule 2016-2 of the Local Rules of the United States Bankruptcy Court for the District of Delaware, Amended Effective February 1, 2010, and the United States Trustee Guidelines for Reviewing Applications for Compensation and Reimbursement of Expenses Filed Under 11 U.S.C. 330, Issued January 30, 1996 (the Guidelines), as well as for consistency with precedent established in the United States

Bankruptcy Court for the District of Delaware, the United States District Court for the District of Delaware, and the Third Circuit Court of Appeals. We served on S&J an initial report based on our review, and received a response from S&J, portions of which response are quoted herein. DISCUSSION 3. In our initial report, we noted two time entries for non-working travel that state that

they were properly discounted but nonetheless appear to have been billed at the full hourly rate: 8/24/2010 8/24/2010 JRT JRT 2.10 1.40 1,071.00 714.00 Travel from Disclosure Statement Hearing (billed at time) Travel to Disclosure Statement Hearing (billed at time)

Local Rule 2016-2(d)(viii) states, Travel time during which no work is performed shall be separately described and may be billed at no more than 50% of regular hourly rates. Further, having reviewed the Amtrak timetable for the Northeast Corridor 1,1 we note that the trip from Washington to Wilmington should take about 1.5 hours, and the return trip should take about 2 hours. Even if we allow for travel to and from the station at both ends, it seems unlikely that each leg of the trip would have taken twice as long as the stated times of 1.40 hours for travel to Wilmington and 2.10 hours for travel back to Washington. We asked S&J to provide further explanation regarding these time entries. S&J provided the following response: S&J has no objection to the Fee Auditor's comment or the proposed reduction of the fees for each of the 2 above entries by 50%.

We appreciate this response and thus recommend a reduction of $892.50 in fees.

CONCLUSION 4. Thus, we recommend approval of fees in the amount of $52,898.50 ($53,791.00

minus $892.50) and expenses in the amount of $338.96 for S&Js services for the Application Period.
