This fifth monthly and final fee application for compensation and reimbursement of expenses (the "Fee Application") is filed by FTI Consulting, Inc. ("FTI") requesting payment for services rendered and reimbursement of costs expended as financial advisor for the Official Committee of Unsecured Creditors (the "Committee") of Perkins & Marie Callender's Inc. (the "Debtors"), for the period of June 28, 2011 through November 30, 2011 (the "Application Period"). In support of this Fee Application, FTI respectfully states the following:

Jurisdiction
1. The Bankruptcy Court (the "Court") has jurisdiction over this matter under 28
U.S.C. 1334. This is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). Venue of this chapter 11 case in this district is proper under 28 U.S.C. 1408 and 1409.
Background
2. On June 24, 2011, the Office of the United States Trustee held a meeting to
appoint the Committee pursuant to section 1102 of the Bankruptcy Code (the "Formation
Meeting"). At the Formation Meeting, the Committee selected Ropes & Gray LLP ("Committee Counsel") as its counsel, and on June 28, 2011, selected FTI Consulting, Inc as its financial
advisors. The following members were appointed to the Committee: 2 (a) (b) (c) (d) (e) (f) 3. The Coca-Cola Company; Wilmington Trust Company; News America Marketing; Luna Family Trust; Northgate Station, LP; and Benjamin Monroy. On July 19, 2011, FTI filed its retention application. On August 2, 2011, the
Court entered an order approving the retention of FTI as financial advisor to the Committee effective June 28, 2011 (the "Retention Order").

Order Establishing Procedures For Interim Compensation and Reimbursement Of Expenses Of Professionals (the "Administrative Order"), Del. Bankr. LR 2016-2 and the Retention Order. 5. Prior to the filing of the Application, applications for monthly fees for the period
June 28, 2011 through October 31, 2011 had been filed with the Court (the "Monthly Fee Applications"). The Monthly Fee Applications request professional fees in the aggregate amount of $460,000.00 and actual and necessary expenses in the amount of $5,403.49 of which $340,000.00 and $5,373.17, respectively, has been paid to date by the Debtors in accordance with the Interim Compensation Order. In addition, FTI seeks the allowance of compensation for professional services rendered for and on behalf of the Committee for the period November 1, 2011 through November 30, 2011 ("Fifth Monthly Application Period") in the amount of $100,000.00 and actual and necessary expenses in the amount of $628.88. Detailed time entries are annexed hereto as Exhibit F. 6. Accordingly through the Application, FTI hereby seeks final approval of
$560,000.00 in professional fees (consisting of Monthly Fees of $125,000.00 for the each of the first two months and $100,000.00 per month thereafter) related to services rendered in connection with its role as financial advisor to the Official Committee of Unsecured Creditors, and reimbursement of actual and necessary expenses of $6,032.37 pursuant to the terms of its engagement approved in the Retention Order. As of the date of the Application, FTI is owed $220,000.00 for professional fees, and $659.20 for actual and necessary expenses, which have not been paid by the Debtors. Summary of Fees 7. The total number of hours expended by FTI professionals and paraprofessionals
in performing professional services for the Committee during the Application period was 832.0.

Application Period, a summary of the time incurred by project code, and detailed time entries by professional and project code are attached hereto as Exhibit A, Exhibit B, and Exhibit C. A summary of the reasonable and necessary expenses incurred is shown in Exhibit D and Exhibit E. 9. The following paragraphs describe the primary services rendered by FTI to the

FTI reviewed and analyzed the Debtors' current and historical operating results to assess the Company's financial and operational performance Time in this code includes the participation on conference calls with the Debtors to review such results. The results of FTI's analyses and observations were summarized in reports that were presented to the Committee.

FTI reviewed and analyzed the Company's weekly cash flow reports, variances to the budget, and monitored for compliance with the DIP order. FTI prepared and distributed reports to the Committee summarizing and analyzing the details of the actual results compared to the budget in order to keep the Committee informed of the Company's current and projected liquidity position.

FTI reviewed the terms of the debtor in possession ("DIP") agreement and

participated in several related discussions with the Debtors' advisors. Furthermore, FTI reviewed and analyzed the DIP budget and participated in calls with the Debtors' management and advisors to further diligence the underlying assumptions. FTI then sensitized certain assumptions to determine the risks associated with the DIP budget and the related covenants. The results of FTI's analysis were summarized and communicated to the Committee.

FTI professionals reviewed and analyzed the Debtors' 5-year business plan. Analysis included comparison to historical performance and forecasted industry trends, including a breakdown of business drivers by business segment. FTI had several discussions with the Debtors regarding the key business plan assumptions. Based on this work, FTI prepared sensitivity analyses highlighting the risks and opportunities within the Debtors' business plan. The results of our analyses were summarized and presented to the Committee.

FTI performed an illustrative valuation analysis of the Company based on FTI's review of the company's business plan. Such analysis was presented to the Committee in connection with the business plan review and settlement discussions.

FTI reviewed and analyzed the Statements of Financial Affairs and Schedules. Time in this task code includes analysis related to asset and potential claim levels by Debtor, as well as reviewing payments listed on SOFA 3b and 3c.

FTI reviewed and analyzed the claims scheduled and filed in this case to assist in the preliminary analysis of the allowed claims pool. FTI also prepared various analyses quantifying potential claims resulting from certain actions the Debtors undertook in the chapter 11 proceedings. The results of such work were communicated to counsel and other parties in interest. Additionally, FTI assisted counsel with the review of specific unsecured claims for which certain settlements were reached. (Code 16) POR & DS Analysis, Negotiation, and Formulation Total Hours: 72.0 FTI reviewed and analyzed the Debtors' strategic alternatives. As part of this process, FTI and Committee counsel participated in numerous settlement discussions and provided regular updates to the Committee. Time in this code includes preparation of any materials for such calls. Additionally FTI assisted with the closing process by preparing the sources and uses analysis used to effectuate the Plan or Reorganization. (Code 20) General Meetings with Debtors & Debtors' Professionals Total Hours: 45.2 FTI participated in several discussions with the Debtors and Debtors' professionals including an in-person meeting held in Memphis to discuss several case related issues, Company background and financial performance, store portfolio, among others. In addition, FTI participated in various discussions with the Debtors and Debtors' professionals concerning various case issues, including Plan of Reorganization terms and claims analysis, among others.

(Code 21) General Meetings with Committee & Committee Counsel Total Hours: 70.9 FTI prepared for and participated in several calls with the Committee and Committee Counsel to provide updates concerning key case issues and certain financial analyses. Time in this code includes the finalization of certain deliverables distributed to the Committee in connection with these meetings/conference calls. (Code 30) Review Store Portfolio Total Hours: 50.1 During the Application Period, FTI prepared a detailed 4-wall profitability analysis in connection with its review of the go-forward store footprint and rationale for the store closures occurring during these chapter 11 proceedings. The results of this analysis were summarized and shared with the Committee. Compliance with the Bankruptcy Code, the Bankruptcy Rules and Local Rules 10. In accordance with Del. Bankr. LR 2016-2, a summary schedule of hours and fees
for each professional, and a summary of hours and fees categorized by project code follow this Application. The undersigned submits that this Fee Application complies with Del. Bankr. LR 2016-2 and the Retention Order. 11. FTI submits that the services rendered and expenses incurred were actual and
necessary and that the compensation sought is reasonable and in accordance with the standards of the Bankruptcy Code and Bankruptcy Rules. 12. No agreement or understanding exists between FTI and any other entity (other
than shareholders or employees of FTI) for the sharing of compensation received or to be received for services rendered in connection with these cases.
