ORDER GRANTING THE DEBTORS APPLICATION PURSUANT TO 11 U.S.C. 327(a) AND FED. R. BANKR. P. 2014 FOR ORDER AUTHORIZING RETENTION AND EMPLOYMENT OF OMNI MANAGEMENT GROUP AS ADMINISTRATIVE AGENT Upon the application, dated August 10, 2011 (the Application)1 of the above-captioned debtors and debtors in possession (the Debtors), for an order pursuant to 11 U.S.C. 327(a) and Fed. R. Bankr. P. 2014 authorizing and approving the retention and employment of Omni Management Group (Omni) as administrative agent; and upon the accompanying Declaration of Paul H. Deutch in Support of the Application; and there being due and sufficient notice of the Application, and no additional notice or a hearing thereon being required; and there being no opposition to the requested relief; and the Court being satisfied that Omni has the capability and experience to provide the services set forth in the August 4, 2011 Engagement Letter attached to the Application and hereto, that Omni does not hold or represent an interest adverse to the Debtors or their estates respecting the matters upon which it is to be engaged, that it is disinterested under 11 U.S.C. 101(14), and that its retention for the purposes set forth in the Application is necessary and in the best interests of the Debtors, their estates and creditors; and sufficient cause appearing therefor, it is hereby ORDERED that the Application is granted to the extent provided herein; and it is further

Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Application.

ORDERED that the Debtors are authorized to enter into the Engagement Letter, attached hereto as Exhibit A; and it is further ORDERED that the Debtors are authorized to retain Omni to perform the administrative services set forth in the Application and Engagement Letter; and it is further ORDERED that Omni shall not be compensated for the foregoing services and reimbursed for related expenses except upon an order of the Court granting an application therefor pursuant to the applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, the Interim Compensation Order, the guidelines established by the United States Trustee for the Southern District of New York and further orders of this Court; and it is further ORDERED that Omni shall not be compensated or reimbursed for its services as the Debtors administrative agent to the extent that such services duplicate its services under, or are properly covered by, the terms of its engagement by the Debtors as claims, noticing and balloting agent as authorized by this Courts Order entered today granting the Debtors application for approval thereof; and it is further ORDERED that this Court shall retain jurisdiction to hear and determine all matters arising from or related to the implementation, interpretation and/or enforcement of this Order.
