amended agreement attached hereto as Exhibit B (the Amended Agreement).2 In support of this Motion, the Debtors respectfully state as follows: Introduction 1. As set forth in detail below, the Debtors are pleased to inform the Court
that the sole basis upon which the Court previously sustained the limited objection filed by the Official Committee of Unsecured Creditors (the Committee) to the Original Agreement (as defined below) has been consensually resolved by the Debtors, GM, the Committee and the agent to the prepetition senior secured lenders (the Agent). Accordingly, the Debtors have incorporated the resolution into the Amended Agreement and now seek approval of the Amended Agreement. Importantly, neither the Committee nor the Agent objects to this Motion. Jurisdiction 2. The Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334.
This matter is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). 3. 4. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are Rule 9019(a) of the
Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules) and sections 105(a) and 363(b) of the Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code). Background 5. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary
petitions for relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their

businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 6. On May 24, 2005, the United States trustee appointed the Committee
pursuant to section 1102 of the Bankruptcy Code. 7. The Debtors and their non-debtor affiliates are leading global suppliers of
automotive components, systems and modules to all of the worlds largest vehicle manufacturers, including DaimlerChrysler AG, Ford Motor Company, GM, Honda Motor Company, Inc., Nissan Motor Company Unlimited, Porsche Cars GB, Renault Crateur D Automobiles, Toyota SA and Volkswagen AG. 8. On October 7, 2005, the Debtors and GM executed that certain letter
agreement, providing the Debtors with immediate price relief and other related benefits (the GM Letter Agreement).3 9. Prior to the execution of the GM Letter Agreement, GM issued the
Debtors certain supply agreements and/or purchase orders regarding, among other programs, the GM Program, pursuant to which the Debtors agreed to manufacture the cockpit, instrument panel and center console for the GM Program.
On October 14, 2005, the Court entered an order [Docket No. 1552] authorizing the Debtors to enter into the GM Letter Agreement.

supplier(s) and has requested the Debtors assistance with and cooperation in the transition of the GM Program to such supplier(s). 11. Although the Debtors disagree with GMs decision to resource the
GM Program for a number of reasons, the Debtors desire to support GM with its objectives, provided that the Debtors and GM first agree to a commercial resolution. 12. Accordingly, in an effort to achieve their respective objectives, the
Debtors and GM negotiated an agreement (the Original Agreement), the terms of which would address and resolve any commercial and legal issues relating to the resourcing and transition of the GM Program from the Debtors to another supplier(s). 13. On March 10, 2006, the Debtors filed a motion [Docket No. 2347]
(the Original GM Agreement Motion), seeking approval of the Original Agreement. Subsequently, the Committee filed a limited objection to the Original GM Agreement Motion under seal pursuant to the Order Authorizing the Filing of a Certain Document Under Seal [Docket No. 2342] (the Seal Order). 14. On March 23, 2006, this Court sustained the Committees limited
objection. The basis of the Courts ruling is sealed pursuant to the Seal Order. 15. The Debtors, GM, the Committee and the Agent have since negotiated the
Amended Agreement, which resolves the concern of the Committee, thereby resolving the Committees limited objection. As will be explained at the hearing on this matter, the Debtors, the Committee and the Agent believe that the resolution should resolve any concerns the Court had as well.

Relief Requested 16. By this Motion, the Debtors respectfully request that the Court enter an
order, pursuant to Bankruptcy Rule 9019(a) and sections 105(a) and 363(b) of the Bankruptcy Code, authorizing the Debtors to enter into the Amended Agreement with GM. Basis for Relief 17. For all of the reasons set forth herein and in the Original GM Agreement
Motion, the Debtors respectfully submit that they have exercised sound business judgment in entering into the Amended Agreement. Notice 18. Notice of this Motion has been given to GM and the Primary Service List
as required by the Case Management Procedures.4 In light of the nature of the relief requested, the Debtors submit that no further notice is required. No Prior Request 19. any other court. No prior motion for the relief requested herein has been made to this or
