(the Defendant), Case No. 05-13724 (JMD), pending in the United States Bankruptcy Court for the District of New Hampshire, and the Trustee of the Felt Manufacturing Company, Inc. Empire Electronics, Inc. holds a reclamation claim for certain raw

materials shipped to Debtor and continues to be a Supplier for Debtor. Empire Electronics and Empire Electronics, Inc. have been sued for alleged preferential transfers, Adversary No. 07 04946. B. Toyota Motor Credit Corporation is owed past due pre-petition and

post-petition lease payments for the lease of personal property consisting of 166 forklifts utilized in its ordinary business activities. Toyota Motor Credit Corporation, Toyota Financial Services and Toyota Sales USA, Inc. have been sued for alleged preferential transfers, Adversary No. 07 05460. C. Grossman, Tucker, Perreault & Pfleger, PLLC is a law firm which

provided legal services to the Debtor pre and post petition regarding intellectual property rights and holds a secured claim for its pre petition attorney fees pursuant to New Hampshire law. Grossman, Tucker, Perreault & Pfleger, PLLC has been sued for alleged preferential transfers, Adversary No. 07 05632. D. FET Engineering Inc. is a supplier to the Debtors and a party to certain

purchase orders with the Interiors Plastics Group, among others. E. Advanced Plastics, Inc. has been sued for alleged preferential transfers,

Adversary No. 07 04521. F. Aramark Uniform Services and Aramark Uniform and Career Apparel,

Inc., has been sued for alleged preferential transfers, Adversary No. 07 04624. G. Eastern Propane Gas, Inc. has been sued under its trade name Country

Gas Distributors for alleged preferential transfers, Adversary No. 07 04893.

Piolax Corporation has been sued for alleged preferential transfers,

Adversary No. 07 05391. I. Waste Management, Inc., Waste Management of New Hampshire, Inc.

and Waste Management of South Carolina, have been sued for alleged preferential transfers, Adversary No. 07-05051. J. American Paper & Twine Company has been sued for alleged

preferential transfers, Adversary No. 07 04795. K. Lawrence E. Rifken, Plan Administrator (hereinafter, the Plan

Administrator) appointed pursuant to the terms of the confirmed Third Amended Plan of Liquidation (the Plan) Proposed by the Official Committee of Unsecured Creditors (the Committee) in the chapter 11 case of Felt Manufacturing Co., Inc., f/k/a Foss Manufacturing Co., Inc. (the Defendant), Case No. 05-13724 (JMD), pending in the United States Bankruptcy Court for the District of New Hampshire, and the Trustee of the Felt Manufacturing Company, Inc. Liquidating Trust formed pursuant to the Plan has been sued for alleged preferential transfers, Adversary No. 07-05555. 3. Pertinent Facts and Circumstances in Connection with Employment.

The interested parties periodically retain Kilpatrick to represent their interests in bankruptcy proceedings. These entities are not related. All parties have consented to the concurrent representation of each in this bankruptcy case by Kilpatrick. 4. Claims or Interests Owned by Kilpatrick.

Kilpatrick does not presently own, nor has it previously owned, any claims or interests against the Debtor.
