    DearMessrs.NiederauerandHalvey: Asashareholderandattorney,IwritetomakeyouawarethatNYSEmaybepartytoan illegalpyramidscheme. Namely,thereissubstantialevidencethatHerbalife Ltd. isanillegal pyramidschemeoperatingundertheguiseofahealthproductscompany.Uponinvestigation, however, Herbalifepaysmoremoneytoparticipantsinitsbusinesstorecruitnewparticipants thanitdoesforsaleofitsproducts.Thisisillegal.See,e.g.,Websterv.OmnitritionIntern.,Inc., 79F.3d776(9thCir.1996). NYSE isaidingHerbalifeinmaintainingandperpetuatingthatschemeandthus,may itselfbeliableforinjurycausedbyit.Specifically,NYSEprovidesHerbalifetheopportunityfor thosewhowishtoinvestintheschemewithoutbecomingparticipantsareadymeanstodoso. Those investments permit Herbalife to extend the scheme by entering new territories and buildingfavorablebrandrecognition,whicharecriticaltokeepingtheschemefromcollapsing. Assoonaspractical,pleaseconfirmtomethatyouhaveinvestigatedtheseissuesand ceasedallinvolvementwithorsupportofHerbalife's pyramidscheme.Ifyouchoosenotto investigateHerbalifeornottoceaseyourinvolvementtherewith,pleaseprovidemethelegal basisjustifyingyourdecision,includingatminimumtheopinionletterfromyourcounselupon whichyourely.IbelieveyouhaveafiduciarydutytomeandothershareholderstoensureNYSE is notinvolvedwithcriminalactivity. Butmoreimportantly,whywouldyouevenwanttorisk injuring NYSE's stellar reputation by being involved with Herbalife? They cannot be so important a customer that you would jeopardize your good name and reputation by being involvedwithsuchanunsavorycompany.
