Commission Agreement
1. This agreement is between Link Real Estate NYC (hereinaIter 'LINK), Licensed Real Estate Broker, and the
undersigned party, Maiden Lane Development LLC (Delaware LLC) (hereinaIter 'Seller) or an aIIiliate thereoI
with an oIIice at 1745 Broadway, 18

Floor, NY, NY 10009 , Ior the sale oI the property located at 151-161
Maiden Lane, NY, NY 10038 (hereinaIter 'Property).
2. Seller agrees that LINK is the sole broker who presented the disclosed Property and would be the sole broker who
would bring about the sale oI the Property.
3. Seller shall pay LINK 0.75 (Three Quarters oI One Percent) oI the gross sale price. The commission payment
shall constitute Seller`s sole responsibility to compensate LINK Ior this transaction. Said commission shall be
paid by Seller and made payable to Link Real Estate NYC LLC at the closing. This agreement shall remain in
eIIect to undersigned Seller or an aIIiliate thereoI or assignee.
4. Seller agrees to notiIy LINK by telephone or in writing, Iorty-eight (48) hours prior to closing, the date, time, and
place oI closing.
5. Commission check(s), are to be paid at the closing. The broker`s commission shall be payable to LINK by Seller
and must be either a certiIied check (s) or bank cashier`s check(s) or wire transIer.
6. Your Iailure to pay the Iees set Iorth in the above agreement shall result in responsibility Ior those Iees plus the
reasonable cost oI our collection oI the same including reasonable attorney`s Iee. You represent that you have Iull
power and authority to execute this Agreement and to consummate a transaction as provided herein.
7. This Agreement shall bind and beneIit the personal representatives, successors and assigns oI the parties.
8. This Agreement, which constitutes the entire agreement between Seller and LINK, may not be changed, rescinded
or modiIied except in an agreement in writing signed by both parties.
9. This Agreement shall be governed by, interpreted under and construed and enIorced in accordance with, the laws
oI the State oI New York, without reIerence to conIlicts oI laws principles.
II the Ioregoing correctly states our understanding, kindly conIirm by signing this agreement at the place so indicated
and return to us.
Execution and delivery oI this assignment by transmission oI a signed signature page by Iacsimile or PDF shall be
suIIicient Ior all purposes and shall be binding on any Person who so executes.
