Draft of the articles of Association for the Studenthouse at RUC

These regulations are created and supported by: Free students, Free Forum Roskilde and The studentcouncil at RUC

Article 1: Name and place


1 Name and place Art. 1 The name of the association is: Association Studenthouse RUC (Studenthouse RUC for future reference). Art. 2 The association is based in Trekroner

Article 2: Purpose
2 Purpose Art. 1 The purpose of the association is to support and create interdisciplinary, student social andcultural offers for the the students at Roskilde University and furthermore create an open and including place of gathering for all RUC students. Art. 2 The articles of association respects the at all times relevant co-operation agreement between Roskilde University and Studenthouse RUC.

Article 3: Membership and membership- fee


3 Membership

Art. 1 There are two types of memberships of Studenthouse RUC: An ordinary membership and a supporting membership. Art. 2 All persons enrolled as students at Roskilde University, can be accepted as ordinary members (A- members). Art. 3 Students at other higher institutions of learning can be accepted as supporting members (Bmembers). Art. 4 Persons not enrolled in higher institutions of learning can be accepted as supporting members (C- members).

Art. 5 The members are obliged to respect the articles of association and house order rules. Membership activity shall be carried out in respect of others political and religious beliefs and cultural and ethnical origin. Art. 6 If a member does not oblige to its obligations (according to 3, art 5) the board can exclude this member from the association with immediate effect for a shorter or longer period of time. I severe cases a member can be excluded by a board vote with a 2/3 majority. A board decision to exclude a member can be appealed by the excluded member in the first coming general assembly for a final decision.

4 Membership- fee

Art. 1 The membership- fee for the separate membership groups (A, B and C) is determined by the general assembly Art. 2 If a member is in debt with membership- fee or other mandatory payments, the member can after a 14 days written notice- be deleted as a member. Art. 3 Re-initiation can happen, if the debt is payed. Deletion of membership does not release the member from the obligation to pay the debt until the expiration of the legal sign out pariod.

Article 4: General Assembly


5 The purpose of the general assembly Art. 1 The general assembly is the final authority. Art. 2 The general assembly is to be held in the 4th quarter. 6 Agenda Art. 1 The general assembly puts down its agend. The agenda is required to include the following points: 1. Opening, election of conductor(s) and referent(s) along with putting down the agenda. 2. The boards report. 3. Presentation for approval of the annual accounting with the report of the accountant. 4. Presentation and approval of the budget, along with putting down membership- fees5. Decision to use surplus or cover losses in accordance with the approved annual accounting.

AOB 7 - Call to general assembly Art. 1 The board must give a six week warning to all students enrolled at RUC along with a preliminary agenda and time. Art. 2 Motivation for running for the board and amendments to the articles of association must be in the hands of Studenthouse RUC's chairman, no later than three weeks before the general assembly. Art. 3 The board sends out the agenda with a schedule, limits for running and amendments to the articles of association, amendments to the rules of procedure, written reports, reasons for running and incoming propositions no later than two weeks before the date of the general assembly. 8 Right to vote Art. 1 Alle members (A, B and C) can participate at the general assembly with full right to speak. Art. 2 Only A members have the right to vote at the general assembly. Every students have but one vote. Art. 3 Alle votes are personal and can only be cast if present. 9 Quorum Art. 1 The general assembly is resolution proficient, if the general assembly is called on time in accordance to 7. 10 Voting Art. 1 For the adoption of a proposition it requires a normal majority unless anything else is required by these articles of association. In the situation of an equal vote, the vote is repeated once, if this vote I also equal the proposition falls. Art. 2 It is allowed at elections, where more than one position is to be occupied, to cast a vote for a number of candidates on each ballot, that is between zero and one more than half of the positions to be occupied. The candidates that achieve the most votes are elected. If only one candidates is running for a position, that candidate is automatically elected. Art. 3 At elections where only one position is to be occupied, every ballot may contain only support to one candidate. If there is more than two candidates, and none achieve support by more than half

of the votes cast, there will be a second round with the two candidates that received the most votes. A candidate is elected when he/she has one this second round of voting, with more than half of the cast votes. If no candidate receives the support of more than half of the cast votes in the first round of voting or in the event of a second round of voting, no candidate is elected. If only one candidate runs, he/she is elected unless the electorate general assembly propose a vote of trust. In that case the candidate is elected if he/she receives more than 50% of the votes. Art. 4 All votes regarding persons are to be conducted in a written form. Other votes will be done by the count of hands, but is to be conducted if two or more persons present express a wish for it. 11 Art. 1 An extraordinary general assembly can be called if it is wished by a majority of the board. Art. 2 The extraordinary general assembly is to be called by the board with at least three weeks notice and is to be conducted no later than six weeks after it has been proposed. A call to an extraordinary general assembly has a suspensive effect on decisions relating to the general assembly's decision theme.

Article 6: Board
12 Composition Art. 1 The board is composed by: 1. Six representatives from the academic counsel, selected by the student organisations elected to the academic counsel. 2. Five representatives elected from the member participants of the general assembly Art. 2 Only students enrolled at RUC can be elected or selected to the board. Art. 3 The general assembly elects up to two alternates for the board. The alternates are elected at the board election and they are elected in order of the majority of the votes. The alternates step in in the event of the leave of a board member. Art. 4 The board elects a Chairman, vice- chair and treasurer from the board, at the acting meeting after the general assembly. Art. 5 A board member may hold no more than one mandate position 13 Purpose of the board Art. 1 The board is the acting authority of Studenthouse RUC in the interim between the general

assembly and is tasked to coordinate the activities of the Studenthouse. The boards primary task is to perform Studenthouse RUC's economic and strategic leadership. Art. 2 The board meetings are open for all students at RUC. Though the board can choose to close certain points of the agenda, including cases relating specific individuals. The decision to close a point on the agenda can only be taken by a majority vote of at least 2/3 of the present board members. 14 Decisions Art. 1 The board makes decisions by normal majority vote unless anything else is defined in the articles of association. Art. 2 In the event of an equal vote, the chairman has the deciding vote. 15 Accession Art. 1 Board members elected on the ordinary general assembly join the 1st of february after the general assembly. Art. 2 Board members elected on an extraordinary general assembly join immediately after the election.

Article 7: Economy
16 Accounting The associations accounting follows the calender year The accounting is presented at the ordinary general assembly The accounting is revised by a Chartered accountant

17 Subscription right The association is jointly subscripted by the chairman and the treasurer. The treasurer arrange and supervise that income and expenditures are accounted, so that it can form the basis of the preparation of the annual accounting.

18 Liability The association is only liable for the obligations taken by the association.

19 Critical accounting The general assembly elects two critical accountants The critical accountants comment the revised accounting as soon as it is presented.

Article 8: Dissolution
20 Dissolution The association can only dissolute on two on each other following general assembly with a 2/3 majority on both general assembly held within a period of 30 days. In the event of dissolution the funds of the association is to go to a, for the purpose created fund, with the same purpose as described in 2. This fund is to be led by a board consisting of three individual, that are elected at the general assembly that dissolute the association.

Article 9: Amendments to the articles of association


21 Amendments to the articles of association Proposition of amendments are to be proposed at least three weeks before the general assembly and are accepted with a 2/3 majority vote. Amendments to 19-21 has to be accepted with a 4/5 majority vote. Amendments are in effect immediately after being accepted
