SGX-Listed TT International Announces Completion of Investment Agreement of Big Box Project

SINGAPORE, 26 February, 2013 TT International Limited (TT International or the Company) announced today that it has completed the transaction of the Investment Agreement (IA) for the Big Box Warehouse Retail project (the Project or "Big Box") as well as the legal assignment of all its interests in the proposed iconic mega warehouse to its subsidiary, Big Box Pte Ltd (BB) (collectively the Completion). SGX Mainboard-listed TT International announced that all the conditions precedent under the IA (as announced on 14 December 2012) have been met after obtaining the relevant regulatory approval from the Jurong Town Corporation (JTC). The Company had earlier already obtained the relevant approvals from its Scheme Creditors in relation to the contemplated transaction under the IA. TT International has invested approximately S$95.0 million in Big Box. With the Completion, TT International now owns 75% of the total issued share capital of BB (comprising ordinary and preference shares), with the remaining 25% held by Prima BB Limited (Prima) and Utraco Investment Pte. Ltd. (Utraco) which have collectively injected an aggregate S$92.0 million into the Project located at Jurong East Street 11 which will have a gross floor area of approximately 1.3 million square feet. Under the IA, Prima and Utraco are entitled to certain share options to subscribe for shares in BB which, if fully exercised, will lower TT Internationals stake in BB to 51% of the total issued share capital, with the remaining 18.6% to be held by Prima and 30.4% to be held by Utraco. The S$92.0 million (being the equity investment and shareholders loan by Prima and Utraco collectively) was released from escrow and injected into a project account of BB on 25 February 2013. The money will be utilised to fund the initial development costs and pay the applicable differential premium in respect of the Property. BB has already obtained a commitment for construction-related project financing (Financing) of up to S$125 million, coordinated by a leading local bank (Financing). The documentation for the Financing is in the process of being finalized, and the Company will announce details once this is completed. 1

Big Box is the last and largest of four warehouse retail projects approved by Singapores Economic Development Board under the Warehouse Retail Scheme, the other three being outlets for IKEA, Courts and Giant in Singapores East.
