Landi Renzo buys 70% of Emmegas, a company in the sector of components and LPG and CNG fuel systems for motor vehicles and a leader in specific product/market segments
Cavriago (Reggio Emilia), 07 March 2013 Landi Renzo purchased 70% of Emmegas S.R.L. which has been producing components and LPG and CNG fuel systems for motor vehicles for twenty years and offers products to meet specific needs on some important markets of Asia and America. Thanks to this partnership we are hoping to diversify our offer in some strategic markets, thus enhancing the Groups global presence and taking advantage of growth opportunities in market segments in which the Group is currently only partially present said the Chief Executive Officer Claudio Carnevale. During 2012 Emmegas achieved sales of around 3.2 million Euro and a negative Ebitda of about 164 thousand Euro. At 31 December 2012 Emmegas total assets amounted to around 3.2 million Euro and net financial debt to around 1.7 million Euro which during the first two months of 2013 fell markedly thanks to the profitable sale of a real estate asset. The total outlay for 70% of the Emmegas shares was 475 thousand Euro and was paid using the Groups financial funds. The transaction also envisages a put and call option for the remaining 30% shareholder equity which cannot be executed earlier than the next three years Landi Renzo was assisted by Studio Legale Bassi & Terzi, Studio Fiorenzo Oliva and Deloitte Financial Advisory, respectively as legal, tax/accounting and financial consultants.
