AGREEMENT OF LEAVE AND LICENSEE THIS AGREEMENT OF LEAVE AND LICENSEE IS MADE AT PUNE ON THIS .................................. DAY OF 2013.

Naiknavare Apartments, F.P. No. 108, 15th Lane, Erandwane, Pune 411 004.
(hereinafter referred to as the Licensor which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include his heirs, successors, administrators and assigns) of the ONE PART; .HEREINAFTER referred to as the "THE LICENSOR" (which expression shall unless excluded by or Repugnant to the context include successors and assigns) PARTY OF THE FIRST PART. AND Sairung Developers and Promoters Pvt Ltd, H a v ing addressed 5 0 1 / 5 0 2 C o r p o r a t e p l a z a ; S e n a p a t i Bapat Road Pune 16. Through its Authorized Signatory Mr. K. R. Malik, Age: - 51.Years, Occ: business ; HEREINAFTER referred to as the "THE LICENSEE" (which expression shall unless excluded by or Repugnant to the context include successors and assigns) PARTY OF THE SECOND PART. Whereas the Licensor is seized and possessed of or otherwise well and sufficiently entitled to Flat No.2,Geetanjali Rajbhavan, Plot No. 43, City Survey No. 2712 A/1/43, Bhamburda ,Shivajinagar Pune,..Hereinafter referred to as the said premises and also Described in Schedule-"A"

The Licensee has approached the Licensor and issued the letter of intent with request to permit him/her to use and occupy temporarily the premises which is on 2nd floor and it consists 4 Bed room, Hall, One Kitchen, W.C. & Bath. The area of the Flat is about 2921 Sq,ft with its fixtures and fittings Described in Schedule "B" on LEAVE AND LICENSE basis for a period of 11 months, NOW THEREFORE THESE PRESENT WITNESSETH THIS AGREEMENT AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS: 1) GRANT OF LICENSE : The Licensor agreed to demise up to the Licensee and the Licensee hereby accepts the said premises, with its fixtures & fittings as per schedule B attached to hold unto a period of 36 months with effect from 07/02/2013. 2) LICENSE CHARGES; During the tenure of this Licensee, the Licensee shall pay to the Licensor an amount of Rs. 1,50,000/- (Rupees One Lac fifty thousand Only) per month as compensation to the Licensor for License fee/s for the first term of 12 months i.e. 07/02/2013 to 06/02/2014. The Licensee shall pay the said licence charges on or before 5th day of each month during the Licence period and shall not commit default in paying the same. The Licensee shall pay after deduction of tax at source under the provisions of the Income Tax Act, 1961 and the Rules made there under. It is clarified that any service tax, levied in pursuance of this Agreement shall be borne and/or reimbursed by the Licensee provided that the Licensor provides the Licensee with the necessary assistance, documents and information required by the Licensee in connection with imposition of such tax. 3) LICENSE CHARGES FOR PRESENT MONTH:

The Licensee on the execution of this deed has paid an amount of Rs. 1,50,000/- (Rs. One Lac Fifty Thousand only] for the month of February-2013. The Licensor admits and acknowledges the receipt of the said license charges. However after the completion of first term of 12 months of this leave and license agreement, there will be escalation in the license @ 10% for the second term of 12 months and however after the completion of second term of 12 months of this leave and license agreement, there will be escalation in the license @ 10% for the Third term of 12 months. The licensor agrees to deposit post dated cheques for the entire period licence fees with the licensor as per the terms of the leave and license agreement as above.

SECURITY DEPOSITE: The Licensee shall, at the time of execution of this present deposit and keep deposited with the Licensor of 6 months license fees a sum of Rs. 9,00,000/- (Rupees Nine Lacs only) as and by way of refundable free of interest security deposit (hereinafter referred to as the Security Deposit) during the period of the license. The Security Deposit shall not carry any interest and shall be refunded to the Licensee on the expiry or sooner termination and delivery of vacant possession of a licensed premises of the licensor of this Agreement for any reason whatsoever.

USE OF THE PREMISES: The Licensee shall keep the said Flat in good tenantable condition and shall not use the same for any other purpose other than the residence. The licensee shall not allow the use of the said Flat by any other person. The Licensee shall use the said Flat as an ordinary prudent person and shall not damage the same. If any damage is done to the said Flat in that case the Licensor shall be entitled to claim such damages from the licensee.

It is agreed by the parties that the fixtures / fittings and articles, more particularly described in the Schedule 'B' hereunder written, which belonging to the Licensor shall continue to remain in the said premises and the Licensor has permitted the Licensee to use the same, under this License fee.

CHARGES : ELECTRICITY AND TELEPHONE BILLS OTHER SERVICES: There is separate electricity meter for the said flat. The licensee shall be liable to pay the electricity charges and charges of other services as per actual. The licensee is to pay the above bills/charges within due period and or within the 10 days from the receipt of the bill which ever is earlier and shall not commit default in same.

b. LOCAL MUNICIPAL/CORPORATION TAXES, CESSES AND OTHER CHARGES.: It is further agreed between licensee and licensor that the local municipal /corporation taxes, cesses and other charges etc. will be born by the licensor.

REPAIRS/IMPROVEMENTS: If the licensee intends to make any improvements in the said Flat such as painting, electric fittings, civil work, or any other such necessary work then the Licensee shall inform the owner about the same and shall obtain the consent in writing from the owner and the licensee shall bear the expenses of any such expenses of the same.

LICENSEE NOT ENTITLED TO ASSIGN: The Licensee shall not assign, transfer or part with the License to use the said Flat or any part thereof in any manner whatsoever, at any time during the continuance of this agreement or there after only employee authorized and approved by the licensor shall use and occupy the flat.

NUISANCE AND ANNOYANCE: The Licensee shall not do or cause to do or permit to do any act which would amount to nuisance or annoyance to the neighboring occupiers and shall not do or permit to do any immoral acts in the said Flat and shall not do any act, deed or thing where by the licensor suffers any loss or damage or which may cause disturbance to the licensor or to the neighboring occupiers.

LICENSOR ENTITLED TO TERMINATE : The owner / Licensor is entitled to terminate license of the licensee in case of any breach committed by licensee of any terms of this agreement or otherwise. The owner shall first give one months written notice to the licensee informing his intention to terminate the license of the licensee and on the expiry of the period of the notice the license of the licensee shall be deemed stand terminated. Notwithstanding any thing content in this agreement it is clarified that, in case of any default made by the licensee in the payment of the license charges or other charges as defined hereinabove or other charges as may be due form the Licensee in that case the Licensor shall be entitled to terminate this agreement. Even otherwise it is specifically agreed by and between the parties that licensor can terminate the agreement without giving any reason by giving one-month notice to the licensee. The Licensee shall quit and vacate the said Flat on the termination of the agreement, if not terminated then on expiry of the license period i.e. on or before 06/02/2016 unless the period is extended in writing by the Licensor. If licensee failed to vacate the said flat on date then he shall be liable to pay an amount of Rs.10000/- per day by way of compensation to the licensor till the date of vacation of the premises. And Licensor shall be entitled to initiate any civil or criminal action against the Licensee. That the Licensee

shall be at liberty to terminate this agreement for any reasonable reason after giving one month prior notice in writing to licensor. 11. LICENSEE IS NOT A TENANT: It is agreed between the parties that at all times the Judicial possession of the said premises shall be of Licenso the said premises for a limited period only. It is clearly understood between the parties to this deed that no relationship of landlord and tenant exists between them and that the Licensor has not granted tenancy rights in the said Flat to the Licensee by this deed. The license shall handover vacant exclusive and peaceful possession of the said premises to the Licensor immediately on expiry of this License. The Licensee shall not make any claim of tenancy in the said flat. And the licensee shall not file suit against the Licensor for fixation of the standard rate before any forum. 12. THE LICENSEE COVENANT: The Licensee covenant with the Licensor that the Obligations hereby granted shall continue throughout the terms of this License period for the proper performance of the terms and conditions of this LEAVE AND LICENSEE Agreement and follows: a) To permit the Licensor or his agent, to enter, inspect the said premises and fixtures, fittings at any reasonable time during the day. b) To deliver to the Licensor on expiry of this License vacant exclusive and peaceful repossession of the said premises. They shall be fully responsible for any untoward incident/discipline both in the said premises and Building premises during the License period. e) If the Licensee fails to vacant the said premises within the stipulated period of the License the Licensee shall be treated as TRESSPASSER and shall be evicted by the Licensors without recourse of court of Law In such a case, if the Licensors fail to remove their belongings from the said premises, the liability oany damages or loss caused to such belongings shall be that of Licensee.
