Plaintiff XCENTRIC VENTURES, LLC (Plaintiff or Xcentric) respectfully submits the following response to the Courts order dated October 4, 2011 (Doc. #19). As previously noted in its Corporate Disclosure Statement (Doc. #2), Xcentric Ventures, LLC has only one owner/member which is Creative Business Investment Concepts, Inc. (CBIC), a Nevada corporation. Xcentric has no owners/members other than CBIC. As a Nevada corporation with its principal place of business in Nevada, pursuant to 28 U.S.C. 1332(c)(1), CBIC is a citizen only of the State of Nevada. See Johnson v. Columbia Properties Anchorage, LP, 437 F.3d 894, 889 (9th Cir. 2006) (noting that pursuant to 28 U.S.C. 1332(c)(1), a corporation is a citizen only of (1) the state where its principal place of business is located, and (2) the state in which it is incorporated.)

For avoidance of doubt, non-party Edward Magedson, who is the Manager of Xcentric Ventures, LLC, is the only shareholder of CBIC. Mr. Magedson resides in Arizona full time, he has no residence in any state other than Arizona, and Mr. Magedson has lived continuously in Arizona for more than 20 years. DATED October 5, 2011.
