Business Continuity and Disaster Recovery Plan


November 21, 2007 In order to comply with National Futures Association Compliance Rule 238, Quick Trade Futures, Inc. (QTF) has established and implemented the Business Continuity and Disaster Recovery Plan (the Plan), which will reasonably enable QTF to continue its operations and to rebuild the operations with minimal disruption to its customers, other members and the commodity futures market in the event of destructions. QTF shall test, review and revise the plan occasionally. QTF shall distribute the Plan to the key personnel of QTF.
1. The Plans Off-site Location

QTF authorizes the following law office (the Law Office) to give any board member or officer of QTF to the Plan at any time. Meroni & Meroni 5 Bellwood Drive Barrington Hills, IL 60011 2. Communications All the staff members and directors of QTF share the complete contact list including home telephone number, cellular phone number, e-mail address and home addresses of all the staff members and directors, the contact information on QTFs customers, the carrying brokers and other service providers. Any of the staff members will contact and communicate with Jim Xu notifying the on-going local conditions and whereabouts, and ask for instructions on the actions to be taken for coping with the situation. Should QTF become unable to function itself or threatened to stop functioning due

to disaster and/or communication/electrical breakdowns, any of the staff members will immediately contact the customers and the carrying brokers that effect and retain consensus that the customers and the carrying brokers are able to continue its business in a way that the customers can deal directly with the carrying brokers without going through QTF as an IB. In the event of disaster or any cause of interruption of QTFs business, QTF and each individual who is responsible for communicating shall make best efforts to communicate by any possible mean such as office land phone, home land phone, cellular phone and e-mails. Each employee of QTF shall obtain not only an e-mail address with QTFs domain but also web based email address which is outside of QTFs domain and share the e-mail address information with other employees.
3. Detailed Process

Employees All officers of QTF maintain all employees home and cellular phone numbers and e-mail address. In the event of disaster, all officers will contact by phone with all employees and other officers. If an employee is not able to be in touch with any officer or other employee of QTF, he/she is required to make a phone call to the Law Office. Customers In the event of disaster or the interruption of QTFs business, Jim Xu is responsible to contact which customers and will send e-mails to the customers to notice detailed information with regard to the event interruption, its seriousness and expected timing of recovery followed by phone calls to each customer. Jim Xu keeps customers contact information at home for the event QTFs office is not accessible or disabled. Jim Xu is responsible for keeping the customers information secured to prevent it from being lost or obtained by others. Carrying Brokers Jim Xu will send e-mails followed by phone calls to QTFs Carrying Brokers noticing the interruption of QTFs business. Jim Xu keeps QTFs Carrying Brokers contact information at home for the event QTFs office is not accessible or disabled to use. Data Providers

QTF maintains a list of contacts of the Data Providers that are essential to QTFs business. QTFs personnel are responsible to send e-mail or make phone calls to notify QTFs situations in the event of disaster or interruption of business. Accountant Jim Xu is responsible to make a contact by e-mail or phone calls to the accountant to notify the situation and status of QTF in the event of disaster or interruption of business. Jim Xu maintains the accountant home phone number and the cellular number and the accountant maintains Jim Xus office, home and cellular number. If Jim Xu is unable to communicate with accountant, Makiko Kaneda will be responsible to communicate with the accountant. Disaster Recovery Specialist Each officer of QTF is responsible for making efforts to contact with the Chief People Officer by office land phone, home land phone or cellular phone as well as e-mail. The Chief People Officer is responsible to contact with the Disaster Recovery Specialist. 4. The Third Party Disruption Carrying Brokers QTF continuously monitors and makes efforts to collect information with regard to operational and financial stabilities of QTFs Carrying Brokers. Should QTF sense or learned a clearing broker falls disabled to operate, QTF will contact the Carrying Brokers, request information about financial or technical conditions whichever applies to the case and, how serious the interruption would be and effect QTFs and its customers businesses. Also, if necessary, QTF would contact other third parties who are related to futures industry to solicit and confirm concerned information. Should QTFs Carrying Brokers become disabled to operate or should QTF believe the possibilities of such risks are high, QTF would make contacts with the customers and notify such and inquire the Customers written notice intentions/decisions to QTF whether to (1) transfer positions to

other FCM(s) the Customer has account(s) with, (2) liquidate all positions with the concerned Carrying Brokers, or (3) stay with the Carrying Brokers. Order Routers As of date, QTF places orders only by through phone and does not adopt an electronic order routing. QTF obtains and maintains information with regard to each Carrying Brokers multiple order desk contacts at different geographical locations for the event the Carrying Brokers regular order desk becomes disabled, QTF would contact an alternative order desk to place orders should the Carrying Brokers regular order desk become disabled. Data Providers QTF has contracted two different Data Providers. In the event one of such Data Providers fails to provide service, QTF is still able to utilize one of or both other Data Providers. Other Third Parties QTF uses the following independent outside accountant for bookkeeping, preparing the monthly net capital computation and semi-annual 1FR-IB. If the accountant becomes unable to serve, Jim Xu will contact QTFs independent auditor and request to take over the jobs of the accountant. Raymond Tu & Associates 5012 North Broadway Street Chicago, IL 60640 5. The Backup Facility QTF has entered a Backup Facility agreement with Meroni & Meroni, 5 Bellwood Drive, Barrington Hills, IL 60011, which allows QTFs staff members to get access to the office and use the necessary communication facility, computers and data systems until QTFs main office recovers its functions or until new arrangements are made for QTF to operate its services. 6. Essential Documents and Data Back Up Legal Documents

It is a policy of QTF to send all of QTFs original corporate documents to Meroni & Meroni, 5 Bellwood Drive, Barrington Hills, IL 60011. Meroni & Meroni also keeps QTF's corporate seal for a security reason. In the event of the necessity of those documents, any director or officer of QTF is authorized to access to those documents. Accounting Data and Documents QTF hires Raymond Tu & Associates, who prepares QTF's accounting books and records. The CPA updates the records frequently and holds the backup file. The CPA is supposed to transmits the file promptly by electronic device to Jim Xu, the President of QTF. The essential documents may include, but not limited to, the bank statements, payroll records, tax records, accounting schedules, critical vendors agreements and contracts, lease agreements, brokers statements, customer agreements, customer statements and other documents related to customers business, documents received from and filed with Commodity Futures Trading Commission, National Futures Association, exchanges and any other governmental and administrative offices . 7. Inventory of Information Technologies QTF maintains a complete, up-to-date, inventory of all the information technology systems, including both hardware and software. 8. Operation from Home If and when a situation does not allow any of the staff members to get access to the main office or the backup facility, he/she will be permitted to work/operate at home. QTF will make sure that the key personnel have a backup system and/or all the necessary information to re-build the system at home to operate the services at home using the home computers and communication systems such as a home telephone, a cellular phone and a facsimile. 9. Maintaining the Plan
In order to keep the Plan effective, QTF will update the Plan as necessary to respond to material changes in its operations. QTF will periodically review the 5

Plan with view to assessing its effectiveness. Even the best Plan is useless if it is not available when needed. Therefore, QTF distributes and explains the Plan to its key personnel and tells the essential components of the Plan to all employees.
