CONSTITUTION AND BY-LAWS OF UPV VIRTUOSO University of the Philippines Visayas Miag-ao, Iloilo PREAMBLE We, the members

of UPV Virtuoso, having been exposed to different musical genres, being aware of the importance of attaining excellence through music as it encourages hope, peace, and love, do hereby declare this constitution. ARTICLE 1 THE NATURE OF THE ORGANIZATION Section I The name of the organization shall be University of the Philippines Visayas Virtuoso. Section II It is a musical and performing group composed of students inclined to all varieties of music that may comply with any official request for a performance or participation in a university function or activity. ARTICLE II THE PURPOSE OF THE ORGANIZATION Section I It shall be the purpose of this organization to: i. Attain excellence in its craft as it promotes harmony, good fellowship, hope, and love through music. ii. Provide an avenue for students to take part in wholesome pursuits and become more productive and responsible components of the institution. iii. Build a harmonious relationship and become a bridge among the UP residents through its concerts and musical activities. iv. Exhibit and enhance each members artistry in music, specifically in playing musical instruments. ARTICLE III MEMBERSHIP Section I Membership shall be open to all bona fide students, faculty members, and nonacademic personnel of the University of the Philippines Visayas. This organization complies with all UPV and Office of Students Affairs policies on non-discrimination. This organization supports and encourages respect for political, religious, ethnic, racial, physical, generational, sexual, and intellectual differences because such respect promotes free and open inquiry, independent thought, and mutual understanding. Section II Membership shall be granted to aspirants after thorough screenings in auditions open to (at least two (2) auditions). Section III Special auditions will be held to late applicants provided that it has the consent of the majority of the group. Section IV New members shall be considered under probation for one (1) year. They should be able to participate in at least one (1) concert and two (2) minor activities in order to be given full membership in the group. Section V An evaluation for bestowal of full/official membership of new members (probationary members) will be put into order annually every end of the second semester by the official members to assess their merits basing on their conduct and involvement with the group during the year of admittance. Section VI All members shall attend regular meetings and rehearsals.

Section VII Members shall be excused from participating in group activities provided that they have a valid medical or academic excuse for inactivity, such as hospitalization, an average grade lower than 3.0, acquisition of probationary academic status. They are required to pass a formal letter of inactivity with an attached medical certificate or copy of grades in the previous semester. Section VII Only members who are currently registered in the university have voting privileges. Section IX All members have the right to voice their views and present justifiable complaints during meetings. Section X Honorary membership shall be granted to faculty members and non-academic personnel. They shall have the right to vote, but not to hold office. Section XI Any official member shall have the right to oust any other member including Executive Committee constituents, adviser, creative director or musical director given that the plaintiff has written a formal protest with a valid and respected ground for the said action. Section XII Members shall maintain all principles and objectives of the group and shall uphold its integrity at all times. Section XIII Dismissal of members shall be guided under the following: i. Grounds for Dismissal: Any member/officer of the group may be dismissed upon evidence of the fact that he/she has displayed conduct which is unbecoming of a member of the group. ii. Procedure for Dismissal: Any offensive member shall be dismissed only upon a minimum vote of the general membership and upon consultation with the advisers. iii. Appeal: Any dismissed member may appeal to the majority of the group and upon consultation to the adviser. Section XIV If in any case, a member chooses to resign from his membership, he/she must pass a resignation letter to the chairperson with a valid reason for resignation. ARTICLE IV EXECUTIVE COMMITTEE Section I The organization shall have eight (8) Executive Committee constituents. The following are the titles and duties of the officers. Section IA The Chairperson shall: i. Head the Executive Committee ii. Preside over all organization meetings and rehearsals. iii. consent. iv. Ensure that the organization is operating in conformity with the standards set forth by the UPV and the OSA. v. Have the right to decide for the group when the majority can not pass a decision, vi. Be responsible for the safety of the members especially during evening rehearsals. The Vice Chairperson/ Internal Affairs Committee Head shall: i. consent from the Chairperson, in all internal matters (e.g. concert production, etc.) in the group. ii. Schedule meetings/events with appropriate University offices. iii. Record individual complaints and suggestions of the members in relation to organizational matters. iv. Assume all responsibilities in the absence, incapacity, or resignation of the Chairperson. v. Appoint a part of the active members to constitute its internal affairs committee which is under his/her control. The Vice Chairperson/ External Affairs Committee Head shall: i. Head and administer the organization, with coordination and consent from the Chairperson, in all external matters (e.g. solicitation, sponsorships, group permits, etc.) in the group. ii. Assume all responsibilities in the absence, incapacity, or resignation of the Chairperson and Vice Chairperson/ Internal Affairs Committee Head. iii. Coordinate organization promotion and publicity of events. iv. Appoint a part of the active members to constitute its external affairs committee which is under his/her control. The Secretary shall: i. Maintain an accurate record of all organization meetings and post for members. ii. Maintain membership directory. iii. Record the minutes of all the meetings and attendance of all members, official, and probationary. iv. Correspond, when necessary, with University administration and other recognized organizations. v. Take charge of all records and documents (e.g. musical pieces, etc.) of the group. vi. Have assistance from the Assistant Secretary. The Treasurer/Organization Treasury Head shall: i. Maintain accurate record of organization transactions. ii. Be responsible for the safekeeping of the organizations assets (e.g. money, gift checks, etc.) iii. Receive and disburse funds with the approval of the Executive Committee iv. Be responsible for the financial reports to be passed at the OSA. v. Cosign organization checks along with Chairperson. vi. Develop organization budgets and present to membership for a vote. vii. Present a detailed financial report to the members of the group at the end of every semester. viii. Arrange fundraising opportunities for the organization. ix. Association in conjunction with the Chairperson. The Auditor shall: i. Assist the Treasurer in all matters. ii. Assume the role of Treasurer in his/her absence, incapacity, or resignation. iii. Audit financial transactions of the group. The Business Manager shall: i. Be under the control of the External Affairs Committee Head.

ii. Be in charge of processing permits. iii. Purchase materials needed by the group. The executive committee will be supervised by the organization adviser and coadviser trained by their musical director and administered by their creative director. The Adviser must: i. Be a bona fide faculty member in the University of the Philippine Visayas. ii. At least have one (1) year teaching experience. iii. Oversee the activities of the group. The co-Adviser(s) must: i. Assist the Adviser in counselling and overseeing the groups ii. Assume the role of the Adviser in his/her, incapacity or

resignation. Section IIC

The Musical Director must: i. Oversee group practices and help improve the talents and skills of the group.

The Creative Director must: i. Oversee group practices and in charge of the artistic/creative side of the presentation. ii. Must be in charge of the conceptualization, approval, and implementation of concepts, themes, and musical pieces to be performed by the group. Section III To be eligible to hold office in the executive committee, a member must meet the following requirements: i. Must have a grade above the minimum general weighted average (GWA) of 3.0, in the semester immediately prior to the election/appointment, the semester of election/appointment and semesters during the term of office. ii. Must be registered in the semester immediately prior to the election/appointment, the semester of election/appointment and semesters during the term of office. iii. Be ineligible to hold an office should the student fail to maintain the requirements as prescribed in the first two requirements. Section IV Elections of Executive Committee Members will be done annually given that the number of voters in the assembly takes up the majority, if not all, of the official members. Election of officers will require a majority of vote from the general membership, if a candidate fails to receive a majority of votes, a run off election will be held within the top two candidates that receive the most votes. They should also meet the academic requirements in order to be considered as members. Section V The term of office of the adviser and Executive Committee Officers will be one full year. It shall be effective from the first day of the academic year upon election or appointment and will expire on the last day of the academic year that they have served in. Section VI The Executive Committee shall at least have one (1) regular meeting every week. Section VII Officers may be removed from office by votes of the other officers and of the general membership if actions are deemed inappropriate by the membership. The officer is permitted to state before the Executive Committee and the general membership about the charges made concerning his/her performance. The officer is not permitted to participate in the deliberation of the Executive Committee regarding the charges.

ARTICLE V MEETINGS AND PRACTICES Section I The Executive Committee and the none-Executive Committee meetings may be assembled only if a quorum is present. The Executive Committee quorum is one-half of the total number of the Executive Committee members plus one. Non-Executive Committee quorum is one-half of the total number of official members plus one. Section II Emergency meetings may be convened with the presence of the Chairperson and a minimum of three (3) other Executive Committee members. Section III Regular meetings/rehearsals shall be implemented at least two times a week. Section IV Meetings can be cancelled on special cases. Section V Absence from meetings of any member provided that he/she has a valid reason shall be considered and will be reflected on the members attendance transcript. ARTICLE VI EFFECTIVENESS This Constitution takes affect on the day of June in the Academic Year 2012-2013. ARTICLE VII AMMENDATORY CLAUSE This Constitution may only be amended through the efforts of the Executive Committee in office for that respective academic year with the consent of the general membership done through a plebiscite.
