All the legal laws applicable to employees like Provident Fund, ESIC, Profession Tax, Income Tax etc will be applicable to you. ANNEXURE II Other Terms and Conditions A Appointment:1. Your appointment is for various courier activities undertaken by us on behalf of Various banks, financial service companies. Therefore your employment is contingent upon the volume and continuance of such courier activities from the clients as mentioned above. 2. You may be assigned to a client organisation at the working location desired. You may also be sent on deputation to projects undertaken by the client anywhere in Chennai Client Offices. It will be obligatory on your part to go on such deputation. 3. While on duty your will strictly abide by the rules and regulations of both Company as well as our clients Company in force from time to time. You will not act in any way in contravention of the rules and regulations for which your services can be terminated with immediate effect. B Confidentiality:4. You will not divulge to any person or a corporate body, any confidential information or trade secret acquired as a result of your employment or in the course of your employment with us. You will also ensure protection of information, which may be provided to your during the course of your job either by organisation or by the clients and would not use it for any personal benefit or any other purpose, which may be deemed as insider trading. Any disclosure of such information to third parties (including other employees of the Company) constitutes a breach of your employment. And in case you are found guilty of any such mis-conduct, then the Management will have full rights to initiate criminal and legal proceedings against you. C Performance Appraisals and Confirmation / Promotions:5. Your immediate superior or Unit Head will carry out your performance appraisals at regular intervals. 6. Depending on the Performance Appraisal report, your will be eligible for the Star Awards or any Rewards as may be decided by the Management from time to time.

D Leave Rules:-

7. Maximum Leaves per annum are 15 Privilege Leave (PL), 12 Casual Leave (CL) and 9 Sick Leave (SL). 8. Maximum 4 days, 3 days SL and 2 days CL can be availed at a time and beyond such fixed days leave will be treated as leave without pay. PL shall not be allowed more than 4 times during any financial year. 9. Weekly Off and holidays falling during leave period shall form part of leave period. Weekly off can either be prefixed or suffixed to such leave but not both. No other leave can be suffixed or prefixed. 10. 11. Medical Certificate must be produced in case of SL exceeding 3 days. Leave application has to be submitted 15 days in advance prior to starting date of leave for recommendation of Directors approval post approval from your respective Team Leader / Unit Head Unutilized PL standing on your credit as on 31st March shall not be allowed to be encashed in the subsequent year. No accumulated PL leaves shall be allowed to be utilized beyond 15 days as on 1st April every year and any accumulated leave in balance beyond 15 days shall lapse automatically. Unutilized CL and SL standing to the credit as on 31st March shall lapse automatically. You are neither entitled to encash not to carry forward CL & SL The Company reserves the right to refuse PL for short notice, exigencies of work and unsatisfactory reason for going on leave. The Companys decision in this regard shall be final. The leave allowed under the above clause shall be inclusive of the day or days on which the company remained closed on a holiday during the period of such leave.

E Termination:16. Your employment may be terminated without notice in the event as a result of misconduct, misappropriation and negligence of work or non-performance.

F Resignation:17. You shall tender your resignation from the employment of our organisation by giving 30 days notice in writing specifying the reason for your termination.
