Thepartiesagreeasfollows: 1.Parties."You","your",and"yours"referto ."We", "us", "our", and "ours" refer to Quality Contax Inc., A Texas Corporation, doing business and hereinafterreferredtoasQualityContax. 2.YourAssignment. Youwillprovideyourcomputerconsultancyservicesasourconsultantby undertakingthefollowingassignment:

The specific services that you will provide will be determined by the client. The services are personal,andyoumaynotdelegateorsubcontractthem.Youwilldevoteallofyourtime,energy, andskillduringworkinghourstothedutiesassignedtoyoubyyourclientliaisonsinaccordance withthe highest professional standards, and youwill faithfully and industriously perform them accordingtothelawandtheclient'smanagementpoliciesanddecisions.Wehavenoresponsibility orliabilitytoyoufortheclient'sactsoromissions. You will do nothing that would adversely affect our reputation, the client's reputation, or our relationshipwiththeclient.Youwillnotmakeanycommitmentsbindingonusoranyofourparent companiesoraffiliates,andyouwillnotgivetheimpressionthatyouhaveanyauthoritytoactfor us. Youwillnotengageinanyotheremploymentorwork(evenforyourownprivatebusiness enterprise)duringthetermoftheassignmentwithoutourpriorwrittenconsent. 3. Compensation. Administaff is the administrative employer of record for temporary and contractworkersplacedbyus.Administaffwillpayyouinarrearsforhoursactuallyworkedevery other Friday according to accuratelycompleted time sheets approved and signed by the client's authorizedrepresentativeandsenttouseveryMondaybynoon. Theywillmakedeductionsfor payrolltaxes,benefitsandotherwithholdingsorpaymentsthatarelegallyrequiredorauthorized byyou. Normally, you will be paid at your Basic Hourly Rate. If there is an Attachment A to this agreement, youwillalsobepaidaPerDiem Ratewhileyouqualifyastemporarily awayfrom home.SeeAttachmentA,ifany,foradditionalprovisionsregulatingPerDiemRatematters.

4.VacationsandAbsences .Exceptasprovidedbylaw,timeoffiswithoutpayandrequiresat leastfourweekspriorconsentfromusandtheclientsauthorizedrepresentative.Youmayobserve theholidaysavailabletosimilarlysituatedemployeesoftheclientwithoutgivingadvancenoticeto us.Youmustnotifyusandtheclient'srepresentativeofanyabsencesfromtheassignmentdueto accident,sickness,orotherunforeseeablecircumstancesassoonasreasonablypossible. 5. Termination . Thelengthofyourassignmentisnotguaranteed. Theclienthastherightto terminateitatanytimewithorwithoutcause.Wehavethesameindependentrightstoterminate theassignmentastheclient. Youmayterminatetheassignmentatanytime;however,terminationwithoutcauseandwithoutat least2weeksnoticewillberecordedinyourpersonnelrecords andwillreduceoreliminatethe likelihoodthatwewillofferassignmentstoyouinthefuture. 6. Confidentiality;TradeSecrets. Youwillneveruseordisclosetoanyoneanyofyourwork product under the assignment or any confidential information, documents, or other tangible or intangiblepropertyofclient,itscustomers,oranyonetowhomyouortheclientowearelevantduty of confidentiality. When the assignments ends, you will immediately return to the client all originalsandcopiesofyourworkproductandotherclientinformation,documents,andproperty. You acknowledge that the existence of this assignment opportunity, the identity of the client needing the service, the skills required by the client for the assignment, the duration of the assignment,andyourcompensationaretradesecretsand/orconfidentialandvaluableinformation thatyougained onlythroughyouremploymentandassignmentbyus. Youwillnotdirectly or indirectlydiscloseanyofthetermsofyouremploymentwithus(includingyourpayrate)toanyone andwillnotusesuchinformationforcommercialadvantage. 7.SeparateWorkForClient .Foroneyearafteryourassignmentends,youmaynotdirectlyor indirectly provide your services to the client or any of its affiliates. "Providing your services" includestheclientoritsaffiliates:employingyoudirectly;purchasingyourservicesasatemporary, payrolled,contract,orleasedemployeeofanorganizationotherthanusforsubstantiallythesame kindofwork;obtainingyourservicesthroughanyindependentcontractor,agency,facilitystaffing, orconsultingrelationship;orarranging,suggesting,endorsing,facilitating,oracquiescinginyour employmentorrecruitmentbyanotherorganization,whetherornotyouarelaterassignedbythat organizationtotheclient.Ifyoubreachthisprovision,youwillimmediatelypayusaconversionfee of30%ofyourannualizedcompensationfromthearrangement,plusallcostsofcollectingthatfee. Youwillberelievedofthisconversionfeetotheextentthatitispaidbytheclient. 8. Ownership of Work Product. Ownership of all your work product arising from the assignment,includingallproprietaryrightstoandembodimentsofsuchworkproduct,willfromthe momentofitscreationvestinandbelongexclusivelytotheclientasworkmadeforhire.Uponthe clients request, you will execute any documents necessary or useful to confirm or register the client'sownership. 9. Your Qualifications . You represent and warrant that all resumes and other personal informationthatyoueverhaveorwillfurnishtousortheclientisandwillbeaccurateandnot misleadingbyinclusionoromission. 10.Indemnity.Youwillindemnifyandholdusharmlessagainstanyclaim,lawsuit,loss,liability, damage,andexpense(includingreasonableattorneysfeesandcosts)thatwemayincurarisingout

of or in connection with your breach of any representation, warranty, or other provision of this agreementoryourunlawful,negligent,orotherwisewrongfulactoromission. 11.GoverningLaw;Venue .ThisagreementwillbeinterpretedaccordingtotheLawoftheState ofTexas.Anysuitbetweenyouandusarisingunderthisagreementmustbebroughtfirstinthe UnitedStatesDistrictCourtfortheSouthernDistrictofTexas,orifthatCourtlacksjurisdiction,in thestatecourtsinHouston,Texas,andyousubmittothejurisdictionofsuchcourts.Norights arisingfromthisagreementshallbelostifthesevenuesarenotavailable. 12. NoSetOffbyEmployee. Noclaim,demand,action,orcauseofactionthatyoumayhave againstusoranyofourparentandsistercorporationsoraffiliateswillconstituteadefensetoour enforcementofanyofourrightsunderthisagreement. 13. Severability. Eachprovisionofthisagreementisseparate,distinct,andseverablefromthe others. Ifanyprovisionisheldunenforceable,therestoftheagreementshallbeenforcedtothe greatestextentpossible.

14.AssignmentandEntiretyClause. Wemayassignthisagreement.Nowaiverbyusofyour breachofthisagreementshallbeeffectiveunlessitisinwriting,andnosuchwaivershallwaivethe sameoranyotherbreachcommittedlater. Thisagreementembodiestheentireagreementofthe partiesrelatingtoyouremploymentbyusandterminatesallpriorunderstandingsandagreements relating tothat employment. You acknowledges that you are not relying on any statements or promisesnotcontainedinthisagreementandthatnocompensation,reimbursements,advancesor otherconsiderationswillbepayabletoyouexceptassetforthinthisagreement. 15. Amendment. Thisagreementmaybemodifiedonlybyawrittendocument,signedbythe parties,supersedingoramendingit.
