All items listed can be delivered within 4- 8 weeks from receipt of valid purchase order and the original signed copy of the Foreign End User Certification & Safeguard Agreement ThermaCAM Series Thermal Imaging Systems. The equipment specified in this quotation is subject to Export license restrictions from the USA and Sweden. FLIR Systems can by no means be hold liable for any delays in delivery (or the non-approval of exportation) due to imposed export license restrictions. The equipment incorporates certain strategic components for which special export permission is granted in this case, providing that the equipment will not be transferred, resold or exported without written permission from the licensing authorities. CONDITIONS OF SALE 1. EFFECT OF THIS ACKNOWLEDGMENT. If Buyer has submitted a purchase order as an offer to buy, the acceptance of Buyer's purchase order as contained herein is EXPRESSLY MADE CONDITIONAL on Buyer's assent to all of the terms and conditions contained herein, and any inconsistent terms set forth in Buyer's purchase order shall not be binding on either party unless expressly accepted in writing by FLIRs authorized representative. Buyer's acceptance of the goods delivered hereunder shall constitute acceptance of these conditions of sale. PAYMENT TERMS. The Seller shall not be liable for any delay in performance of this order or in delivery of shipment of material when such delay is directly or indirectly caused by or in any manner arises from fires, floods, accidents, riots, war, governmental interference or embargoes, strikes or shortage of labour, delays in delivery of material or sub-suppliers, or other difficulties (whether or not similar in nature to any of those specified) beyond its control. Delivery on this order shall be deemed to be suspended so long as any such causes delay the execution. FLIR agrees to make and the Buyer to accept deliveries whenever such causes have been remedied. Buyer shall accept partial shipments at any time.

4. TAXES. The prices stated are inclusive of all taxes and duties
5. TITLE, RISK of LOSS, AND SECURITY INTEREST. Title and risk of loss for all goods herein shall pass to the Buyer upon tender of the goods by FLIR to the carrier. Buyers submission of a purchase order creates an express security agreement granting to FLIR Systems, Inc. a security interest in the purchased goods, until the entire amount due therefore has been paid.

DESIGN CHANGES. FLIR Systems, Inc. reserves the right to make changes in design at any time without incurring any obligation to install same on units previously purchased. WARRANTY POLICIES AND LIMITATIONS. Not withstanding any other provision of this or any other agreement, the warranty stated in this paragraph shall be exclusive. FLIR Systems, Inc. warrants its products to be free from defects in materials and workmanship for 365 days from the date of shipment to the customer. Other items such as accessories purchased for resale with minor modifications may carry a shorter warranty. During the warranty period, FLIR Systems, Inc. will, at its option, either repair or replace any products found to be defective. This warranty will not apply to defects resulting from misuse, repair by unauthorized persons, or where the product is not installed and used in accordance with the instructions provided by FLIR Systems, Inc. This warranty is void if the product has been altered or modified in any manner by unauthorized persons. Under the limited warranty, the customer is responsible for the shipping and any other charges incurred in sending the product to the authorized service centre specified by FLIR Systems, Inc.; and FLIR Systems, Inc. will pay for the return of the product to the customer. The turnaround time on repairs will normally be five working days or less. All warranty repairs must be performed at an authorized FLIR Systems, Inc. service centre using recommended replacement spare parts. No other warranty, expressed or implied, other than those specifically stated above are the responsibility of FLIR Systems, Inc. In no event shall FLIR Systems, Inc. be held responsible for incidental or consequential damages. THE FOREGOING WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS, OR ADEQUACY FOR ANY PARTICULAR PURPOSE OR USE. FLIR Systems, INC. SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER IN CONTRACT, TORT OR OTHERWISE.

PATENT INDEMNITY. FLIR shall indemnify and save buyer harmless from any loss, claim, damage, and/or expense which may result from any suit or claim that may be instituted against Buyer for alleged infringement of patents related to the maintenance, sale, or use of items furnished pursuant to this order, except for any such infringement resulting from detailed design provided by Buyer, or from Buyer's alteration or use of the goods furnished, on the condition that the Buyer promptly notifies FLIR in writing of any such suit or claim, and cooperate with FLIR regarding the defence of same. In case of discrepancies between a unit price and extended price, the unit price will be presumptively correct, subject to FLIR's right to correct for typographical or clerical errors. FLIR is providing a commercial product and will not, therefore, calculate its incurred costs resulting from any Buyer cancellation. However, to compensate FLIR for any Buyer cancellation, Buyer shall pay Total Solution System Integrator Sdn Bhd an amount equal to 25% of the purchase order amount. THESE PRODUCTS ARE SUBJECT TO THE EXPORT REGULATIONS OF THE UNITED STATES OF AMERICA
