Introduction:
Definition :

A company in the eyes of the law is an artificial person. It has no physical existence the company itself cannot act in its own person, for it has no person, it can only act through directors, and the case is, as regards those directors, merely the ordinary case of principal and agent. Cameo, headquartered in Chennai, India, is an established Business Process Outsourcing (BPO) service provider, providing services to a wide range of clients. Its main businesses are in the areas of Document Management, Medical Transcription, Data Conversion and Registry & Share Transfer. It has a wide geographical presence in India & US, employing over 5,600 employees. It serves over 350 clients, amongst whom are some of the largest and finest, listed companies in the country. Cameo has an extremely successful track record in being able to manage and process large volumes of transactions for its clients in a time bound manner. Our company has been awarded "CRISIL - SME 2" Credit Rating by CRISIL Limited (World's fourth largest and India's largest rating agency), which indicates "HIGH" level of credit worthiness, adjudged in relation to other SMEs.

Cameo is one of the leading R & T Agents in the country having been consistently ranked within the top R & T Agents as ranked by PRIME (the Public Issue Monitor) for the last few years. In Chennai, we are holding the first position for the past ten years. CAMEO is one of the few RTAs in India to get Category Cameo so far handled over 250 public / rights issue for clients such as State Bank of Travancore, Indian Overseas Bank, Indian Bank, The South Indian Bank, Lord Krishna Bank, State Bank of Mysore, Henkel India Ltd and Essar Steel Ltd., etc., Cameo presently handle share transfer / depository work for as many as 300 companies, prominent among which are Aban Offshore Ltd., Redington (India) Ltd, Amara Raja Batteries Ltd, Bannari Amman Sugars Ltd, Everonn Systems India Limited, L.G. Board of Directors:
Definition A person having control over the direction, conduct, management or superintendence of the affairs of a company. Number of directors Every public company shall have at least 3 directors and every other company (e.g., a public company) at least 2 directors Increase or reduction in number of directors Subject to the statutory minimum limit, the Articles of a company may prescribe the maximum and minimum number of directors for its Board of Directors. It can be done by passing ordinary resolution of the company in general meeting. Powers of Directors General Powers Of The Board: * First, the Board shall not do any act which is to be done by the company in general meeting. * Second, the Board shall exercise its powers subject to the provisions contained in the Companies Act, or in the Memorandum or the Articles of the company or in any regulations made by the company in general meeting Powers To Be Exercised At Board Meetings: (a)make calls on shareholders in respect of money unpaid on their shares. (b) issue debentures. (c)borrow money otherwise than on debentures . (d)Invest the funds of the company ;and (e)Make loans.

List of Directors in Cameo : Mr. Jawahar Vadivelu, Chairman

Mr. Jawahar Vadivelu, aged 44 years, holds MBA degrees from the Asian Institute of Management, Philippines, and from the Booth School of Business, University of Chicago. He has rich experience in a broad spectrum of financial services in India, that includes, mortgage finance, stock broking, insurance, registry and transfer, and asset management. Mr. Jawahar Vadivelu is the Chairman of Cameo Corporate Services Limited, a business process outsourcing firm headquartered in Chennai, and also holds directorships in the following companies, namely National Trust Housing Finance Limited and Navia Markets Limited. He has served as independent director on the board of India's largest company, Oil and Natural Gas Corporation Limited, and on several of its sub-committees, including its audit committee and policy and planning committee. He has also served on the boards of Southern Petrochemical Industries Corporation Limited (SPIC) and Sical Logistics Limited. Mr. Jawahar Vadivelu is also the Vice - President of the Southern India Chamber of Commerce & Industry, member of the national executive committee of FICCI, and serves on the governing councils of the Indian Council of Arbitration, Chennai Mathematical Institute, Sri Venkateswara College of Engineering & The Business School of the University of Victoria, British Columbia, Canada. Mr.R. Ravi, Managing Director Mr. R. Ravi, aged 57 years is the Managing Director of the company. He is a Graduate in Science, Master of Law and a fellow member of the Institute of Company Secretaries of India. After completing his Bachelor degree in Law, he practised as an advocate in Madras High Court for 4 years and thereafter he took an assignment in SPIC and continued there for a period of 13 years in various capacities heading Legal and Secretarial dept. As an active faculty member he had handled the legal subjects and other Corporate Laws for the students of the Institute of Company Secretaries of India (ICSI) between 1985 and 1990. He had also handled subjects relating to Capital Market at various Stock exchanges and financial Institutions like IDBI, IOB, KVB etc. During his tenure in SPIC, he was a regular visiting faculty for SPIC Management development centre at Kodaikanal. He was elected to the SIRC of the ICSI for the term 1998-2000 and as Chairman for the year 2000. He was elected to the Central Council of the ICSI for two terms and was elected as Vice-President of the ICSI for the year 2004 and was the President of the ICSI for the year 2005.

Since 1993 he has been heading Cameo Corporate Services Limited, as Managing Director. Under his able leadership, Cameo has handled 250 IPOs and has been acting as Share Transfer Agent for more than 300 companies. Other major activities of Cameo are Depository Services, BPO services, EDMS project (HP-LIC), Securities Vault, Banking Services, Transcription Services and IT Enabled Services. Cameo is one of the major service providers for almost all telecom companies in South India. He is also a Director in Navia Markets Ltd and Cameo Wealth Management Services Ltd. He has been representing Cameo Corporate Services Ltd in the Indo-American Chamber of Commerce, Southern India Chamber of Commerce (SICCI), Federation of Indian Chambers of Commerce and Industry (FICCI), Madras Chamber of Commerce and Industry (MCCI) and Registrars Association of India (RAIN). He was a member of the Regional Advisory Committee of the Central Excise department and also was the President for International Federation of Company Sercretaries. He is in the Panel of Arbitrators in Multi Commodities Exchange of India Ltd (MCX India). Presently, he is a Member in the Board of Studies in Commerce (Post Graduate), University of Madras. He was a member of Primary Market, Secondary Market and Mutual Fund Committees of SEBI when he was the President of ICSI in 2005. Mr. R.D. Ramasamy, Whole Time Director Mr. R D Ramasamy, aged 48 years, holds a Bachelor degree in Law and Commerce, besides a Post Graduate Diploma in Taxation & Accounts. Immediately after graduation, he associated himself with the Share Registry activity, which is one of the pioneer concepts of BPO activities. He has 24 years of flawless experience in Share Transfer and Registry related activities. He is heading Registry & Telecom divisions of the Company. The Registry Division caters to the needs of more than 300 Corporates. He had handled over 250 public / right issues for various companies and banks. He channelised his rich Registry experience in translating the Customer Application Management services for Telecom clients like Bharti Airtel, Aircel, Reliance, Idea, Sistema-MTS, TATA Docomo, TATA Indicom, Virgin and Etisalat. He is the key instrumental personnel in expanding the end-to-end CAF management operations to multi various telecom companies.

Mr. V .N. Shiva Shankar, Director Mr. V N Shiva Shankar, aged 39 years is a practicing lawyer. Besides a Bachelor Degree in Commerce, he holds a degree in Law. He is also an Associate Member of the Institute of Company Secretaries of India and the Institute of Cost and Works Accountants of India. He serves our Board as an Independent Director and contributes his rich experience for the betterment of the company. Mr. V. Rajagopal, Director Mr. V Rajagopal aged 65 years, holds a post graduate degree in Commerce. He is an associate of the Institute of Cost and Works Accountants of India and the Indian Institute of Bankers. He has more than two decades of Banking and Corporate experience. He serves our Board as an Independent Director. Mr. M Muneer Sait, Director Mr. M Muneer Sait, aged 69 years serves our Board as an Independent Director. Besides a Bachelor Degree in Commerce, he is an associate of Indian Institute of Bankers. He possesses 36 years of Banking experience with State Bank of India. As an athlete, he represented our country in Olympics and Polo. He also holds National Veteran Championship in Squash.
