LETTER OF ALLOTMENT
(DRAFT ONLY FOR APPROVAL PURPOSE WITHOUT PREJUDICE)

Sir/Madam, 1. This is with reference to your inquiry for purchase of residential flat in the above-referred project at Kharghar. 2. Ours is a private limited company registered under the provisions of the Indian Companies Act, 1956 having registered office at 358/B, Gangaram Khatri Wadi, Room No. 7, Ganganath Shankar Seth Road, Thakurwadi, Mumbai-400002 & Administrative Office at Plot No. 269, Sector 10, Kharghar (Kopra) Node, Navi Mumbai. 3. By an Agreement to Lease dated 18-12-2006 read with Tripartite Agreement dated 29th January 2007, the CIDCO has agreed to grant us a lease of the above referred Plot and has permitted us to erect the intended building or buildings on the said Plot. 4. The CIDCO has approved the buildings plans submitted by us and has granted Development permission along with Commencement Certificate dated 29-03-2007. 5. We hereby reserve a Flat No.______ on the ____ floor in building No.______in our project known as HEX BLOX situated at Plot No.269, admeasuring area 9999.99 Square Meters at Sector 10, Kharghar (Kopra) Node, Navi Mumbai for being sold to you upon the following terms and conditions:

(a) The sale of the above flat is subject to the Maharashtra Ownership Flats (Regulation of the Promotion of Construction, Sale, Management and Transfer) Act, 1963 and the rules made thereunder. (b)You will pay to us the lump sum purchase price of Rupees-----------(Rupees--------------) at the time and in the manner herein after mentioned. (Rupees ______________________________________________________) (c) Time prescribed for payment of the above purchase price in the installments is intended to be essence of the Contract. (d)The carpet area of the above flat is --------- square feet approximately including the area of Balcony, Dry Balcony, Flower Bed and terrace attached to the flat. (e) If you shall commit default in payment of any of the installments as aforesaid on their respective due dates, we will be entitled to terminate the agreement so concluded between us of the One Part and you of the Other Part on accepting by you of this offer unconditionally and irrevocably, and as result of such termination, we will be entitled to forfeit 20% of the purchase price and to sell the above flat to any other person at such price as we may deem fit and you will not be entitled to question such sale or to claim any amount whatsoever from us. We will be entitled to refund to you the balance amount after deduction of 20% as stated above, without payment of interest only after we would have disposed of and or sold the above flat to any other person. Without prejudice to my above rights, you will be liable to pay interest at the rate of 24% per annum on all amounts due and payable by you to us under the Agreement so concluded if such amount remains unpaid for seven days after its due date.

(f) You will execute an agreement for sale and register the same with the Sub Registrar of Assurances, Panvel within the time prescribed by the Indian Registration Act. You will bear and pay wholly and exclusively the stamp duty payable under the Bombay Stamp Act, 1958 and the registration charges payable under the Indian Registration Act on such Agreement for Sale. You shall also bear and pay proportionate contribution towards the stamp duty and registration charges that may have to be paid in respect of the Lease Deed/Deed of Assignment to be executed by the CIDCO in favour of the cooperative society or a limited company as may be formed and registered. (g)You will bear and pay to us in proportionate having regard to the area of the above flat other charges such as Electric and Water Connection charges, common water consumption charges, common electrical charges, Electrical Cable laying charges, legal charges, CIDCO transfer charges and other out goings on account of maintenance charges, water resource development charges, taxes and other Cesses determined by the local authority and or any other Public Authority or Authorities, or Government or any other Local Authority and payable in respect of the above plots of land and the intended building or buildings on the said plot of land, as are more particularly mention in the Annexure A enclosed herewith. (h)You will not be entitled to sell and or transfer or assign your rights, interest or benefits arising out the agreement concluded which is to be formulized in writing and to be registered under the Indian Registration Act and in or over the above flat without our prior written permission. We will be entitled to grant such permission upon the terms and conditions as may be decided then including the condition for payment of transfer charges at the rate as may be then decided by us. No permission shall be granted unless and until you shall have paid to us all amounts due and payable by you to us. 6. We have given to you inspection of the followings documents and you have satisfied yourself with such documents. i. Agreement to Lease.

Tripartite Agreement. Building Plans approved by the CIDCO. Commencement Certificate issued by the CIDCO. Model Agreement prepared by us for sale of the flats in the above building.

7. Possession of the flat reserved for being sold to you will be ready for use and occupation and will be delivered on 31/03/2011. However, we will not incur any liability, if we are unable to deliver possession of the above flat by the aforesaid date if the completion of the building is delayed by reasons of non-availability of steel or cement or any other building material or by reason of war, civil commotion or any act of the Govt. or if non-delivery of possession is a result of any notice, order, rules, notifications of the Government, Court of Law and or any other public authority or authorities or for nonavailability of water and or electricity connection from the concerned authorities or any reasons unforeseen or beyond our control or due Force Majeure. 8. For any reason or reasons beyond of our control, if the whole or part of this Project is abandoned, you will not be entitled to claim any thing against us. However you will be refunded the amount you paid to us till then without payment of interest. 9. For any reason whatsoever we will be entitled to modify and make changes in the approved plans and you will have to accept such changes. You will be liable to pay to us amount of differential sale price due to increase in area of the above flat. However, in the event of the area of the flat being reduced for the above reason, the sale price will get reduced accordingly. 10. If you accept the above offer unconditionally and irrevocably, you are requested to return the duplicate copy of this offer duly signed in token of having accepted the above offer unconditionally and irrevocably. 11. On accepting the above offer, your failure to observe any of the terms and conditions contained above will result in termination of the agreement so concluded and cancellation of this Letter and amount paid by you till then will stand forfieted.
