Intertek Human Resources Network Roles & Responsibilities January 2011

Context Intertek Groups organisation is aligned with the industries in which our customers trade, so that we can provide them with the support of our industry specialists. We respond quickly to the constantly changing needs of our customers and continually evolve our organisation to adapt to the changes in global trade patterns. Through our Intertek as One (IAO) culture, we present a consistent 'face' to our clients and provide them with a complete package of services seamlessly under a single 'Intertek brand'. Our local sales and operations teams are organized by industry and service sectors led by business unit mangers reporting through for P&L to the appropriate Division. The Country Managers lead the Intertek as One objectives of driving strategic and cross divisional sales and building local shared support for marketing, finance, HR, IT and compliance, all operating within group frameworks. This structure allows the Divisions to focus on global growth and operations synergies and the support functions to concentrate on helping locally and driving coherence and progress as one company. The Human Resources Network Just as we continually adapt our organisation to the changing needs of our customers, we also frequently review and improve the HR support we provide to the business. Interteks operational managers are accountable for creating a motivating work environment and for managing their people. The Division and/or Country HR remit is to provide the policies, procedures and tools for better people management and to train and support the managers in their use. The HR team provides advice and guidance on all employee matters, including employment law, health and safety, and ethical issues. HR also runs personnel administration and payroll services. With Intertek employing around 27,000 people globally, we continue to strengthen our HR network to align with the increasing reach and growth of Intertek. Division HR appendix I

Each Intertek Division has a nominated Division Global HR whose role is to advise and act on organisation and people issues, to ensure that the Divisions management teams achieve their business strategies and goals. The principal deliverables of Division level HR are talent and remuneration management and internal communications, all operating within the Intertek wide frameworks. The Division Global HR have dual reporting of line to the Division Executive Vice President and functionally to the Group Vice President Human Resources. Country HR appendix II

In the larger countries we have a Country HR and HR team who provide a shared service and advice on people management and run personnel administration & payroll. Operating within the global Intertek frameworks for people management, the Country HR simplify and standardize HR processes within that country, adapted to the local laws and culture. Members of the combined HR team within a country are assigned to support particular subjects such as recruitment or training and sites or territories. Personnel administration and payroll will usually be run at a single location inside the country for reasons of scale, language and regulations. Country HR have dual reporting of line to the Country Manager, with a functional reporting line to the Group VP HR.

For those countries where we cannot justify the presence of a dedicated Country HR, another Country HR will be designated to provide the local operations managers with advice on people issues.

Line to the Division EVP and functionally to the Group VP HR. Alongside the Division EVP. A global role, which can require regular travel between and working from different Division locations. The Global Division HR also typically holds a senior Country HR position within the Intertek HR network. This is the lead HR role for the business and member of the Division management team to ensure that people are organized, available, competent and managed to achieve the Divisions business strategies and performance goals. Division HR calls upon and works with the relevant line operations and Country HR teams to make it happen.

Deploy the Intertek mission and values through all Division people activities, operating to the HR policy frameworks and good practices. Advise on and then put into place the appropriate organization structure, people and competencies to achieve the Division strategy & business stream goals Runs the Division management & specialist talent pipelines across the business and ensures sharing and development of these people to secure them for Intertek. Intervenes as the coach on people issues for the Division senior management team Leads and co-ordinates people aspects of new Division activities, restructuring & integration of acquisitions and responses to economic or legal developments Supports and enacts Division communication tools and processes for effective 2 way flow and to increase employee engagement. Contributes to the worldwide HR network continual development and improvement of policy frameworks, processes and tools

Credibility of achievements in creating and putting in place simple profitable HR changes in complex multi site, multi country businesses. Operated successfully in an international matrix & multi cultural business Intellectual horsepower with general business savvy and formal professional qualification and training in HR. Likely to be at least 7 years into career with width in different organizations and roles, preferably including roles outside HR

Adapt, consolidate and improve routine personnel administration and payroll to a service centre response to fit with the activities across the geography. Lead the local adaptation and deployment of Intertek policy frameworks into the local operating people processes, train the managers and audit results.
