Deed of SEI Trust


THIS DEED OF TRUST made on this 9th day of June 2009 by Mr. S. BHARATHIRAJ, S/o.K. Sundarraj, aged 25, residing at 13/350, Sivalayam, LIC Colony, Perur Main Road, Coimbatore 641 026 hereinafter called the Author of the Trust which expression unless repugnant to the context or meaning thereof includes their heirs, executors, and administrators, etc., whereas Authors of the Trust are possessed of and otherwise well and sufficiently entitled to the sum of Rs.5000/(Rupees Five Thousand only) hereinafter referred to as said property. Whereas the Authors of the Trust desire to irrevocably endowing the said founds upon trust for public, educational, and cultural, purposes, as hereinafter expressed and contained in this presents and in pursuance of such desire have already transferred paid and handed over the said property to the trustees mentioned below. WHEREAS it is the desire of the Authors of the Trust that the Corpus of the Trust may be further augmented from time to time by flow of funds and other assets including moveable and immovable and any other kind by way of Gifts, or Donations, acquisitions, allotments, grant exchange or otherwise etc., WHEREAS the following persons are appointed to be trustees for holding the said property in Trust for the purposes detailed in this Trust Deed: 1. Ms. V. Gokilavani, aged 24, residing at 34, VOC Main Road, Thillai Nagar, Selvapuram, Coimbatore appointed as Joint Managing Trustee. 2. Ms. S. Amsalakshmi, aged 23, residing at 13/350, LIC Colony, Perur Main Road, Coimbatore appointed as Deputy Managing Trustee. 3. Mrs. S. Premavathi, aged 46, residing 13/350, LIC Colony, Perur Main Road, Coimbatore appointed as Member Trustee.

NOW THIS DEED OF TRUST WITNESSETH AS FOLLOWS: 1. NAME : The Trust hereby established shall be named as Sivalayam Educational Institutions Trust Shortly known as SEI Trust. 2. PLACE : Office of the Trust shall be situated at 13/350, Sivalayam, LIC Colony, Perur Main Road, Coimbatore 641 026 or at such other place in India as the Trustees may from time to time think fit. 3.1. MOTTO : The motto of this trust is Educate through revolution

OBJECTS :

The objects for which the Trust is founded are: a) To promote better education in and around the Coimbatore District, it may broad to the whole of Tamilnadu, b) To provide an equal education among the Aravanis in this case the separate institution will be found, c) To promote Computer Education among the Tribals, Women Self Help Groups, below poverty line people and those who are willing to study, d) To enrich the handicrafts, i.e., embroidery, tailoring and other slowly disappearing minor jobs,

e)

To support the unsupported people, widows, orphans for their education, it may extends upto their accommodation, job etc.,

f)

To promote the urban computer knowledge among the students, higher education and free educational counseling, it may spread over throughout rural areas.

g) h)

To provide free medical, legal, psycho aids, To create awareness for software using with the works in and around the city, i.e., Small industries, self business, School & Colleges, etc.,

i)

To provide scholarship to the ranked poor students and to support their higher education,

To establish, maintain and run Schools, Colleges, Social service centres, Industrial Training centre,

To establish, Cultural, and Social Institutions, To establish research and training centres for the furtherance of education/learning in its various fields and branches,

bring, publish

and

sell, distribute

books,

periodicals, leaflets, brochures and papers and also to open and maintain libraries, reading rooms for the promotion of the objects of the Trust, n) To acquire and maintain the movables and immovable properties for achieving and said objects, o) To make meritorious student and avoid the caste system in education sector.

The trust shall be an irrevocable public educational, cultural trust for the benefit of all persons belonging to whatever community irrespective of Caste, Creed or Religion, the Trustees shall stand possessed of the said amount of corpus endowed by the Authors of the trust and such other properties (both movable and immovable) as may be acquired from time to time by the Trust, by purchase, exchange, grant, allotment, subscription, endowment, donation, contribution, or in any manner to whatsoever (all of which shall be designed as Trust properties) on the Trust herein mentioned. 5. NUMBER OF TRUSTEES: The number of Trustees including the Author of the Trustees shall not be less than TWO and not more than FOUR persons. The Board of Trustees shall nominate and invite person/persons to be the other trustees for such period, as they may deem fit and proper. 6. TERM OF OFFICE OF THE TRUSTEES: These Trustees shall hold office for such duration as may be specified by the board of trustees. 7. PRESIDENT: There shall be a president for the administration of this trust, nominated by the board of Trustees, who shall be one amongst trustees as specified in para (5) above for such period, in such manner as may be specified in this behalf. At the time of without president in office the said 1st appointed trustee hold the administration of the trust.

MANAGING TRUSTEE: (i) The day- today administration of the Trust shall be looked after by the Managing Trustee under the guidance, control and supervision of the Board of Trustees.

(ii)

The Board of Trustees shall nominate one amongst the trustees as specified in para (5) above to be the Managing Trustee, who shall hold office for such period, as may be decided by the Board of Trustees.

(iii)

The Managing Trustee shall perform all functions, discharge such duties as or specifically entrusted to him/her in writing by the Board of Trustees.

8.1.

APPOINTMENT OF TRUSTEES: Any vacancy in the Board of Trustees shall be filled up by the remaining

members of the Trust selecting a suitable person. 8.2. ADMINISTRATION OF THE TRUST; The administration of the TRUST shall vest with the Board of Trustees, which consist of.a) One Managing Trustee; b) One Joint Managing Trustee; c) One Deputy Managing Trustee and one member trustees.

8.3.

POWER OF THE TRUSTEES; The Board of Trustees shall have the control and management of the Trust and

exercise the following powers: a) To determine from time to time to commence and to take up the object and purposes for which the funds of the trust shall be used and allot and allocate to each of the objects such portion of the funds as they deem fit; b) To incur all expenditure necessary as in their own opinion useful for carrying out the objects and administration of the trust; c) To sell, lease, mortgage or dispose of any property, immovable

property/properties belonging to the Trust d) To construct and maintain buildings, to alter, to demolish or improve them and equip them suitably. e) To award scholarship and make donations calculated to promote the objects of the Trust. f) To open one or more bank accounts of the trust with any bank or banks as the Trustees may deem fit and deposit monies of the Trust in the Bank accounts. g) To borrow for and on behalf of the Trust with or without security from banks, Governments, Universities or any other government Body/bodies both central and state; h) To employ staff of all kinds necessary and useful for carrying out the objects of the trust. i) To incur such other items of expenditure as is necessary and incidental for carrying out the objects of the Trust; j) To institute, conduct, defend, compound, withdraw, compromise, adjust, refer to arbitration or to do such things as are incidental and necessary, concerning

the affairs of the Trust and to sign and verify vakalats, pleadings, affidavits and other powers k) To accept contributions in cash or in kind either by way of addition to the trust funds generally or for any one or more of the specified objects of the Trust. l) Out of the income of the trust property the trustee shall be entitled to spend or incur the following expenses namely, 1) All rates, taxes, cess, assessments, dues and duties if any payable to the government to any municipal or other public bodies in respect thereof or any part thereof. 2) The premium for the insurance of the buildings or any other

insurable property movable or immovable for the time being forming part of the trust property. 3) The costs of ordinary repairs and for providing any amenities to the buildings for the time being forming part of the trust property. 8.4. TERMINATION OF OFFICE OF THE TRUSTEES: Trustee shall cease to hold office: 1. if he dies, 2. if he resigns, 3. if he is adjudged insolvent or found guilty of an offence involving moral turpitude. 4. if he is found to have acted against the interest of the Trust. 5. if it is unanimously decided by the Trustees specified in para(4) above that his continuation in the Office is against the interest of the trust. 6. Upon expiry of the period up to which the Board of trustees have nominated the trustee.

8.5.

MEETING AND PROCEEDINGS OF THE TRUSTEES: The Trustees shall ordinarily meet once in three months or as often as may be

necessary for the satisfactory conduct of the affairs of the Trust. The meeting of the General Body whenever decides to meet by the President with or without any matter.

8.6.

RESOLUTIONS:

a) The Trustees may exercise all the powers vested in them in para 8.3 under these presents by resolution passed at a simple majority of the trustees attended such meetings of the Board of Trustees. b) Any resolution in writing signed by all Trustees holding office for the time being shall be valid and binding. 9. BANK ACCOUNT: (i) The Board of Trustees may open such Bank Account or Accounts in any of the Banks in the name of Sivalayam Educational Institutions Trust (SEI Trust) such accounts shall be jointly operated by the President and Managing Trustee. (ii) The trust may open Bank Account/s in the name of the trust may open Bank Account/s in the name of institution / organisation founded by the Trust. Such Bank Accounts shall be operated by such persons as authorised by the board of trustees from time to time. 10. AMENDMENTS: The Board of Trustees shall have full power and authority to make, alter and rescind rules and regulations for the management and administration of the Trust. No

amendments to the Trust Deed shall be made which may prove to be repugnant to the provisions of Section 2(15), 11, 12 and 13 and 80G of the Income Tax Act, 1961 as amended from time to time.

APPLICATION OF INCOME AND TRUST FUND: The Board of Trustees shall be empowered to invest the funds of the Trust in

movable or immovable properties, in such manner as they deem fit for the purpose of the objects of the trust provided that such investments shall be in accordance with the provision of Section 13(I) read with Section 11(5) of the Income Tax Act, 1961 as well as of any other law for the time being in force as are applicable to charitable trusts. 12. REMUNERTION TO THE TRUSTEES: The Trustees are not entitled for any remuneration. But they shall however be entitled to receive the sum of amount decided by the author / Managing Trustee may pay to the trustees for their annual co-operation of the trust and out of pocket expenses incurred by them in the course of discharging the functions of the Trust. Further the Income and funds of the Trust will be solely utilized towards the objects and no portion of it will be utilized for payment of Trustees by way profits, interest, and dividend or otherwise and the income of the trust shall be divided by the trustees by the decision of the author, but it should not extend Rs. 12000/- per month per trustee, excess amount debited to the concern Bank Account.

ACCOUNTS: The Trustees shall maintain a true and correct record of the receipts, payments

incomes and expenses and transactions of the Trust. The Books of Account of the trust shall be audited by a qualified auditor or a Chartered Accountant every year i.e., commencing from 1st April to the 31st March of every year. 14. DEFECTS OF PROCEDURE IMMATERIAL: No act of Trustees shall be invalidated by reason only of any vacancy in the Board of Trustees or any irregularity in the proceedings of the Board of Trustees or any Committee thereof. 15. INDEMNITY:

Every Trustee shall be indemnified out of the fund in respect of any loss arising from or contingent upon any investment made out of the monies of the Trust unless such loss shall have been occasioned by own negligence and also every Trustee shall be indemnified out of the Trust against all proceedings, suits, claims, costs, damages and expenses occasioned by any claim in connection with the matters or affairs relating to the Trust created by these presents or in the exercise of powers or discretion vested in them by virtue of these presents. 16. IRREVOCABILITY: The Trust is irrevocable.

ACTIVITIES OF THE TRUST: The activities of the Trust shall be only within Coimbatore and it spread over

the India and its Union territories and shall not be extended anywhere outside India. 18. DISSOLUTION: In the event of dissolution of winding up of the Trust the assets of the trust remaining on the date of dissolution shall under no circumstance be distributed among the Trustees, but the same shall transferred to other Trust, Society, Association or Institution whose objects are similar to those of this Trust. 19. PROCEEDING OF THE TRUST: Any defect in the constitution of the Trust shall not invalidate its proceedings.

20. RESIDUARY: For matters not provided for in these presents, the provisions of the Indian Trust Act and the Income Tax Act,1961 and rules made there under will apply accordingly.

21.

The Trust have no any movable and immovable properties.
