______________________, aged about _____ years, an Indian inhabitant, presently residing at ___________________________________________________ and having Permanent Address at _______________________________________________________ having a PAN no________________, telephone/mobile no/s __________________ have been engaged by ________________________ ( hereinafter referred as the Model Coordinator/Photographer/ Model Agency) for a fee of Rs.________/(Rupees______________________________________________) (inclusive of service tax, levies, cess, etc., if applicable, and subject to deduction of applicable TDS) being my one time and total modelling fee towards acting/performing as a Model, including posing/performing in the directed/suggested manner for photographs, images, digital photos, cinematograph films, appearances, voiceovers, still shoots etc. in and in respect of and for use and incorporation in all work/s (Work/s) created, produced or commissioned by Ogilvy & Mather Private Limited (O&M) for showcasing/displaying/marketing the brand of ______________, namely______________________________ and/or for including in packaging for an unfettered usage through publication/transmission/ retransmission/ broadcast in any and all media, technology, now or in future invented, including but not limited to, print, Internet, Television, Mobile/Cellular (including cable, satellite and terrestrial), IPTV, and towards allowing the recording, broadcast and communication of my performance, and further towards use, including publishing/transmission of my name, likeness, image, mannerisms, persona, distinct expression and style, etc., irrevocably agreeing to make the performance a part of a cinematograph film by O&M, wherever required in the sole discretion of O&M. Against receipt of the said consideration in full, I hereby grant/assign/license to O&M the worldwide, exclusive, fully paid, absolute right to and in all my performances as described above with right for unrestricted use, re-use thereof (including publication) in perpetuity and throughout the world and in whatever form and manner O&M may in its absolute discretion think fit, including the right of reproduction thereof, either wholly or in part, as and for the purposes stated above and grant permissions in terms stated hereinabove and further as per such other terms and conditions as provided below and I shall not have any objections whatsoever to any of the above terms at any point in time. I hereby further grant/assign/license O&M, the unrestricted right and permission to copyright and throughout the world and in perpetuity use, re-use, publish, and republish my name, signature, photographic portraits, pictures, appearances, voiceovers or the Work/s in which I may be included intact or in part, composite or distorted in character or form, without restriction as to changes or transformations in conjunction with my own or any fictitious name, or reproduction hereof in colour or otherwise, made through any and all media now or hereafter known for illustration, art, promotion, advertising, trade, or any other purpose whatsoever. Representations /Averments: 1. I fully understand, acknowledge and agree that all copyright and allied rights, titles or interests in the recordings of the performances or Work/s vest ab initio with O&M, being the producer of the Work/s and recordings of the performances and I shall have no right whatsoever in the same. I shall render all reasonable assistance as may be required by O&M for registering any of the rights in its name.

I hereby waive all my moral rights which may now exist or be hereafter recognized, including without limitation any right to (a) approve any revisions, deletions, abridgements or other changes in the Materials, or (b) withdraw the Materials from distribution, in favour of O&M on full payment of the above mentioned consideration. I further agree that the Work/s featuring me can be subjected to any alterations, amendments or technological changes from time to time. I release, discharge and agree to save harmless O&M and/or their assigns, and all their Employees from any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form whether intentional or otherwise, that may occur or be produced in the taking of said picture or in creating, producing and commissioning of the Work/s or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy. I accept all the words and statements attributed to me as my own and undertake not to make any claim against O&M in respect of any implications, statements or wordings. I agree that nothing contained in Section 19(4) of the Copyright Act, 1957 shall apply in respect of the assignment to O&M of the rights in my performances. I hereby relinquish any right that I may have to examine or approve the completed Work/s that may incorporate my performances. I agree and undertake not to enter into any arrangement/agreement/understanding, of any nature whatsoever, with a Restricted Person (any person or entity which is in direct or indirect competition with O&M or O&Ms client) either directly or indirectly, express or implied, for providing similar services and in respect of similar products or services for a period of One (1) year from the date of signing this Release form. In the event I wish to accept any assignment in Advertisement, Promotion for any product similar and / or identical to the product from any competitor during the pendency of this Release form, I shall obtain prior written permission of O&M before undertaking any such assignment and the decision of the O&M in this regard shall be final and binding on me. I acknowledge that in pursuance to my engagement, certain information may have been disclosed by O&M to me which is confidential and/or proprietary in nature, and may include data, O&M clients information or documents, whether or not explicitly designated as "confidential", and any and all information which may be developed or created, in whole or in part, directly or indirectly, from such information (altogether, Confidential Information). I acknowledge and agree that all Confidential Information whether disclosed orally or in writing, is the property of O&M and is valuable, special and unique to O&Ms business. I agree that Confidential Information which has been or will be disclosed to me in confidence will be used only for performance under and in accordance with this Release form. I agree not to disclose any Confidential Information provided to me to any Person. I shall not at any time use O&Ms name, logos or trademarks in connection with any kind of advertising, promotion, publicity, merchandise, tie-in, product or service. No public announcement of the subject matter of this Release form shall be made by me except with the prior approval of O&M.

10. This Release form is with Model Coordinator/ Model Agency/ Photographer and I have been engaged by them. I shall have no recourse at any point of time to O&M

with regard to any matter, claims and/or actions of any nature whatsoever arising out of this Release form. 11. I represent and warrant that I am free to enter into this Release form and that I am the sole, absolute, unencumbered legal and beneficial owner of all rights granted to O&M in respect of the rights granted under this Release form, and that I am not under any Conflict clause, disability, restriction or prohibition, legal or otherwise, which might prevent me from performing or observing any of the obligations provided in this Release form. 12. I agree that O&M shall be entitled to transfer/assign/license/sub-license the rights granted hereby to its subsidiaries, group companies, or to any third parties as it may deem necessary and I shall not have any objection to the same. 13. I hereby indemnify O&M against any Claim and / or liability of any kind whatsoever made against O&M arising from any act of omission or commission on my part. 14. In case of any contravention by me of the terms of this Release form, the O&M shall be entitled to seek prohibitory injunction or such other relief as may be available under the law. 15. I agree and acknowledge that since this Release form is of a personal nature, I shall not assign this Release form whether in whole or part to anybody.
