Scope of Consortium Agreement


Scope of Consortium Agreement is participation at development and production contracts in petroleum industry on Iraq territory, based on contracts/agreements with Ministry of Oil Iraq Government. The activity of RDCC shall be targeted to three approach modes: a) Investment projects for finding Petroleum resources and optimal development of Petroleum Operations; b) Participation with competitive offers at bid invitations organized by Ministry of Oil Iraq Government; c) Participation as subcontractor of another international company or group of companies which have a contract awarded for a Petroleum field in Iraq. If is going to be the case, the Leader of Consortium will negotiate the contractual conditions. The contractual conditions will be discussed prior with all members of consortium interested in the inquiry received from another international company or group of companies which have a contract awarded for a Petroleum field in Iraq.

Services offered by R.D.C.C. Consortium


By its members, the Consortium is able to provide or arrange to provide services and technologies for conducting Petroleum Operations with the intention to achieve an optimal development of the Petroleum resources within the Contract Area. RDCC scope of works will consist of: Topographical, hydrological and geotechnical surveys; Conduct of detailed geological and reservoir engineering studies, including three dimensional (3-D) simulation; Conduct of seismic surveys, including processing and interpretation thereof; Conduct of detailed laboratory and reservoir engineering studies to evaluate most suitable development approaches for the reservoirs programmed to come into production within the Final Development Plan; and conduct of engineering and related surface facilities and flow assurance studies. Studies and projects on well drilling to 4500 m depths both on-shore and offshore; Drilling and production sites organization Providing all funding, machinery, equipment, technology, personnel and services necessary for Petroleum Operations; Drilling wells with the aim of appraising, developing and producing reservoirs defined as discovered reservoirs; Drilling exploration wells or deepening other wells with the aim of discovering undiscovered potential reservoirs Well management activities; Recovery of existing crude & gas reservoirs; Petroleum and natural gas pipeline and associated facilities; Technical consultancy, assistance and training, research and development. Employing local teams or companies to help Petroleum Operations; Preparation the Preliminary Development Plan and preparation of Final development Plan; Achieving the Plateau Production Targets according to the contract provisions; Annually assess the maximum reserves and resources of Petroleum in the contract area; Incurring all costs and expenses required for carrying out of Petroleum Operations in accordance with approved Development Plans, Work Programs and Budgets in order to achieve the productions targets; Fulfilling all financial obligations of Contractor and enjoining all rights and benefits, in accordance with the provisions of contracts; Rehabilitation and modernization of existing Petroleum fields; Workover operations; Overhaul of oil fields and production tests Maintenance services;

S.C. BLACK SEA POWER GENERATING FZCO Trading company

Black Sea Power Generating FZCO (BSP) will be the Leader of the Consortium and will coordinate common activities of the members as follows: BSP will be the general contractor and will perform project management; BSP will be informed immediately and regularly by the other members about any problems of common interest, about the stage of the work of each member and about any problem that can affect the normal and correct accomplishment of the international contracts;

BSP will prepare and transmit the common offer for the tender based on his own prices and according to the offers of the other members. The business correspondence and the offers will be sent using the Leaders header. In order to be in permanent contact with the general contractors and clients during the tender and accomplishment of the contracts, the Leader will ensure a local office in the buyers country. Moreover, the Leader is authorized by the Consortium to choose counselors and agents according to the legislation in force in the buyers country and the instructions of the general contractor. If the Tender Book imposes, the Leader may request the setting up of a mix association with local companies specialized in accomplishing works in the field. The costs for prospecting the market, gathering data, acquisition of the Tender Books, the local transport of the Romanian specialists will be supported by the Leader; the costs for accommodation, wages and international transport of the specialists to the area will be supported by the member whom the specialists belong to. If the Consortium wins in the tender, the Leader as a contractor will sign the contract. The Leader will subcontract the members involved in the awarded contract. Each member of the Consortium, which participates in the tender, will appoint a Project Manager. The Project Managers of the members will be in permanent contact with the Project Director of the Leader during the tender and the accomplishment of the contract, as the case may be. They will inform permanently the person who leads the Consortium activity. The Leader fills and sends the invoices to the clients;

We operate using state of the art Sercel and ION seismic equipment under 5 years old. Our 16 vibrators and 22,000 channels of line equipment can be supplemented as required, based on the resource sharing agreements that we have in place with other major providers of geophysical services. Major clients for recent projects include Petrom, Romgaz and the State Oil Company of Iran. DRILLING Prospectiuni has an extensive range of drilling equipment mounted on a variety of carriers including tracked vehicles, buggies and portable units for use in areas of difficult access. The smaller units are used for drilling shot holes prior to seismic acquisition. The larger units for upholes. All staff are trained and operate in compliance with the highest HSE&Q standards.

RECORDING Project Planning & Data Quality Assurance Using a Mesa software package, our geophysical team provides the field operators with the design for the field survey. From this original design the field geophysicists then produce a detailed design by incorporating survey files, fold recovery/compensation solutions, planning offset positions, generating scripts and applying formal QC/QA procedures. In field processing for data quality assurance The quality of the seismic data acquired is confirmed daily, using Promax software. Field 2D/3D processing is then carried on a SUN Blade 1500/2500 workstation. Static models can be produced from uphole and LVL data. Recording Equipment Maintenance Our recording systems are operated in the field by highly qualified and trained personnel supported from the Companys Geophysical Equipment Maintenance Department by a team of system engineers, fully trained by I/O and Sercel for handling, troubleshooting and maintenance of the equipment. Cables and geophone strings are checked in compliance with a rotational maintenance program which assures the quality of all line equipment deployed to the field. Periodically, equipment compliance tests are carried out in accordance with manufacturer specifications. The results are verified using independent, third party software. SURVEYING Survey Department The survey department is responsible for positioning seismic source and receiver points in the field, in compliance with specifications stated by the client. A full set of coordinates and elevations are produced for each source and receiver point on the prospect. This survey data is used as an integral component of the geophysical processing procedure. Surveyors are also responsible for mapping access routes, identifying hazards and sources of noise that may affect the quality of the seismic data and then making this information available to the other departments within the seismic operation. May 31,1991 : CONFIND was incorporated as a 100% private limited liability company. Ever since its earliest days up to the present time, the share capital was increased four times. Business started with a production of connecting bolts and nuts for flanges and needle valves, manufactured with a few reconditioned machine tools in a leased workshop. 1992-1993: The first stage of development involved the production of spare parts devoted to down hole pumps for crude oil extraction. 1993-1994: Into the second stage of development, the production of gas compressor spare parts required that the machine tools and the internal metrology activity be upgraded by purchasing modern technology. In addition, the heat-treatment workshop was commissioned and properly outfitted for hardening, tempering, normalizing, cementing short and full annealing processes. 1995: CONFIND's business diversified and focused on three new targets: - Design, homologation and production of three new products: The "MICROSTA12" mobile mini-gas-station, The BE-02 small-capacity backhoe, Natural gas heater - Primary wood processing. - Production of carpentry, windows and doors, by aluminum sections and panels. 1997: beginning of the production of crew accommodation containers usable in building sites or oil fields and metallic structures for industrial shops. 1998: CONFIND purchased the Rubber Parts Plant from PCC Sterom and continued the production of rubber items. 1999: CONFIND founded the CONFIND IMPEX Ltd. Company, on the premises of the shops acquired in Floresti-Prahova, which had belonged to SC Petroutilaj SA and where it developed the following production lines: Fishing tools for crude oil extraction; Pressure vessels, tanks and steel structures for the building industry; Forge; Heattreatments. Also, CONFIND started the production of gearboxes and spare parts for manual valve actuation, these products being entirely devoted to the foreign market.

Our main beneficiary is OMV-Petrom. In the drilling of wells we achieved depths between 800 m and 3000 m, in Moinesti, Independenta and Oprisenesti areas, having complex construction programs, with very good results. Only in 2008 we completed a number of 32 wells. We carry out work-over operations and restoring into production at a number of 40 wells in areas with high pressure and special technical problems, especially in gas fields. Drilling companies

With its headquarters in Romania, Foraj Sonde Ploiesti, - formerly Concordia, is considered to be one of the first established drilling companies in the world (prior to World War I). The company was established in 1907, through the merger of the various joint venture companies, like Telega-Oil-Bustenari, Italo-Romana, and Aktien-Gesellschaft. The drilling company Concordia suspended its activity when the Romanian state took it over by nationalization in 1944, and in 1956 a new company was born:Intreprinderea de Foraj Ploiesti. The company drilled hundreds of well in the oil-rich Ploiesti region, and throughout the country. After drilling of exploitation wells in the south and east of Romania, a new situation developed, represented by the possibility, and necessity, of discovery of oil and gas fields, in geological layers situated at high depths, of over 3500m. The year 1961 represented the beginning of drilling deep exploration wells in Romania, starting with the 900-Boldesti well, at 4865m. Between 1963 and 1966 the company finished the following wells: 10-Tinosu (6016m), 913-Margineni (6002m), 5015-Baraitaru (4984), 6003-Podeni (5985m). 4503 Bratesti (5415m). From 1972 to 1983 the deep exploration drilling was heavily increased, also reflected in the number of drilled meters 179,000 meters, with a maximum of 25,573 meters in 1977.

After 1983, the Romanian state rerouted the oil drilling investments, from exploration wells, to exploitation wells, with direct consequence on the number of drilled meters, from 14000 in 1983, to 4700 in 1992. Starting 1993, no deep drilling was done in Romania. However, the ones already started where finished, i.e. 7000 Baicoi (7025m) and, in addition to the performance of the drilling engineers, a few other technical accomplishments need mentioning: the heaviest casing at 6575 Cioceni (13 3/8 in, 407 tons in air), heaviest mud crossing of the Sarmatian (1,95kg/dmc), tests at 6825m at the 6575 Cioceni, drilling of the deepest and second deepest wells in Romania(7000 Baicoi 7025m and 6575 Cioceni 6876m). Right now, the company owns 7 diesel and electric rigs, (T50, F125, F320 Diesel Type and T50, F125 and F400 Electric Type).

The company status as of 2010 comprises: 7 drilling rigs that span over a depth from shallow to over 6000m drilling and work-over rig equipment workshop maintenance, repair, overhaul of drilling equipment and devices workshop maintenance, repair, overhaul of electrical equipment and devices workshop gauges and measuring equipment repair workshop and metrological lab for certified scaling of measuring devices. Directional Drilling Service GmbH (DDS) is an independent self supported service company to the oil and gas industry. DDS has provided an accurate and reliable service for more than 15 Years. Since 2005 holds a base for Directional Drililing Service in Romania. Directional Drilling Service S.R.L. is located in Ploiesti. Our ability to identify innovative solutions and produce alternatives when drilling problems occur has been a major feature of our customer services. The experiences and skills that have made this possible have been acquired by active involvement of our specialized team together with the development of our multiple vendors. DDS was formed in early Spring 1988 as a directional drilling service company to the oil and gas industry only. Right away, the company was awarded a complete directional drilling well for the RWE-DEA oil company in Germany. The successful completion of this well was the key to become a successful company. The professional team of experts of different services quickly became welcomed partners to oil company planning engineers seeking optimal well designs for different applications. Over the years, DDS has increased its inventory of directional drilling equipment. DDS now exclusively supplies its own equipment for directional drilling operations. Initially, DDS operated within Germany only. Over the years, DDS has expanded into and developed a good service reputation all over Europe and in such countries as Romania, Indonesia, South Korea, India, Russia, Uganda, Tanzania, Egypt, Libya, Mauritania, Brazil etc. Our company has successfully performed a large number of directional drilling, horizontal and MWD jobs, several of which were deep, hot holes. In the meantime has DDS grown into other services and industries. With the availability of MWD, surveying and motor equipment we started services around these tools. In 1995, we diversified into the HDD industry by utilizing our skilled personnel and oil field experience to develop motor and survey services for this new industry. A large number of jobs are performed in this relative new area. Our expertise is welcome to this industry which is in the middle of rapid technology development. DDS provides many services to the oil and gas industry, to geothermic as well as to the civil engineering industry for HDD & Mining applications. The above tool categories are available for rental and within our service package as well. Near the headquarter lies a modern repair, maintenance and warehouse facility. The 1000m2 indoor maintenance facility is equipped with a 5-ton overhead crane and a high torque break-out unit, type Flex Torque 200, allowing the quick turn-around and repair of downhole tools. The use of a high pressure parts cleaning system ensure that proper visual and NDT inspections can be conducted on critical wear parts in downhole tools and later safe environmental disposal is guaranteed. The in-house maintenance performed by our own qualified maintenance personnel guarantees us to have quality downhole tools available for our customers. Our maintenance procedures are performed in accordance with the instructions of the tool supplier and are controlled by certified inspection documents.

PETROLEUM - GAS UNIVERSITY OF PLOIESTI-learn to see beyond the appearances Located in Ploiesti, the economic, cultural and social center of Prahova County the Petroleum-Gas University has become the intellectual core of the city. Its evolution has pursued the scientific, economic and social changes, trying continually to offer its students the best opportunities to learn and grow to meet the demands of their future. The University was founded in Bucharest in 1948, under the name of Petroleum and Gas Institute (PGI) and it had at the time two faculties: the DrillingProduction Faculty (later on named the Faculty of Reservoir Engineering and at present the Faculty of Petroleum Engineering) and the Faculty of Petroleum Refining (later on named the Faculty of Petroleum and Gas Processing and Chemistry and at present the Faculty of Petroleum Refining and Petrochemistry). In 1950, the following faculties were added: the Faculty of Oil Machines and Equipment (later on named the Faculty of Technological Equipment, and at present, to better express the field of activity and its specialties, the Faculty of Mechanical and Electrical Engineering), the Faculty of Economics and Organization of Petroleum Industry (it functioned until 1968) and the Faculty of Petroleum and Gas Deposits Geology (later on named the Faculty of Geology due to extending the field of activity after the transfer, in 1957, of the Faculty of Geology from the Geology and Mining Institute of Bucharest). In 1957, because of these structural modifications, the PGI changed its name into the Petroleum, Gas and Geology Institute (PGGI) of Bucharest. Between 1967 and 1974, the PGGI of Bucharest was transferred to Ploiesti under the name of the Petroleum and Gas Institute (PGI) except for the Faculty of Geology, which became part of the University of Bucharest in 1974. The society's development is mainly determined by the performance of its educational process as this process leads to the training of specialists. A highly efficient academic system presupposes an existing high level of scientific research, based on a research-teaching synergy and expert trainers in the teaching and research process. Research and development (R&D) represents a first step towards world recognition of the Petroleum-Gas University of Ploiesti (PG U). The teaching staff from the PGU strives for a quality-based research work. Their research work goes in two main directions, the development of traditional fields/specializations of our University, on the one hand, and the foundation of newly created specializations, on the other. In the academic year 2009 - 2010, the University has over 9000 domestic and foreign students and over 750 teaching positions (professors, associate professors, lecturers, assistant lecturers, tutors).

ACFR tradition and professionalism in Romanian oil industry The majority of the Romanian Companies specialized in drilling works for oil, gas, underground waters and their auxiliary services, as well as construction of oil equipment, are included in the Romanian Association of Drilling Contractors (ACFR). ACFR was established in 1994 by 22 of the private drilling companies taken off from the Ministry of Oil. Currently ACFR includes 55 companies, of which 11 are from USA, France, Germany, Holland, Hungary, Norway and other countries. ACFR is a juridical person of private law and it is a professional and master, autonomous and non-profit organisation. ACFR is member of the International Association of Drilling Contractors IADC, the International Society of Oil Engineers SPE, both of them with headquarters in Houston-USA, as well as member of the Association of Oil and Gas Engineers. ACFR, through its Executive Director, is representative of Romania in ISO, TC 67 Standardization Committee specialized in oil field and also, is member of Romanian Association of Standardization ASRO and member of the Romanian Chamber of Commerce and Industry CCIR and Bucharest Chamber of Commerce and Industry CCIB. ACFR permit, to those involved in the industry of profile, to explore new opportunities and to find new media of communication with Romanian authorities and with international organizations. An essential characteristic is the fact that ACFR has an integrated activity from seismic prospecting works up(to) drilling and exploitation of oil deposits and underground waters, manufacture of whole range of necessary equipment for oil industry, including auxiliary works too. In reality, the companies members of ACFR are carrying out, mainly, the drilling works and work-over for oil, gas, underground waters (geothermal, mineral, industrial and drinkable), including the auxiliary services for: seismic activity, tubing operating, geophysics cementing, operations with liquid nitrogen, treatment acid and stimulation, consolidations and packings, DST tests, oil and fuels tanks, three phase separation and collecting stocks, fabrication of drilling rigs, work-over and services of 25-250 tf capacity, tools and equipment specific for the activity, including apparatus specific for drilling fluids, diamond bits and PDC, drilling and extraction tools, on-shore and offshore systems for preventing eruptions, control panels for blow-out preventer, aerial and underground electric lines, including 110 Kv, manufacture of components for electronic power used in generating and distribution of electric energy, including SCR and SDACR at drilling rigs, as well as access roads development and well platforms, rendering lands in circuit, consolidations, special land-carriage and shipment, etc.

An important sector is meant to elaboration of technical and techno-economical studies, including execution of well program for drilling, completion and sampling of drilling works and their stimulation, etc. Another activity is meant to repair and to update rigs and equipment, including the diesel engines of 30-1500 HP and those electric, as well as to construction equipment, etc. The ACFR companies members are involved in works execution, in our field of activity, in: Libya, Iraq, Tunisia, Zambia, Congo, Bulgaria and other countries. Based on the existing trends in the field, on international market, the companies members participate to the Governmental Economic Missions, which have as purpose projects of economic cooperation, by promotion of high techniques and technologies. The main prerogatives of the Association are linked by the presentation, sustaining and protection of associated members in the relations with public authorities, professional organizations, other master organizations, juridical institutions, etc., both on national and international plan. ACFR initiate activities regarding the improvement of standards in this field. We are mentioning the participation, in March 2007, at the European and International Meeting ISO in Bucharest, event provided by some companies members of ACFR. At this meeting it was presented a study, which was the base for the proposals of modification the drill pipes standard. This study is named Study of fundamental research by the analysis of the finite element and photo elasticity and it was drawn up by ACFR and the University of Oil and Gas from Ploiesti. ACFR is initiating actions regarding the improvement of technical-material endowment, as well as the preparation and certification of the personnel from the companies members. In this respect, we underline the collaboration with the University of Oil and Gas from Ploiesti. In the last period, the endowment with modern drilling rigs DRILL MAC Italy (MR 7000 and 8000) or UPET Targoviste TD 160, TOP DRIVE equipment, centrifugals (414 and 518 type), screens SWACO, MONGOOSE type, SCR, flocculation stations, MARTINDECKER or SMART apparatus, mud pumps 1000 and 1300 HP triplex type and others. The main orientations of the ACFR members activity, direct or indirect, immediately or in perspective, are: Their implication in the maintenance and development of hydrocarbons production, in the reserves increase due to a very good geological research; Re-evaluation of the oil-gas zones, including the peripherical reserves, too; The optimizing of drilling services and the stimulation of drilling re-entry, by increasing the depth of the existing boreholes, in order to exploit the areas with small permeability, low productivities, especially in the gas field, the directional drilling including horizontal drilling.
